- Pursuant to Circular 38/2015/TT-BTC dated March 25, 2015 of the Ministry of Finance on
customs procedures, control, inspect customs.
- Pursuant to permission on Setting up Customs bonded warehouse No.1990/QD-TCHQ dated

October 10th, 2008 by Vietnam General Department of Customs.

The two parties have mutually agreed to sign this Bonded Warehouse Leasing Contract under the terms and
conditions stipulated as bellows:
Article 1. Scope of the Contract
-The Party B authorizes Party A to proceed formality for receiving cargo from Import Port to party A’s
warehouse, unloading cargo into warehouse, doing customs formality for import – export into and out of the
bonded warehouse, storing cargo in the bonded warehouse, unpacking the cargo for separation, sorting cargo,
and others relating to movement in the bonded warehouse. (Cargo details as attached Appendix)

- The above mentioned goods are always belonged to Party B. Party A shall not move the goods from
warehouse to buyer or to third party designated by party B without prior written instruction from Party B.

 Article 2. responsibility of two parties
2.1 . Responsibility of party a
- Receiving copies of shipping documents: Bill of Lading, Shipping advice, Packing list, Invoice, Delivery
Order Note and others related documents to do customs formality - import/ export at Party B’s request.
- Arranging import/ export cargo into and out of the bonded warehouse on time at Party’s B request.
- Having non- responsibility for the goods in bonded warehouse, including force majeure cases such as
explosion, fire, natural calamities, degenerate themselves...
- Storing the goods in warehouse in good, safe condition.
- Making Customs procedures if authorized by Party B.
2.2 Responsibility of party b
- The words: “The Cargo to Yusen Logistics Tan Truong Bonded Warehouse, Plot 3.2, Tan Truong Industrial
zone, Cam Giang district, Hai Duong province, Vietnam” must be stated on Bill of Lading or on Export-Import
documents.
- Sending shipping documents before cargo arrivals at Import Port together with Letter of Attorney so that
Party A proceed import formality. Sending Order Note 24 hours (at latest) before the required times of delivery.
The information relating to the cargo to be exported from the bonded warehouse should be shown completely in
each delivery Order Note.
- To be responsible for documents errors made by Party’s B such as mistake for the name of commodity,
quantity... and has to pay fee for this errors.
- To take responsibility for legality and quantity of cargo send to bonded warehouse.
- When Party B has requirement for checking or exporting cargo, the request should be appeared to Party A 24
hours at latest before Party A starts checking or exporting formality.
- Pay all fees to Party A under Article 3 of this contract and actual performance of party A
- Mandatory term : The cargo imported into Bonded warehouse to wait for export inland.
Article 3. contract price and term of payment
- According to Agreement between two parties dated Jul 01st, 2017
Article 4 handLing
-The parties hereto perform this contract on the basic of primitive status of cargo. Incase of any loss or damage,
Party A shall inform Party B and Customs for checking and making report before putting cargo into bonded
warehouse. The status of import/ export cargo shall be the same status.
Article 5. Contract validity
-This contract comes into effect within one year (365 days) from the cargoes import into bonded warehouse.
-Any dispute arising out of or relating to this Contract shall be settled amicably. In case no agreement is
reached, the problem shall be settled by Hanoi Economic Court. The award of the Court shall be the final
sentence for both parties. The loser is ordered to pay the cost.
- This Contract is made into 03 original copies of the same value in which 1 copies are kept by party A, 01 copy
by party B and 01 copy by Customs.
