NOTICE

Sir/Madam,

This letter is to formally notify your company about a provision in our Contract to Sell, particularly
Article VII, Section 7.03 thereof which states that:

Section 7.03 Buy Back. Failure of the BUYER to construct its factory/warehouse building within a
period of eighteen months from date of purchase despite receipt of BUYER of a written notice from
SELLER therefor, SELLER has the option to buy back the Property at a discounted rate of at least
30% from the original contract price provided BUYER’s failure to construct its factory/warehouse
is attributable to SELLER, in which case the said discounted rate shall not apply. (Emphasis
supplied)

That our contract was entered into last XX Month, 2019 and X months has already passed but
there is no factory/warehouse that has been constructed on the subject land.

Wherefore, pursuant to the abovementioned provision, Lima Land Inc. through the undersigned
respectfully demands from you to construct the agreed upon factory/warehouse within a period of sixty
(60) days from receipt hereof in accordance with our agreement.
