What is a Bill of
Lading (B/L)?

A document issued by a carrier, or its agent, to the


shipper as a contract of carriage of goods. It is also a
receipt for cargo accepted for transportation, and must
be presented for taking delivery at the destination.

What is a Bill of
Lading (B/L)?
Among other items of information, a B/L usually contains

(1) consignor’s and consignees name,


(2) names of the ports of departure and destination,
(3) name of the vessel,
(4) date of departure
(5) list of goods being transported with number of packages
(6) marks and numbers on the packages,
(7) weight and/or volume of the cargo,
(8) freight and amount and
(9) Other information related to cargo or the carriage

What is a Bill of
Lading (B/L)?
It serves as a proof of ownership (title) of the cargo, and may be
issued either in a negotiable (to order) or non-negotiable form
(straight). In negotiable form, it is commonly used in letters of
credit transactions, and may be bought, sold, or traded; or used
as security for borrowing money.

The rights, responsibilities, and liabilities of the carrier and the


shipper under a bill of lading (often printed on its back) are
governed generally either by the older Hague rules, or by the
more recent Hague-Visby rules.

What is a Bill of
Lading (B/L)?
The word "lading" means "loading", both words being derived
from the Old English word hladan. "Lading" specifically
refers to the loading of cargo aboard a ship. Loading under a
bill of lading may also be indicated by ‘Shipped’, ‘On board’,
‘Shipped on board’ and ‘laden on board’

It is usual for the consignee to surrender original bill of


lading to gain the possession of the goods

Negotiable or non-negotiable?

When a B/L is issued in „negotiable form‟ the words „to


order‟, „or order‟, or „unto the order of‟ appear in the
consignee box either in the pre-printed heading or in the
box before or after the consignee name. This makes the B/L
negotiable in that title to the goods can be transferred from
one party to another by endorsement of the B/L

Negotiable B/Ls can be issued either


to the order of a named party OR to the order of shipper

When a B/L is consigned „to the order of a named party‟,


the consignee can transfer title to the goods by endorsing
the B/L to another party

In the above case, Original Bank Ltd endorses the B/L to


ACME Diesel Engine Co. who can then take possession of
the goods at the port of discharge or transfer title to goods
to another party – by adding their further endorsement

When a B/L is consigned „to the order of shipper‟, the


shipper can transfer title to the goods by endorsing the B/L
to another party

In the above case, Prime Diesel Exports Ltd endorses the


B/L to the order of ACME Diesel Engine Co. who can then
take possession of the goods at the port of discharge or
transfer title to goods to another party – by adding their
further endorsement

B/L compliant or not?

When a credit requires presentation of a B/L, the B/L must comply


the terms and conditions of the credit, the applicable provisions of
UCP600 and international standard banking practice

Any signature by the carrier, master or agent must be identified as


that of the carrier, master or agent.

Any signature by an agent must indicate whether the agent has


signed for or on behalf of the carrier or for or on behalf of the
master.

Consignor/Shipper

The consignor or shipper shown on a B/L is usually the beneficiary


of the credit. However, a B/L indicating a party other than the
beneficiary as consignor or shipper is acceptable as per Art14(k)
that states “The shipper or consignor of the goods indicated on
any document need not be the beneficiary of the credit”.

• pre-printed wording, or
• an on board notation

indicating the date on which the goods have been shipped


on board.

The date of issuance of the bill of lading will be deemed to be


the date of shipment unless the bill of lading contains an on
board notation indicating the date of shipment, in which case
the date stated in the on board notation will be deemed to be
the date of shipment.

If the bill of lading contains the indication "intended vessel" or


similar qualification in relation to the name of the vessel, an on
board notation indicating the date of shipment and the name of
the actual vessel is required.

The B/L must be specific as to the name of the vessel on


which the goods are shipped.
If the B/L contains a non-specific qualification in relation to
the vessel, such as „intended vessel‟, then an on board
notation indicating the date of shipment and the name of
the vessel is required for compliance

stated in the credit.

If the bill of lading does not indicate the port of loading stated
in the credit as the port of loading, or if it contains the
indication “intended” or similar qualification in relation to the
port of loading, an on board notation indicating the port of
loading as stated in the credit, the date of shipment and the
name of the vessel is required. This provision applies even
when loading on board or shipment on a named vessel is
indicated by pre-printed wording on the bill of lading.

Article 20

The port of loading on a B/L must be the same as that stated in


the credit.

If the bill of lading does not indicate the port of loading as per
credit or has a qualification such as „intended port of loading‟,
the B/L must contain an on board notation that includes „port
of loading‟ as stated in the credit, the name of the vessel (even
when the same vessel is named in the vessel field) and the
date of the shipment

Bills of lading are issued in sets of one or more originals –


usually three

The bill of lading presented must be the sole original (with

be the full set as per indication or declaration on it

vi. contain no indication that it is subject to a charter party.

A charter party is a contract under which the owner of a ship


hires it to another party for a specific time or purpose

In such a case the bill of lading will make reference to the fact
that it is subject to a charter party

But when a credit requires B/L, art20(a) says „indicating that it


is subject to a charter party‟ is a discrepancy as shown above

b. For the purpose of this article, transhipment means unloading from
20
one vessel and reloading to another vessel during the carriage from
the port of loading to the port of discharge stated in the credit.

c. i. A bill of lading may indicate that the goods will or may be


transshipped provided that the entire carriage is covered by
one and the same bill of lading.

ii. A bill of lading indicating that transhipment will or may take


place is acceptable, even if the credit prohibits transhipment, if
the goods have been shipped in a container, trailer or LASH
barge as evidenced by the bill of lading.

d. Clauses in a bill of lading stating that the carrier reserves the right
to transship will be disregarded.

“A bill of lading may be issued by any entity other than a carrier or master
(captain), provided it meets the requirements of UCP 600 article 20.”

ISBP745, E3(b) says


“When a credit indicates “Freight Forwarder‟s Bill of Lading is acceptable” or
“House Bill of Lading is acceptable” or words of similar effect, a bill of lading
may be signed by the issuing entity without it being necessary to indicate the
capacity in which it has been signed or the name of the carrier. ”

ISBP745, E4 says

effect has no meaning in the context of the title, format, content or signing of a
bill of lading unless the credit provides specific requirements detailing how the
bill of lading is to be issued and signed. In the absence of these requirements,
such a stipulation is to be disregarded, and the bill of lading presented is to be
examined according to the requirements of UCP 600 article 20. ”

“When a bill of lading is signed by a named branch of the carrier, the

ISBP745, E5(c) says


“When an agent signs a bill of lading for [or on behalf of] the carrier, the
agent is to be named and, in addition, to indicate that it is signing as
“agent for (name), the carrier” or as “agent on behalf of (name), the
carrier” or words of similar effect. When the carrier is identified

Depends
Although “however named” under 20(a)i looks like covers
the name, its acceptability will depend on whether the credit
requires the B/L in the negotiable form or not. A Non
negotiable seaway bill will be acceptable if credit asks for a
straight consigned B/L i.e. without negotiability. Similarly, a
non negotiable seaway bill is not acceptable if credit asks for
a negotiable B/L.

a. When a credit requires the presentation of a copy of a transport
document covered by UCP 600 articles 19-25, the relevant article is
not applicable, as these articles only apply to original transport
documents. A copy of a transport document is to be examined only
to the extent expressly stated in the credit, otherwise according to
UCP 600 sub article 14 (f).
b. Any data shown on a copy of a transport document, when read in
context with the credit, the document itself and international
standard banking practice, need not be identical to, but must not
conflict with, data in that document, any other stipulated document
or the credit.
c. Copies of transport documents covered by UCP 600 articles 19-25 are
not subject to the default presentation period of 21 calendar days
stated in UCP 600 sub article 14 (c) or any presentation period stated
in the credit, unless the credit explicitly states the basis for
determining such presentation period. Otherwise, a presentation may
be made at any time, but in any event no later than the expiry date of

a. Documents commonly used in relation to the transportation of goods, such
as but not limited to, Delivery Note, Delivery Order, Cargo Receipt,
Forwarder‟s Certificate of Receipt, Forwarder‟s Certificate of Shipment,
Forwarder‟s Certificate of Transport, Forwarder‟s Cargo Receipt and Mate‟s
Receipt are not transport documents as defined in UCP 600 articles 19-25.
These documents are to be examined only to the extent expressly stated in
the credit, otherwise according to UCP 600 sub-article 14 (f).
b.i. For documents referred to in paragraph A18) (a), a condition of a credit that
presentation is to occur within a certain number of days after the date of
shipment will be disregarded, and presentation may be made at any time, but
in any event no later than the expiry date of the credit.
ii. The default presentation period of 21 calendar days stated in UCP 600 sub-
article 14 (c) only applies to a presentation including one or more original
transport documents covered by UCP 600 articles 19-25.
c. For a presentation period to apply to a document referred to in paragraph A18)
(a), the credit should specify that presentation is to be made within a certain
number of days after the issuance date of the respective document, or a date
that is to be mentioned in the document (for example, when a credit requires
the presentation of a document titled cargo receipt, “documents to be
presented no later than 10 days after the date of the cargo receipt”).

Shipping marks
ISBP745
A32) When a credit specifies the details of a shipping mark, documents
mentioning the shipping mark are to show those details. The data in a
shipping mark indicated on a document need not be in the same
sequence as those shown in the credit or in any other stipulated
document.
A33) A shipping mark indicated on a document may show data in excess of
what would normally be considered a “shipping mark”, or which is
specified in the credit as a “shipping mark”, by the addition of
information such as, but not limited to, the type of goods, warnings
concerning the handling of fragile goods or net and gross weight of the
goods.
A34) a. Transport documents covering containerized goods often only show a
container number, with or without a seal number, under the heading
“Shipping mark” or similar. Other documents that show a more detailed
marking will not be in conflict for that reason.
b. The fact that some documents show additional information as
mentioned in paragraphs A33) and A34) (a), while others do not, will not
be regarded as a conflict of data under UCP 600 sub-article 14 (d).
