You are asked to note and comply with the following instructions in the preparation and submission of your tender:-

1. ACKNOWLEDGEMENT

Within two (2) working days of receipt of this Invitation to Tender, you are requested to acknowledge:-

(a) Receipt of this Invitation to Tender in its entirety and advise, by the completion and return of
Attachment A (Acknowledgement) to the contact person identified in Item 11.2, whether or not it is
your intention to submit a bid in accordance with these Instructions To Tenderers and by the due
return date.

(b) If you do not wish to submit a tender on this occasion, please return the Invitation to Tender
documents, without delay

2. TIMING OF AWARD

Based upon current schedules, the intention would be to award a SUBCONTRACT as a result of this
enquiry by the end of 15th Sep 2014.

3. FORM OF TENDER

3.1 Your tender shall be submitted on the Form of Tender provided and will be supplemented by all other
information requested in the Invitation to Tender documents.

3.2 You are requested to complete your submission in black ink for reprographic purposes.

3.3 In the event of a SUBCONTRACT award, the SUBCONTRACT shall comprise:-

3.4 No unauthorised alterations shall be made in your tender or the accompanying documents and, if any
such unauthorised alteration is made or if your tender is not properly completed, your entire tender
may be rejected. Please submit your tender on the pages provided and do not re-type.

3.5 You must ensure that the following information requested in the Form of Tender has been duly
completed:-

Item 2 : Under Item 2, delete as appropriate, initialling such deletion.

Detail any additional documents which form part of your bid submission.

Item 7 : Insert the number of circulars issued during the tender period and which
have been taken into account in the preparation of your tender. If no
tender circulars were issued during the tender period, please insert "Nil".

Form of Tender : Complete and have executed by an authorised signatory.

Your tender must state the full legal name and registered office of the
tenderer and, if a corporation, the place of incorporation. Your tender
must be dated, and signed with the usual signature of a person, or
persons, authorised to legally bind the tenderer.

A separate Form of Tender, amended as necessary, shall be submitted in


respect of each alternative offer.

4. TENDER SUBMISSION

4.1 Your original tender with all requested information/attachments, together with one (1) complete copy
and one (1) unpriced copy must be submitted in a sealed package utilizing the address label enclosed
herewith. Your tender submission should not be marked in any way so as to disclose the identity of
the tenderer.

Your tender must arrive no later than 12.00 noon on 05 Sep 2014 (hereinafter referred to as
“Closing Date”).

4.2 It is expected that your tender submission shall comprise the documents as detailed in the Checklist of
Tender Deliverables.

4.3 Your tender submission shall be bound in such a way as to enable easy removal of individual pages
from the submission as extracts from your tender may be used both for internal distribution and, if
your tender is successful, incorporation into a formal contract.

4.4 All rates and/or prices quoted in Section III Subcontract Payment shall be in United states Dollars
(US $).

4.5 You are requested to:-

(a) make use of dividers to sectionalise your tender in such a way as to allow quick reference to
individual parts of your submission;

(b) mark your submission as "Original", "Copy", and “Unpriced Copy”; and

(c) limit inclusions within your tender submission to the information requested.

4.6 Your tender submission with all requested information/attachments shall be submitted in the English
language.

4.7 Your tender shall be open for acceptance for a period of ninety (90) days from the date fixed for
receipt of tenders.
4.8 Your tender submission with all required information/attachments shall be in a sealed package and
shall not be marked in any way which may disclose the identity of the tenderer.

5. TENDER PREPARATION COSTS

We reserve the right to reject any tender that may be received in response to this Invitation to Tender. The
cost of preparing and submitting your tender, and any further costs incurred prior to award of any contract,
shall be to your account. You shall have no recourse to for reimbursement in this respect.

6. TAXES AND DUTIES

Requirements regarding taxes and duties are set out in Section No. I Conditions Of Contract and you are
required to include for all taxes, including Azerbaijan taxes, applicable to the execution of the WORK.

You are responsible for ensuring a full understanding of the implications of the Azeri tax regulations and
making appropriate allowance within your proposals.

Value Added Tax (VAT);

All rates and/or prices entered in Part 3: Price Tables hereto are to be exclusive of VAT.

7. KNOWLEDGE OF THE WORKSITE AND THE WORK

You shall be deemed to have reasonable knowledge and to have satisfied yourself as to the extent and nature
of the SITE and the WORK, the conditions under which the WORK will be carried out, conditions
affecting the supply of labour and materials, and any other matters which may affect your tender. No claim
on the grounds of lack of knowledge in any respect will be accepted.

8. TERMS AND CONDITIONS

8.1 The terms and conditions for the proposed SUBCONTRACT are set out in Part 3 Form of
Subcontract.. You are encouraged to accept the Conditions of Contract but, should you feel that you
can only submit a tender containing changes to the Conditions of Contract, then you should include a
sheet headed "Qualifications to Conditions of Contract” which must specify in detail any required
changes specific to the subject tender documentation.

8.2 In the event that you choose to submit a tender with qualifications, you need to be made aware that an
accurate comparison of the tenders submitted can only, in CONTRACTOR’S view, be achieved by
utilising a uniform basis of comparison and for this reason a financial weighting will be placed
against qualifications to ensure an equitable basis of comparison with unqualified tenders.

8.3 You may make alternative offers in addition to a compliant offer. Should you consider that you can
submit a more competitive or practical offer containing changes to the pricing structure (and to
associated Form of Subcontract etc.), you are at liberty to do so provided that it is clearly marked
"ALTERNATIVE OFFER";

You should also list the commercial advantages to CONTRACTOR in your covering letter.

9. JOINT VENTURES/CONSORTIA

Any tenders submitted by joint ventures or consortia are to comply with the following requirements:-

9.1 Your tender shall be signed by all venturers so as to be legally binding on each party to the joint
venture/consortia. The name of the signatory shall be shown in print underneath each signature.

9.2 A copy of the joint venture/consortium agreement that has been, or is intended to be entered into,
shall accompany your tender. Unless specifically detailed in the terms of the agreement, the
following declaration shall be given in a statement signed by all the venturers and shall accompany
your tender:-

(a) the venturers of the joint venture/consortium shall be liable, jointly and severally, for the
performance of the WORK in accordance with the terms of the SUBCONTRACT, and in the
event that any one of the venturers ceases to be a member of the joint venture/consortium, or
goes into liquidation, then the surviving venturers shall have the full obligation to carry out
and complete the SUBCONTRACT and shall be empowered to use all resources furnished by
any party in the joint venture/consortium, and shall be entitled to have any sub-contracts
assigned to it;

(b) the interest of each of the venturers in the joint venture/consortium;

(c) the name of the venturer nominated to act as manager of the joint venture/consortium and who
in such capacity is authorised to incur liabilities and enter into contractual relationships with
third parties, to make and receive payments, to receive and act upon instructions from the
Company, all for and on behalf of the joint venture/consortium; and

(d) this declaration shall take precedence over anything which may be contained within the said
joint venture/consortium agreement.

10. CONFIDENTIALITY

All documents contained herein together with any subsequent related correspondence are to be treated as
strictly confidential. No copies shall be made and documents/correspondence shall not be used for any
purpose other than as directly required to prepare and submit a tender. In the event that information is made
available to a third party, it shall be on the express condition that such third party shall maintain strict
confidentiality.

11. QUERIES

11.1 Our objective during the tender stage, through the procedure mentioned below, is to maintain liaison
with tenderers to ensure that tender submissions are as free as possible from any qualifications,
clarifications or comments. We will therefore be pleased to receive any query on the Invitation to
Tender documentation or in connection with the WORK. We request that any queries are made as
far in advance of the tender submission date as is possible so that queries are answered for the benefit
of all tenderers. We reserve the right to modify the tender documents at any time prior to the award
of contract.

11.2 Any query with regard to the tender documents should be submitted, in writing, to:-

and marked for the attention of Mr. Yunus Emre NARINC (Subcontracts Engineer for
CONTRACTOR Consortium) who will, if necessary, issue sequential circulars to all tenderers
clarifying such queries, except where this involves proprietary information.

11.3 Any circulars issued prior to the submission of tenders, which contain additions to or explanations of
the tender documents, will be deemed to have been taken into account in your tender. Such additions
and/or explanations will, if applicable, be incorporated in any final contract document issued.

11.4 The single to of contact during the tendering period is the contact person specified in Item 11.2 above.
No unauthorised contact should be made with any other CONTRACTOR personnel. Any breach of
this requirement may result in your tender being rejected.

12. AMPLIFICATION

12.1 You should note that since we are encouraging innovative tenderer submissions, evaluation will be
complex. It is therefore expected there will be a period of tender clarification. To minimise this, we
ask that you endeavour to provide complete clarity in your proposals as to what you are/are not
providing.

12.2 We request that your bids are succinct, innovative and contain all relevant information to enable full
evaluation. Only information contained within your tender, specifically requested after receipt of your
tender, or observed during the tender/tender evaluation period will be used in the evaluation.

12.3 We reserve the right to optimise the preferred tender(s) prior to award.

12.4 You should note that as part of this tender exercise, we reserve the right to request additional
information, clarification or more detailed information on any tender submitted. We may require
interviews with your proposed personnel and may also require a detailed review of proposed computer
systems. We may also request, prior to the award of any contract, evidence to demonstrate your, and
your proposed sub-contractors, financial soundness, credit worthiness and capability to undertake the
SUBCONTRACT. You should note that unsolicited re-tenders may result in your disqualification.
Tenders by telex/fax are not acceptable.

13. TENDER EVALUATION CRITERIA

The SUBCONTRACT will be awarded on the basis of the most economically advantageous proposal to
CONTRACTOR. The assessment will critically examine the tenderers' submissions in relation to:-

(a) remuneration proposals, and;

(b) responses to the Questionnaire.

Tenderers are requested to note that, in accordance with the Part 1 - Instructions to Tenderers, Item 8.2, a
financial weighting will be placed against any qualifications to the proposed terms and conditions.

14. RETURN OF DOCUMENTS

In the event of your tender being unsuccessful, you will be informed and, if requested, you must return the
Invitation to Tender documentation, together with all information issued in connection therewith, to us by
return.

CHECKLIST OF DELIVERABLES

Action Points Before Submission of Tender

• Part 1 - Instructions to Tenderers, Item 1. Acknowledge receipt of the Invitation to Tender and confirm if it
is your intention to submit a tender by the due return date using Attachment A (Acknowledgement).

It is expected that your tender submission to arrive at the specified address not later than 12.00 noon on the
Closing Date as stated in clause 4.1 of the Instructions to Tenderers will comprise:-

• A completed Form of Tender in respect of each offer, utilising the pages provided. Submissions shall be in
black ink for reprographic purposes. Alternative offers shall describe the commercial advantage to the
CONTRACTOR.

• Your response to the Part 2: Questionnaire. You are requested to address each question in a clear and
concise manner, and submit all information required to enable full evaluation. Please ensure that your
submission corresponds exactly with the numbers used in the Invitation to Tender documents.

• Your pricing of Part 2: Price Tables (which if successful would form the Attachments to Section III Contract
Payments of the SUBCONTRACT) You are requested to provide all information to enable a full
understanding of your pricing proposals, and include any alternatives for incentive schemes.

• Part 3: Section 1 Conditions of Contract. If applicable, advise of any qualifications to the proposed terms
and conditions, and list the commercial advantages to CONTRACTOR from such changes.

• Original plus one (1) copy and one (1) unpriced copy required.

• Submit your tender in a sealed package and use the address label provided. Do not mark your package in
any which may disclose the identity of the tenderer.
