DEED OF ABSOLUTE SALE

This Deed of Absolute Sale, made and entered into this _____ day of
____________ 2018 in ____________ City, Philippines, by and
between:

SPS. XXX1, both Filipinos and of legal age,

hereinafter referred to as the “SELLERS”

– and –

SPS. XXX2, both Filipinos and of legal age,

hereinafter referred to as the “BUYERS”

W I T N E S S E T H:

WHEREAS, the SELLERS are the legal registered owners of


______________, with a floor area of ___________________ located
at ____________________, respectively covered by Condominium
Certificate of Title No. ____________ issued by the Register of Deeds
of _________________, hereinafter referred to as the “PROPERTY;”

WHEREAS, the SELLERS wishes to sell and the BUYER has agreed
to purchase the PROPERTY free from all liens and encumbrances of
any kind and nature, as well as any and all rights and interest
appertaining thereto under the Master Deed, the Articles of
Incorporation and By-Laws of the Condominium Corporation;

NOW, THEREFORE, for and in consideration of the foregoing


premises and subject to the terms and conditions herein set forth, the
BUYERS buy and the SELLERS sell, transfer and convey, by way of
absolute sale, unto the BUYERS, their successors and assigns, the
said condominium unit as well as any and all rights and interest
appertaining thereto under the Master Deed, the Articles of
Incorporation and By-Laws of the Condominium Corporation.

1. The purchase price for the said corporation unit shall be

2. The BUYERS shall pay a down payment of

3. The BUYERS shall pay the remaining balance of


______________________________ upon transfer of the title in their
names.

4. The SELLERS warrant that the title to the said condominium unit is
free and clear of any and all liens and encumbrances, except the
restrictions contained in the Master Deed.

5. The BUYERS accept and bind themselves to all conditions and


restrictions embodied in the Master Deed, the Articles of Incorporation
and By-Laws of the Condominium Corporation.

6. The SELLERS undertake that they, their heirs, successors and


assigns shall warrant and defend the title to the real property subject
of this Deed against all claims of all persons or entities. The SELLERS
also guarantee the rights of the BUYERS to take possession of the
property subject of this agreement upon the signing and execution of
this agreement and will defend the latter against all judicial or
administrative actions for eviction.

7. In addition to the consideration above, the capital gains tax,


documentary stamp tax, value-added tax, registration fee, legal and
notarial fee and other incidental expenses in the registration of the sale
and title transfer shall be for the sole account of the SELLERS.

8. The association dues and utilities shall be for the sole account of the
SELLERS until the execution of this Deed of Absolute Sale.

9. This agreement shall be binding and valid upon the parties herein
and their hers, agents, representatives, and assigns.
