EXTRA-JUDICIAL SETTLEMENT OF ESTATE

WITH DEED OF SALE

KNOW ALL MEN BY THESE PRESENTS:

This AGREEMENT made and entered into among the Heirs of BARTOLOME S.
CHANG hereinafter called the VENDORS namely:

FREDESVINDA G. CHANG, Filipino citizen, of legal


age, widow and resident of Lapasan, Cagayan de Oro
City;

MARIAN CHANG-MARTIN, Filipino citizen, married,


and resident of #449 Fr. Cappodano Blvd., Staten
Island, New York, New York;

GERRY G. CHANG, Filipino citizen, of legal age, single


and resident of #5 Country Magnolia Lane, Egg
Harbor, New Jersey;

CINDY G. CHANG, Filipino citizen, of legal age, single


and a resident of #831 Cedar Lane, City of
Pleasantville, New Jersey.

and residents of Barra, Opol, Misamis Oriental
hereinafter called as the VENDEES.

WTNESSETH:

WHEREAS, on February 16, 2005, BARTOLOME S. CHANG died intestate in Atlantic


City, New Jersey, USA, leaving that certain conjugal real property together with all
improvements found thereon, situated in Gusa, Cagayan de Oro City, Philippines, and
more particularly described as follows:

A parcel of land (Lot No. 23 of the Cadastral Survey of


Cagayan) with the improvement thereon, situated in the Barrio of
Gusa, Municipality of Cagayan. Bounded on the NE., by Lot Nos.
2584 and 2578; on the SE., by Lot No. 2579; on the SW., by Lot
No. 2581; and on the NW., by Lot No. 2585. Beginning at a point
marked "1" on plan, being S. 20 deg. 09'W., 670.46 m. from
B.L.L.M. No. 36; thence S. 59 deg. 28' W., 89.43 m. to point 2;
thence N. 39 deg. 27' W., 160.96 m. to point 3; thence N. 55 deg.
30' E., 66.74 m. to point 4; thence S. 49' deg. 54' E., 142.03 m. to
point 5; thence S. 31 deg. 56'E., 29.67 m. to point of beginning;

containing an area of thirteen thousand three hundred and
eighteen (13,318) square meters more or less. All points referred
to are indicated on the plan; bearings true; declination 1 deg. 44'
E., date of survey, Nov. 1926 - July 1932.

WHEREAS, the parties are the sole and only heirs of the decedent entitled to
succeed to his estate, they being his lawful spouse and legitimate children;

WHEREAS, there are no known debts or obligations due against the estate of said
decedent; and

WHEREAS, it is to the best interest of the parties hereto to divide, partition and
adjudicate between/among themselves the entire estate particularly the real property
above described extrajudicially in the manner and form herein after set forth;

NOW, THEREFORE, for and in consideration of the foregoing premises, and


invoking the provisions of Section 1 Rule 74 of the Rules of Court, the parties have agreed
as they hereby hereby so agree to divide, partition and adjudicate the above estate
between/among themselves in pro indiviso equal shares, subject however, to contingent
liabilities to creditors, heirs or other persons who might have been deprived of lawful
participation in the estate of the decedent, for a period of two (2) years from and after
the settlement and distribution thereof, in accordance with the provisions of Section 4,
rule 74 of the Rules of Court; and

That in the remote event that any other property of the decedent should ever be
found which is not included herein above, the parties hereto agree further as they do so
agree to settle and distribute the same in like manner and proportion as herein
established and disposed.

That for and in consideration of the sum of FIVE THOUSAND PESOS (P/ 5,000.00),
Philippine currency, paid in hand by the VENDEES, receipt of which is hereby
acknowledged by the VENDORS, the VENDORS do by these presents, SELL, CEDE,
TRANSFER and CONVEY, absolutely and unconditionally unto the said VENDEES, their
heirs, successors or assigns, that above-described parcel of land, free from all liens and
encumbrances.

That the VENDORS hereby warrant legal title and peaceful possession of the
property herein sold and conveyed, and will defend the same unto the said VENDEE, his
heirs, successors or assigns, against all claims of all persons or entities whomsoever.

That the provisions of Article 1623 of the New Civil Code of the Philippines have
been complied with prior to the execution of this Deed of Absolute Sale.

Sale.
