Books on Demand Agreement

KNOW ALL MEN BY THESE PRESENTS:

This Agreement made and entered into this ___________________, by and


between, ________Lhem J. Naval______________ with postal address at
____________Misamis University College of Law, HT Feliciano St., Aguada, Ozamiz City__,
(Tin no. /Mobile no.) TIN 923610646 Mobile 09751096445 a Filipino citizen of legal
age and hereinafter collectively called the AUTHOR(s)

- and -

CENTRAL BOOK SUPPLY, INC., a corporation duly organized and existing


under the laws of the Philippines with office at Phoenix Bldg., 927 Quezon
Avenue, Quezon City, 1104 Philippines, herein represented by its Vice-
President for Operations, MR. JUAN CARLOS M. SIBAL, duly authorized for
the purpose, hereinafter called the PRINTER/SELLER.

WITNESSETH THAT

For valuable consideration of the sum of ELEVEN THOUSAND EIGHT HUNDRED


PESOS (Php 11,800.00) paid by the AUTHOR(s) to the PRINTER/SELLER, the PRINTER/SELLER
will print, bind, Pointers in Constitutional Law__ ___ SRP_P_590________(hereinafter
referred to as the BOOK), under the following terms and conditions:

1. The copyright of the BOOK shall belong to the AUTHOR(s) who shall retain
ownership of all intellectual property rights over the same. The AUTHOR(s)
assumes sole responsibility, to the exclusion of the PRINTER/SELLER, for any civil,
criminal or administrative action that may arise in relation to the contents of the
BOOK.

2. The AUTHOR(s) warrant(s) that he/they own(s) the copyright over the BOOK by
virtue of being its creator(s). The AUTHOR(s) further warrant that he/they will
retain copyright over the BOOK for the duration of this agreement.

3. The PRINTER/SELLER shall print, bind, and make the BOOK available for sale to
the public through its Book on Demand Service in accordance with the terms
and conditions agreed upon by the AUTHOR(s). Under the Books on Demand
Service, the AUTHOR(s) shall allow the PRINTER/SELLER to sell the BOOK in its stores
and reprint the same on demand. Upon the first printing of the BOOK, the
PRINTER/SELLER shall stock 50 copies thereof in all its stores at the AUTHORS'
expense. The proceeds of the sale of the first 50 copies (not including reprints)
shall be as follows: (a) thirty percent (30%) of the retailing selling price shall
pertain to the PRINTER/SELLER; and (b) the AUTHOR(s) shall be entitled to receive
the remaining seventy ( 70% ).

4. The AUTHOR(s) shall retain the right to market and sell the BOOK through other
channels of distribution.

5. The PRINTER/SELLER reserves the right to modify print costs as the need arises but
only after giving the AUTHOR(s) due notice of such changes at any time prior to
printing. In the event that the AUTHOR(s) does/ do not agree to the modified
print costs, he/ they should notify the PRINTER/SELLER of his/ their position to
printing. If the parties do not reach an agreement as to print costs, the
PRINTER/SELLER is thereby released from its obligations to print the BOOK.

6. The PRINTER/SELLER shall print the BOOK only after the final proof has been
approved by the AUTHOR(s). The PRINTER/SELLER shall not be held liable for errors
in the final print approved by the AUTHOR(s). Costs modifications and/or
revisions by the AUTHOR(s) after printing shall be for the account of the
AUTHOR(s)

7. The pricing of the BOOK shall be agreed upon and honored by both parties.

8. Subject to Paragraph (5) hereof, the PRINTER/SELLER shall exert its best efforts to
maintain stocks of the BOOK in its stores at all times, to reprint additional copies
of the BOOK as the need arises, and to place copies of the BOOK in all the stores
of the PRINTER/SELLER. The PRINTER/SELLER shall not be liable if, despite its best
efforts, the BOOK goes out of stock from time to time due to unavoidable
situations such as machine downtime, etc. The PRINTER/SELLER shall also not be
liable if, despite its best efforts, the BOOK is not timely reprinted, or if the BOOK is
not aptly placed in all its stores of the PRINTER/SELLER.

9. Except for the first FIFTY (50) copies mentioned in paragraph (3) of this Contract,
the AUTHOR(s) shall receive a royalty from every copy of the BOOK subsequently
sold in the PRINTER/SELLER’S stores amounting to seventy percent (70%) of the
gross margin after the print cost. Gross margin shall be computed as retail selling
price less the following: thirty percent (30%) as distribution charge and the
assessed print cost of the book.

10. The PRINTER/SELLER shall provide a control system in monitoring the number of
copies of the BOOK reprinted and sold, and in reporting the same to the
AUTHOR(s) shall have the right to inspect the appropriate records of the
PRINTER/SELLER after giving the latter prior notice in writing at least three (3)
business days before the intended inspection.
11. The PRINTER/SELLER shall exert its best efforts to comply with its obligations and
undertakings in this agreement. The PRINTER/SELLER, however, shall not be liable
if, despite its best efforts, there is a breach of the terms and conditions of this
agreement due to unforeseen circumstances.

12. The PRINTER/SELLER shall periodically pay the AUTHOR(s) the corresponding
royalty payments every six (6) months thereafter. The PRINTER/SELLER may be
given a forty-five (45) days grace period by the AUTHOR(s) to allow purchases
on credit to be collected. The PRINTER/SELLER shall effect payment by making
timely deposits to a bank account, the number of which shall be provided by
the AUTHOR(s) or prepare a check payable to the AUTHOR(s).

13. This Agreement can be terminated by either or both of the parties for any
reason upon written notice to the other party at least thirty (30) days prior to the
intended date of termination.

14. Any legal action arising from the enforcement, implementation or violation of
the terms and conditions of the Agreement shall be filed with the courts of
appropriate jurisdiction of the Quezon City to the exclusion of all other courts.
The parties hereby waive all other applicable venues.
