MAINTENANCE CONTRACT

KNOW ALL MEN BY THESE PRESENTS:

This CONTRACT, made and entered by and between:

ヽψ THE PUBLIC ATTDRNEY'SOFFICE, a government

agency attached to the Department of Justice, and existing
under the laws of the Republic of the Philippines with postal
address at the 5th Floor, DOJ Agencies Building, NIA Road Cor.
East Avenue, Diliman, Quezoh'City,Metro Manila, heretn duly
represented by its Deputy Chief Public Attorney and authorized
sigrratory, ATTY. SILVESTRE A. MOSING, hereinafter referred
to as the "CLIENT"

-and-
OM TRADING, a Corporation duly established and
existing under the laws of the Republic of the Philippines, with
main office located at the 3240 Teacher'sVillage, Gen T. De
Leon Street, Valenzuela City, Metro Manila, represented herein
by MR ORLANDO MAGLALANG, who is duly authorized for
( the purpose and hereinafter referred to as the
..CONTRACTOR",

. WITNESSETH
WHEREAS, the CONTRACTOR is engaged in the business of
providing technical and preventive maintenance and service for CCTV
Surveillance Systems equipment and other similar equipment;

WHEREAS, CCTV Surveillance Systems equipment installed at the

PAO-Central Office, DOJ Agencies Bldg., above address, needs to be
maintained and serviced to prevent possible breakdown and deterioration
and to assure the smooth and uninterrupted operation of said equipment;

WHEREAS, the CLIENT is in need of and requires the servicing and

maintenance of the above-described CCTV Surveillance Systems equipment
and is willing, agreeable and amenable to secure the services of the
CONTRACTOR for such purpose under the terms and conditions hereinafter
set forth;

WHEREAS, the CONTRAGTOR is willing, able, agreeable and

amenable to furnish the services required and called for by the CLIENT
under the terms and conditions hereinafter set forth; and

 WHEREAS, the CONTRACTOR has an adequate techrrical expertise
to perform the service, maintenance and repairs on the
above-described
CCTV Surveillance System equipment.

NOW THEREFORE, for and in consideration of the foregoing

premises, the parties to this Contract hereby and by these presents mutually
agree and stipulate as follows:

A.PREVENTiVE MAINTENANCE SERV:CE

ヽ That the CONTRACTOR shall render a twice a month
ヽ maintenance iervioe of said CCTV Surveillance System
equipment through inspections, adjustments and
standard cleaning, adjusting, calibration, and testing
procedures designed to ensure that the equipment stays
in good working conditi,ons as well as to reduce the
t. possibility of equipment failure. This work shall also
be performed at other specified times mutually agreed
upon by both parties herein.

A. TNCLUSION (FREE OF CHARGE)

c. Video Balun w/ Surge Protector

Replacement of major parts as follows.
B. EXCLUSTON (FOR PAYMENT)
a. Digital Video Recorder (DVR)
b Hard Disk Drive
C.Centralized Power Supply

d Monitor
e. Services to repair damages to the equipment
resulting from neglect, accident, abuse, rnisuse,
misapplication, incorrect reconnection, failure
to operate the equipment in accordance with
the Manufacturer standard and environment
specification, fire, natural calamities, and repair
or alteration work performance by other parties.

3 That the CLIENT'Srequest from the CONTRACTOR

for skilled service technicians to attend to any
emergency breakdown or faulty operation of the
Equipment shall be immediately attended to by the
CONTRACTOR.

 That all inspection and repair services shall be done
during the regular working hours on the regular working
days of both the CLIENT and the CONTRACTOR. Any
overtime work rendered by the service technicians shall
be shouldered by the CONTRACTOR.

That any emergency call-back service required by the

CLIENT shall be provided between regular inspection
should trouble develop with the equipment. Upon receipt
of a call from the CIIENT, its technicians will be on site
on the following day but not later than forty eight (aB)
hours.

C. PERIOD OF SERVICE AGREEMENT

1. This Contract shall be for a period of one (1) year

effective May 1, 2019 until May 1, 2A20 and may
be renewed upon mutual agreement of the parties
hereto.

2. ln case of the expiration of this contract and either party

does not signify his/their intention to terminate the same, it
is understood that this Contract is renewed
automatically for another one (1) year period and under
the same terms and conditions.

That the CLIENT shall pay the CONTRACTOR a

monthly service fee in the amount of EIGHT
THOUSAND SIX HUNDRED SIXTY SIX AND 66/100
PESOS (PhP 8,666.66) Phitippine Currency inctusive
of 12o/o VAT payable at the end of every month upon
receipt of Sales lnvoice and Preventive Maintenance
Reports.

Thatpreceding
in addition to the monthly service fee mentioned in
the paragraph under this article, the
CLIENT shall shoulder the cost of the other major
parts to be replaced (other than those specifically
mentioned in ltem 2 (B) hereof).

 E. MISCELLANEOUS PROVISIONS
1. That the CONTRACTOR carries an
independent
business and undertakes this Contract under its own
responsibility according to its own manner and nrethod
free from the control and direction of the CLIENT in all
matters connected with the performance of
the
worl</service;

／ That no employee-employer relationship shall arise

between the CONTRACTOR and/or its workers on one

１ hand, and the CLIENT on the other. The workers

employed by the CONTRACTOR herein shall be paid by
＼ the CONTRACTOR;'
Ｐ That the CLIENT shall in no manner be answerable or
＼ accountable for any accident and injury which may occur
to any worker or personnel of the CONTRACTOR during
the performance of the work services mentionecl here,
and/or for any injury, loss or damage whatsoever and
shall save the CLIENT harmless therefrom, whether the
injuries or accidents occurred inside or outsicJe the
. premises of the CLIENT;

That the CONTRACTOR shall be responsible for any

- loss or damage that may be incurred upon the
properties
of the CLIENT during the effectivity r:f this
Contract or from any injury to any person, which shall be due to
the unreasonable or negligent act or omission of
the CONTRACTOR or its workers, whether acts is
intentional or not;

That the CLIENT may engage the services of any other

company/firm/individual for the same purpose
herein mentioned if the coNTRAcroR cannot fulfill its
obligations under this Contract. However, the
CONTRACTOR shall be free from any and all
responsibilities and liabilities that might result as a
consequence thereof.

That the CLIENT undertakes not to allow or pernrit any

person
not authorized by the CONTRACTOR to do any work
contract
on the Equipment during the effectivity of this
The CONTRACTOR will not be liable for any accident or
damage resulting therefrom.

That the CLIENT hereby authorizes the CONTRACTOR

to remove such parts of the Equipment to its premises for testing
and/or replacement of parts, as the
CONTRACTOR considers necessary.

 F.AMENDMENTS
l. That no provision of this Contract may be amended,
changed, altered or modified except in writing and
signed by the parties

G.LECAL ACT10N
1. All claims and disputes arising out of this Contract
shall first be settled amicably by the parties concerned
before resorting to.dhy judicial action.

2. The parties hereto agree that the venue of any legal

- action shall be in any of the proper courts in euezon
City, Metro Manila.
