Dear Oksana,

I am pleased that you desire to engage ELIZAVETA V. SAMORUKOVA, P.A. This Retainer
Agreement sets out the terms of our engagement. For simplicity purpose, I will refer to you as the
“Client,” and to Elizaveta V. Samorukova, P.A. as the “Firm.”

Our representation is limited to the matters as identified in this agreement. We will

provide services of strictly legal nature as described in this letter. It is understood that you are not
relying on us for business, accounting or investment decisions, or to investigate the character or
nature of the individuals you are dealing with.

The Firm agrees to provide to the Client the legal service of preparing the Family-Based
Adjustment of Status Package on behalf for your daughter based on immediate relative petition
filed by her step-father, and preparation of your spouse and your daughter for adjustment of
status interview.

I. For preparation of Family-Based Adjustment of Status Package on behalf of your

daughter, Bogdana Razdorozhna, the Client shall pay the Firm a courtesy reduced flat
fee of $2,250.00 (Two Thousand Two Hundred Fifty Dollars and Zero Cents). This fee
shall only cover legal fees. The costs and expenses associated with this matter such as
the U.S. Citizenship and Immigration Service (“USCIS”) filing fee in the amount of
$535.00 for Petition for Alien Relative, and $1,225.00 for Adjustment of Status
Application, as well as cost and expenses in the amount of $150.00, and $30.00 system
registration fee, are payable separately prior to filing of the package with the USCIS.

II. OPTIONAL: for attendance of an Adjustment of Status/Relative Petition interview at

the Miami or Oakland Park Field Office, the Client shall pay an additional flat fee of
$300.00 for each interview. For attendance of an Adjustment of Status/Relative
Petition interview at the West Palm Beach Field Office, the Client shall pay an
additional flat fee of $500.00 for each interview. You may choose to attend the
interview without an attorney.

 Should the case take longer than one year from the date this Agreement is signed until the
Package is filed with USCIS, due to Client’s fault or complications beyond the Firm’s control, the
Client shall pay the Firm an hourly fee of $250.00 per hour, or a mutually agreed flat fee (in such
case an Addendum to this Agreement will be executed). Circumstances beyond the Firm’s control
that may adversely affect handling of this matter causing delay, include but are not limited to the
following: change in Client’s goals (for example, Client’s decision to change the matter from one
visa category to another, abandon visa application or file it at a significantly later date) or other
personal circumstances; Client’s illness, Client’s failure to cooperate with the Firm in providing
information, records, documents necessary for filing Client’s case or responding to the USCIS
requests for additional information, or similar reasons.

Because the Firm is constantly working on preparation of immigration forms and

submission of packages, and certain work will be completed on the matter to be filed with USCIS,
when the Client unilaterally decides to terminate the attorney-client relationship, the Firm shall
have the right to keep the entire amount of retainer fee and demand payment of any expenses
associated with the work completed to date, such as: records, letters, certified translations, etc.

The Firm shall have the right to withdraw from this matter if Client has misrepresented or
failed to disclose material facts to the Firm or if Client has failed to follow the Firm’s advice or
otherwise failed to cooperate with the Firm in the handling of this matter.

Photocopies of the files cannot be provided if attorney’s fees are outstanding. If records
have to be mailed to the Client, Client is responsible for mailing costs (Express Mail or FedEx).
Copies of the file will not include attorney’s work product as such documents are not available for
copying.

The Client agrees to cooperate fully with the Firm and to provide all information known or
available to the Client which may aid the Firm in its representation of the Client in the matters
referred to above. Furthermore, the Client authorizes and directs the Firm to take all actions which
the Firm deems advisable on the Client’s behalf. The Firm agrees to use its best efforts in
representing the Client in the matters referred to above; however, the Client acknowledges that the
Firm has given no assurances regarding the outcome of these matters.

With regards to the ethical consideration and the ethical professionalism of this firm, several
points should be addressed. First, we are required to preserve the confidences and secrets of our
clients. Therefore, we encourage complete communication between attorney and client and more
important, mutual trust. This firm can only represent you with all the information necessary to your
representation and would request unrestrained communication at all times.

Second, during the term of this Firm’s engagement, we will not accept any representation of
another client to pursue interests directly adverse to your own, unless and until, we have made full

disclosure of all the relevant facts, circumstances and implications of our undertaking the two
representations and you have consented to the this Firm’s representation of the other client. Of
course, it is understood, that you will be reasonable in granting said consent.

This Firm invites its clients to discuss freely with us any questions they may have regarding
the fee charged in any matter as well as their case at any time. We want our clients to be satisfied
with both the quality of our services and the reasonableness of the fess that we charge for those
services.
Upon completion of your case, or upon early termination of our relationship, the attorney-
client relationship will terminate. This is true unless of course you decide to continue with this firm
in other matters, which of course, we desire. Termination of the representation is available at
anytime by either party.

Elizaveta V. Samorukova, P.A., uses the following methods to communicate directly with
clients: telephone, text messages and email. Our desire is to make it as convenient as possible to
respond to our clients’ needs and concerns in a timely manner. Below are some helpful guidelines in
order to provide the best service for our clients:

− The primary method of communication used by the law firm is email. We recommend
you check your email at least one time per day. All the case updates and documents
are shared via email. It is your responsibility to check your email frequently.
− If the matter is an emergency, please call the office and send a follow up email
describing the issue.
− We utilized text messages for appointment and deadline reminders only. Please do not
use text messages to communicate with the attorney about any substantive issues.
− Our operating hours are 9:00a.m. to 5:00p.m., Monday through Friday. Only
emergency emails and calls will be returned after business hours (attorney reserves the
right to designate which emails/phone calls are an emergency). Our normal response
time is 48 business hours (we try our best to respond as soon as possible).
− Just to give you an idea, emergency matters include maters of life or death (that is how
the court defines it), or immigration detention. If you have life of death matter, call 911,
if you were arrested by immigration - call our office.

Your agreement to this engagement constitutes your acceptance of the foregoing terms and
conditions. If any of them are unacceptable to you, please advise us now, so that we can resolve any
differences and proceed with a clear, complete, and consistent understanding of our relationship.
Our representation in these matters will commence when we receive the executed Retainer
Agreement along with the initial non-refundable retainer fee in the amount of $750.00.

If you are in agreement, please sign and date below, and return this signed and dated document
to me along with the payment of $750.00 payable to “Elizaveta V. Samorukova, P.A.”

 The legal fees and USCIS filing fees and expenses are due as follows:

o $750.00 legal fees – due at the time of signing this Agreement;

o $1,760.00 ($1225.00+$535.00) USCIS filing fees – prior to submission of the package to
the USCIS;
o $180.00 ($150.00+$30.00) advanced cost and registration - prior to submission of the
package to USCIS;
o $500.00 legal fees – due on or before December 25, 2019;
o $500.00 legal fees – due on or before January 25, 2020;
o $500.00 legal fees – due on or before February 25, 2020.
o OPTIONAL: $300.00 (or $500.00) legal fees – for attendance of the interview - prior to
attendance of each interview.

Any services that are not paid for in full within three (3) days of due date shall incur late
fee in the amount of 5% of payment amount. Any balance left unpaid for over thirty (30) days
shall be grounds for the Firm to withdraw representation.

I would like to express my appreciation for the confidence you have placed in our Firm,
and once again I confirm that I look forward to serving you as your attorney.
