ICPO (IRREVOCABLE CORPORATE PURCHASE ORDER)

We, GROUP TSHAMS MINING SARL hereby confirm with full corporate responsibility, under penalty of
perjury, as Sellers, we are ready, willing, and able with legal authority to deliver and offer for the sale
of the following quantity of AU metal (GOLD Dore Bars).

We, as the mandate of the buyer would be accepted your FCO, We counter
issue ICPO in response, We hereby state that we are ready, willing and able to purchase the
commodity that just you are proposed in FCO. Regarding as the terms and conditions we are generally
agreed, but we would like some negotiations

ORIGIN: DRC
QUANTITY: 987kg (750kg) Spot in Philippines and 300kgs delivery per month
PURITY: Min 95% Final assay to be made at buyer's refinery.
Said assay value will be accepted by both Buyer and Seller
It means after final assay, calculated based on assay report.
PRICE: $37000 Per KG (/24K=99.99%) Buyer’s destination
with agreed advance payment as below business procedure point 5.
If after the final assay in buyer's refinery, purity is found to be less than 95%,
the price will be adjusted as per negotiated price.
CONSULTATION FEES: $1000 per kg Buyer Mandate (Represented by Victor Ehimen Oniwona ) ,
$1000 per kg Seller Mandate (Represented by Isaac Segoatle) paid by seller
on gross price of $37000.
LOCATION: MANILA, PHILLIPINES
CURRENCY: US dollar.
PACKAGING: In metal export boxes
DELIVERY TERMS: 987KGS (750kg)SPOT AND 300KGS Monthly for 12 months
DELIVERY PLACE: Buyer’s refinery

BUSINESS PROCEDURE :
1. Seller sends FCO to Buyer,Buyer signs FCO.☑️
2. Buyer or Buyer’s Representative travel to Manila, Philippines for a TTM and view the goods
physically.
3. Both, Buyer and Seller sign the contract.
4. Buyer visits Manila, Philippines to obtain samples from the total consignment for testing
purposes at government laboratory.
5. After satisfactory inspection and testing, Buyer must make payment for storage (customs
warehouse storage fee) insurance, freight and handling charges which will be deducted from final
payment.
In case of the buyer’s destination is in Philippine,
Any excise tax is on the buyer,
Deliver fee to Destination and Final assay, These costs are arranged by BUYER,
but ultimately will be deducted from final payment.
The Charges for Sample test at government laboratory is on the seller.
For Insurance, Determined by discussion at TTM.
6. Seller provides the documentation required to ship the consignment to the Buyer’s destination
within 3 working days after this payment is made.
In case of the buyer’s destination is in Philippine,
These payment should be paid by the buyer to each, When the delivery company receives
payment, if it takes time to issue the proof of transportation, it will hand over the receipt and the
transportation confirmation to the payer.
7. The Seller or his representative will accompany the Buyer with the consignment to the Buyer’s
final destination to witness and ensure the full payment after the final assay at the Buyer’s
refinery.

This FCO is valid for Three Working days from the date shown above.
This ICPO is valid for Three Working days from the date shown above.
