FORM OF AGREEMENT

between Dolphin Energy Limited, whose office is at Dolphin Energy Tower, West Bay Area (Area
61), Doha, State of Qatar (hereinafter referred to as the “Company”) and

(hereinafter referred to as the “Contractor”).

WHEREAS the Company requires that certain Services be provided,

NOW THIS AGREEMENT WITNESSETH as follows:

1. The Company and the Contractor agree that the Services shall be carried out by the
Contractor in accordance with the following documents which shall be deemed to form
and be read and construed as part of the Agreement.

Section 9 HSES Guidelines

In the event of any conflict between the documentation listed above, or between any other
documents which become part of the Agreement, Contractor shall notify Company
immediately and Company shall comply with Company resolution of the conflict, without
recourse.
2. The Company hereby agrees to pay to the Contractor, in consideration of the proper
performance of the Services in accordance with the terms and conditions of the
Agreement, the Agreement Price at the times and in the manner prescribed by the
Agreement.
3. The Effective Date is .......................................20....... being the earlier of the date on
which the Agreement is signed by both parties and the date of the Letter of Acceptance
and is the date upon which the Agreement becomes binding on both parties. Unless
terminated earlier in accordance with the Agreement, the Agreement shall thereafter
remain in full force for a period of Four (4) years with an option for One (1) year extension
on the same terms and conditions as for the previous (4) years.
4. The Company and the Contractor agree that the type of Services covered under this
Agreement shall be non-exclusive and that the Company shall have the right to execute
contracts with other parties for similar services.

5. Any notice by either party to the other concerning the Agreement shall be in writing and
delivered either by hand or by mail to:
