CONTRACT TO SELL

Know All Men By These Presents :

This CONTRACT, made and entered into at Antipolo City, by and

among:

MANUEL T. GARCIA, Filipino citizen, widow, and with residence

and post office address at NO. 3515 Paraiso St., Sta. Mesa,
Manila, hereinafter referred to as the VENDOR;

- and -

MA. CARMELA T. VALDEZ, of legal age, single, Filipino citizen,

and a resident of No. 10A U406 Kaginhawan St. Kar Vill.,
Manggahan, Pasig City, hereinafter referred to as the VENDEE;

W I T N E S S E T H:

WHEREAS, the VENDOR is the absolute and registered owner of a

parcel of land consisting of TWO HUNDRED EIGHTY TWO (282) square
meters, more or less, located at Cainta,Rizal and covered by Transfer
Certificate of Title No. 068-2018004605 issued by the Registry of Deeds of
Binangonan, Rizal

WHEREAS, the VENDEE has offered to buy and the VENDOR has
agreed to sell the above mentioned property under the terms and conditions
herein below set forth;

NOW THEREFORE, for and in consideration of the total sum of ONE

MILLION SIX HUNDRED THOUSAND PESOS ( P1,600,000.00) net of
capital gains tax, documentary stamps tax, transfer fee and registration fee,
and of the covenants herein after set forth the VENDOR agrees to sell and
the VENDEE agrees to buy the aforesaid property subject to the following
terms and conditions:

1. The total consideration shall be ONE MILLION SIX HUNDRED

THOUSAND PESOS ( P1,600,000.00), Philippine Currency,
payable as follows:

a) The amount of SIX HUNDRED THOUSAND PESOS (P 600,000.00)

representing the downpayment shall be payable by the VENDEE to
the VENDOR upon signing of this Contract to Sell;

b) The remaining balance in the amount of ONE MILLION PESOS

(P1,000,000.00) shall be payable in full within a period of ONE (1) MONTH
;

2. Possession to the subject property shall be delivered by the

VENDOR to the VENDEE upon full payment of the total consideration;
 3. Upon full payment of the total price, the VENDOR shall sign and
execute a DEED OF ABSOLUTE SALE in favor of
the VENDEE. The VENDOR shall likewise execute and/or deliver any and all
documents, including but not limited to the original copy of Transfer
Certificate of Title, Tax Declaration and all other documents necessary for the
transfer of ownership from VENDOR to the VENDEE.

IN WITNESS WHEREOF, the parties hereto have hereunto affixed

ACKNOWLEDGEMENT

BEFORE ME, a Notary Public for and in ______________, personally

appeared Manuel T. Garcia and Ma. Carmela T. Valdez with their respective
Competent Evidence of Identity above-decsribed, known to me and to me
known to be the same persons who executed the foregoing instrument
under oath and acknowledged to me that the same is their free and
voluntary act and deed.

This instrument consisting of two (2) pages including this page wherein
acknowledgement is written has been signed by the parties and witnesses on
each and every page thereof and relates to sale by installments of a certain
parcel of land.
