COMPANY LAPTOP USE AGREEMENT

This Agreement is made and entered into this _______ day of [Month, Year] in Pasig
City, Philippines, by and between:

_______________________________ a corporation duly organized and

existing under Philippine laws with main office located at Unit 2702D

hereinafter referred to as the “COMPANY”;

and

__________________, hereinafter referred to as the “USER”.

RECITALS:

WHEREAS, the Company shall provide the User with a company laptop for use in the
duration of his/her employment;

WHEREAS, the company laptop provided to the User is to enable him/her to fulfill
his/her function as [position];

WHEREAS, the User is willing to accept and avail of the use of the assigned company
laptop subject to the terms and conditions stated in this Agreement;

NOW THEREFORE, for and in consideration of the foregoing premises, the parties agree
as follows;

2. Cost of the Laptop

The cost of the company laptop is [amount in words and figures] (Php _____.00). Such
cost shall be depreciated fully and equally over a five (5) year period.

3. Use and Maintenance of the Laptop

a. The User shall use the assigned company laptop with extraordinary care and due
diligence in accordance with the terms and conditions of this Agreement, and in
strict compliance with all applicable laws, ordinances, and regulations.

b. The Company grants to User, and the User accepts the right and privilege to use,
the company laptop for the entire duration of this Agreement, or until this
Agreement is terminated, whichever occurs sooner.

c. The User acknowledges that no title, claim, interest, estate to or ownership rights
to the Company Laptop shall be conveyed other than those expressly provided
herein.

 d. The User shall keep the company laptop in good condition and shall maintain the
proper safekeeping of the same. If the employee shall fail to observe the proper
diligence in maintaining the company laptop in good condition, the Company
may, in its own discretion and if it deems necessary, cause any repair or
maintenance of the company laptop, and the cost of such repair or maintenance
shall be reimbursed by User within six-months or sooner, at the discretion of the
Company. The User hereby authorizes the Company to make such necessary
deductions on any and all salaries or receivables from the Company for purpose
of applying to the reimbursement mentioned in this paragraph or such other
expenses advanced by the Company.

e. The Company, through its duly authorized representative, shall have the right to
examine the condition of the company laptop whenever it deems proper or
necessary.

f. The User is strictly prohibited from allowing anyone else to use the company
laptop without the Company’s prior written consent.

g. The User may not upgrade, accessorize, or improve the company laptop without
the written permission of the Company and it assumes no obligation to
compensate for the said changes made.

h. The User shall be responsible for fines and legal costs incurred for in the event of
illegal use of the company laptop.

4. Possession of the Company Laptop

a. The User shall keep possession of the company laptop in trust for the Company
subject to conditions below.

b. The User acknowledges that the company laptop benefit is being extended by the
Company subject to the condition of the Employee’s continued satisfactory
monthly performance of his functions and duties and his continued compliance
with all Company policies, rules and regulations.

c. The Company reserves the right to temporarily impose restrictions on the use of
the sim card due but not limited to, the following reasons: negligent care and/or
use of the sim card, strikes, lockout, disputes, riots, civil commotion, war,
earthquake and/or other calamities. During temporary suspension of this
Agreement, the sim card unit shall be returned to the Company.

5. Risk of Loss

The User shall notify the Company in writing of any damage to, or loss of, the company
laptop within twenty-four (24) hours from the occurrence of the loss or damage.

6. Prohibition Against Any Form of Conveyance

a. The Employee’s rights and obligations under this Agreement may neither be
transferred nor assigned without the Company’s prior written consent.

b. The User can neither sell nor use the company laptop as collateral to secure any loan.
Any assignment, mortgage or sale in violation of this provision shall be void and
without legal effect.

7. Termination of Agreement

This Agreement shall be terminated when the User ceases to be an employee or

ceases to occupy a position for any reason that requires the use of a company laptop
whereupon the User shall immediately return or turn over the company laptop in good
condition to the Company, without need for a demand, within five (5) days prior to the
effectivity of his resignation, separation from employment or transfer.
