SevenCs Software License Agreement

This is a legal agreement between you, the user (an entity or a person) and SevenCs GmbH,
Hamburg ("SevenCs"). By opening the sealed disk or by installing the software on a single
computer, you are agreeing to be bound by the terms of this Agreement. If you do not agree
to the terms of this Agreement, promptly return the unopened disk and the accompanying
items (including written materials and binders or other containers) to SevenCs. Also, you
have to remove any installed software from your computer.

1. GRANT OF LICENSE

This SevenCs Software Agreement ("License") permits you to use one copy of the SevenCs
software product acquired with this license ("Software") on any single computer, provided the
software is in use on only one computer at any time. If you have multiple licenses for the
software, then at any time you may have as many copies of the software in use as you have
Licenses. The software is "in use" on a computer when it is loaded into the temporary
memory (i.e.RAM) or installed into the permanent memory (e.g. hard disk, CD ROM, or other
storage devices) of that computer.

The term of the License granted shall commence upon delivery of the Software to you; the
period of validity is unlimited. Upon termination of this License you shall return the Software
and the accompanying items to SevenCs and delete any copies of the Software, in any form
on any of your computers.

2. COPYRIGHT

The Software is owned by SevenCs and is protected by German copyright laws, international
treaty provisions, and all other applicable national laws. Therefore, you must treat the
software like any other copyrighted material (e.g. a book) except that if the Software is not
copy protected you may either (a) make one copy of the Software solely for backup or
archival purposes, or (b) transfer the Software to a single hard disk provided you keep the
original solely for backup or archival purposes. You may not copy the Product manual(s) or
written materials accompanying the Software.

3. RESTRICTIONS

You may not alter, merge, modify or adapt this Software in any way including reverse
engineering, disassembling or decompiling, or attempting to create the source code from the
object code of this Software unless explicitly permitted by § 69 d and/or § 69 e of the German
Copyright Act (UrhG). You may not loan, rent, lease or license this Software or any copy.
You may not use this Software to operate a subscription service, service bureau, Software as
a Service (SaaS) model, or other similar access fee-based services for the benefit of any
third party without the prior express written consent of SevenCs.

4. LIMITED WARRANTY

SevenCs warrants that the Software will perform substantially in accordance with the
accompanying Product manual(s) for a period of 90 days from the date of receipt. Any
implied warranties on the Software are limited to 90 days.

5. CUSTOMER REMEDIES

SevenCs' entire liability and your exclusive remedy shall be, at SevenCs' option, either repair
or replacement of the Software. This limited warranty is void if failure of the Software has
resulted from accident, abuse, or misapplication. Any replacement software will be warranted
for the remainder of the original warranty period or 30 days, whichever is longer.

6. NO OTHER WARRANTIES

SevenCs disclaims all other warranties, either express or implied, including but not limited to
implied warranties of merchantability and fitness for a particular purpose, with respect to the
Software, the accompanying Product manual(s) and written materials. The limited warranty
gives you specific legal rights.

7. NO LIABILITY FOR CONSEQUENTIAL DAMAGES

In no event shall SevenCs be liable for any other damages whatsoever (including, without
limitation, damages for loss of business profits, business interruption, loss of business
information, or other pecuniary loss) arising out of the use of or inability to use the Software,
even if SevenCs has been advised of the possibility of such damages. In any case, SevenCs'
entire liability under any provision of this agreement shall be limited to the amount actually
paid by you for the software.

8. EXPORT REGULATIONS

You agree not to export this Software or the Documentation in violation of applicable German
export laws.

9. MODIFICATION AND ENFORCEABILITY

This Agreement may only be modified by a written document that has been signed by both
You and SevenCs. If any provision of this Agreement is held to be unenforceable, the parties
shall substitute for the affected provision an enforceable provision which approximates the
intent and economic effect of the affected provision. The failure by a party to exercise any
right hereunder shall not operate as a waiver of such party’s right to exercise such right or
any other right in the future.

10. THIRD PARTY LICENSES

For the third party software which is used within the Software, no licenses are required.
However, acknowledge that

 Smartheap used for memory management is the copyright of Microquill

 Sentinel used for software protection with dongles is the copyright of Safenet, Inc.

 Rockey used for software protection with dongle is the copyright of Rockey.com.my

11. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the
subject matter contained herein, and supersedes all previous agreements, representations,
warranties, statements, negotiations, understandings and undertakings, whether verbal or
written, pertaining to such subject matter. You hereby represent and acknowledge that in
entering into this Agreement, you did not rely on any representations or warranties other than
those expressly set forth in this Agreement.

12. APPLICABLE LAW

This agreement is covered by the law of Germany (excluding the U.N. Convention on
Contracts for the International Sale of Goods) and both parties accept the jurisdiction of the
courts of Hamburg.
