GENERAL PARTNERSHIP AGREEMENT

This partnership is made on 8th day of October 2018 between Janine Rae B. Villamonte and Engr. Rey
Descatamiento, whom hereinafter are referred to as “Partners”, agree as follows:

1. Name and Business

The Partners voluntarily associate themselves together as general partners for the purpose of
conducting the general business of dealership in Total Gas Station - Candelaria, Quezon Branch. The
parties hereby form a partnership under the name of Vortex Fuel Trade & Services Phil. The principal
place of business shall be at ____________Candelaria, Quezon and any other place or places that
may be mutually agreed upon by Partners.

2. Term

The partnership shall commence today, 8th day of October 2018, and shall continue until a newly
formed corporation is formed.

3. Capital

The initial capital of this Partnership shall be the sum of Four Million Pesos (P 4,000,000.00)
