ACTORS AGREEMENT CONTRACT

This agreement is entered into by and between Pravin S Gundecha (the “Actor”) and
Digital Motion Pictures Company and its associate production houses (the
“Production Company”).

In the event of the Actor’s death or total incapacity, “Actor” means the Actor’s heir,
devisees, beneficiaries, trusts, assignees or other successors-in-interest. “Production
Company” includes the licensees, assignees, future owners, or other acquirers or
successors-in-interest of Digital Motion Pictures Company

The Actor hereby grants to the Production Company and to its licensees, assignees,
and other successors-in-interest, all rights of every kind and character, in perpetuity,
in and to the Actor’s performance, appearance, likeness, name and/or voice (the
“Performance”) in connection with the bilingual motion picture and Hinglish Web
series, entitled “Live Feed”.

All notices which the Producer is required or may desire to give to the Actor may be
given either by mailing the same addressed to the Actor at or such notice may be
given to the Actor personally, either orally or in writing.

ACTOR’S TELEPHONE. The Actor must keep the Producer’s casting office or the
assistant director of said Film advised as to where the Actor maybe reached by
telephone without unreasonable delay.

The Actor hereby agrees to the following:

1) ACTOR is engaged to perform the part of ‘Yash Joshi’ “Karan Raichand ”

in the film / web series entitled Live Feed – working title herein referred to
as the “film.” ACTOR warrants that he has had a full opportunity to review
the script and her role in the film.

2) ACTOR will be available to work during the filming period (“the Shoot”) for
Movie/ web series as per schedule given to them in due advance. The Actor should
be available on the dates specified by her/him to the DMPCO ( Digital Motion
Pictures company)

3) ACTOR agrees to be present at the Reading, Rehearsals, Filming locations

and sets & studios as accommodation will be provided for outdoor shoot.

4) Travel and Accommodation will be provided as discussed and lodging and

boarding in an appropriate location near the shoot.

5) Food and beverages would be provided to the actors from time to time.

6) ACTOR shall attend all and any rehearsals, as the same are scheduled by the
Production Team, and shall participate in the same in good faith and shall
fully and professionally cooperate with the directors and producers and other
support staff. In addition, Actor shall participate in such promotional events
as may be requested by the Producer.

7) ACTOR should dedicate time for script discussions, Costume Rehearsals

and Photo shoots.

8) The term of employment under this agreement shall be for the run of the
film beginning on the day of signing to the 18 months, unless earlier

terminated as provided herein, or, unless the production is closed earlier, in

which case the agreement shall terminate at the close of the production.

9) The ACTOR hereby authorizes the Production Company to photograph,

videotape, film and record (on film, tape, or any other medium), the
Performance and audition(s) for the Performance.

10) To edit the same at its discretion and to include it with the performances of
others and with sound effects, special effects, digital effects and music; to
incorporate the same into the Picture, trailers, posters or other materials or
programs related to the Picture.

11) To use and to license others to use such records and photographs in any
manner or media whatsoever, including without limitation unrestricted use
for purposes of publicity, advertising and sales promotion; even through
social networking sites like Facebook, Instagram, Twitter etc and to use my
name, likeness, voice, biography or other information concerning me in
connection with the Picture and for any other purpose associated with the
Picture.

12) The ACTOR further acknowledges that the Production Company owns all
rights to the Picture.

13) The services to be performed herein are agreed by the parties to be unique
and personal, and Actor agrees that he shall be subject to an injunction
requiring that the Actor refrain from any acting, direction or other
employment related to acting or entertainment throughout the world during
the term of this agreement except herein.

14) Furnishing of Wardrobe: The (Producer) (Actor) agrees to furnish all

modern wardrobe and wearing apparel reasonably necessary for the
portrayal of said role; it being agreed, however, that should so-called
“character” or “period” costumes be required, the Producer shall supply the
same. When Actor furnishes any wardrobe, Actor shall receive the cleaning
allowance and reimbursement, if any, specified in the expenses by actor.

15) Arbitration Of Disputes: Should any dispute or controversy arise between

the parties hereto with reference to this contract, or the employment herein
provided for, such dispute or controversy shall be settled and determined by
conciliation and arbitration in accordance with the conciliation and
arbitration provisions of the collective bargaining agreement between the
Producer and Mr. Pravin Gundecha relating to Digital Motion Pictures Co,
and such provisions are hereby referred to and by such reference
incorporated herein and made a part of this Agreement with the same effect
as though the same were set forth herein in detail.

16) Details of the Scenes and Outfits to be worn.

a. The Actor agrees to dress both provocatively and sensuously as per her
characters demand. This included dresses like hot shorts, under
garments etc.

b. Scenes depicting, Kissing scenes, Intimacy and Seduction within the

limits of Censorship for the Movies and outside them for the Web
series.

c. DMPCO will ensure complete Safety and Comfort during the shoot of
these scenes with minimal crew and digital security for the content.

17) Remuneration: -

a. A Sum of Rs. 21000/- in words “Twenty One Thousand” would be

paid for the assignment of “ Live Feed” Movie/ web series [1 day
reading and 3 days Rehearsals With 2 days of Shoot] [Yash joshi ]

Note: The amounts will be remitted for the movie/ web series in the
following schedule.

10% signing

50% a week after completion of shoot

20% on completion of post [dub, patchwork etc.]

20% a week before release after all due promotion and publicity duties
are fulfilled.

18) The Actor hereby agrees to allow DMPCO to manage her Celebrity
Appearances viz. Brand Endorsements, Events, Inaugurations, Parties,
Social Functions & Other assignments from time to time. This is Non-
Exclusive for the State of Gujarat & Non Exclusive all over the World. The
Revenue would be 60% to DMPCO and 40% to the Actor.

19) The Actor would have to sign a No Objection Certificate / Actor Release
agreement on the day of last payment receipt.

20) The Actor is responsible to pay all applicable taxes and other assessments or
levies of any kind due on the receipt of income.

21) Unless otherwise agreed to in writing by the Production Company, the

Actor will receive no compensation in the event that the Actor does not
complete the Performance.

22) This Agreement constitutes the entire agreement by and between the Actor
and the Production Company and supersedes any and all prior contracts,
understandings, negotiations, and agreements with respect to the Production
Company and the subject matter hereof, whether oral or written.

23) Prior to the scheduled termination herein, the Producer in its sole discretion
may terminate this contract and pay herein shall end with the performance
immediately prior to the termination for: artistic reasons, with the judgment
of the Producer being final; acts, including acts during the personal time of
the Actor which adversely affect the reputation of the production, with the
judgment of the Producer being final, or, failure of the Actor to appear for
rehearsal or other commitments provided for herein.

24) Production time reports are available on the set at the end of each day, which
reports shall be signed or initialed by the Performer.

25) The ACTOR may not waive any provision of this contract without the
written consent of Production Company.

26) The ACTOR will be given a copy of the agreement which shall be signed or
initialed by the Actor.
