Preface
As the first party is the agent of heavy equipment international companies in
the north west of the KSA such as : ( Hyundai Heavy Equipment , Saleh Abdul
Aziz Aba Hussein Co. , Ltd. , and Tadano company electrical products
and Mechanical equipment) and has the right to sell equipment, machinery
and vehicles ( freight ).
And facing the desire of the second party to buy some products marketed by
the first party , both parties agree to issuing this contract and both parties
become reconciled and agreed on the following:
First: Introduction:
The previous preface is bound by this contract and shall complete the rest of
its conditions .

Second : The purpose of the contract :

The desire of the second party to buy ( Equipment and machinery and freight
cars set out in the invoice number / -2019).
This contract concluded between the two parties and they are fully legitimate
and denies ignorance or injustice and after the second party realized the full
terms and conditions of this contract .

Third : Terms and Conditions Contract :

3-1- The first party shall guarantee the equipment, machinery and freight cars
that are sold to the second party according to the guarantee of main
companies which the first party is the north west agent and represented them
3-2- after the signing of this contract is mandatory for both parties and
irreversible .
in case of return from any party for any reason he must pay a fine of % Of
the contract value which is about expenses and fees of other party .
3-3- special conditions are to be specified in this contract .
3-4- These documents form an integral unit and each clause is considered
a part of it, This contract is complementary to the rest of its conditions .
3-5- All correspondences by any means of electronic communication are
approved and recognized by both parties .

Fourthly : Contract Value :

The total value of the contract only ( ), the value of
the equipment and machinery and freight cars set out in the invoice number (
-2019) , included value added tax ( VAT rate of 5% of the value of the contract .

Fifth : Payment Method :

5-1-Second party will issuing( irrevocable ,instant money transfer and reliable)
Documentary credit in favor of the first party at Bank in the
kingdom of Saudi Arabia at full amount of the contract ( )

Sixth : Duration of implementation and validity :

6-1-The first party shall deliver the equipment subject to this contract, one day
after receipt of the confirmation by the First Party Bank of the documentary
credit of the full value of the contract .
6-2- contract validity (2) two months start from this contract date .

Seventh : delivery of the goods :

The goods shall be delivered to the second party at Jeddah city in kingdom of
Saudi Arabia .

Eighth : General Provisions :

7-1- This contract is subject to all applicable regulations and laws in kingdom
of Saudi Arabia .
7-2- the second party shall never pay any commissions or amounts of any
agent or employee of the first party , it is fully prohibited .
7-3- Second Party acknowledges that he has reviewed all the conditions and
specifications and adhere to all the conditions and obligations of the full
preview and his findings due diligence before the execution of the contract .
7-4- English is the official language adopted this contract .
7-5- both parties received original signed copy of this contract
