1. To understand the legal framework relating to corporate law in Mauritius.

2. To understand the way in which a company works from its incorporation to its
dissolution and the consequences of the dissolution of a company.

3. To develop an understanding and critical awareness of the implications of a


company having a constitution.

4. Understand the framework under which a company can raise finance.

5. Understand the role of directors and shareholders in the company.

6. To development an understanding of the way disputes in companies are settled.

5. LEARNING OUTCOMES

Having studied this module, the students should be able to:

1. Analyze the subtleties of company law and droit des societies.

2. Demonstrate an understanding of the key characteristics of how company law


works in practice.

3. Tender legal advice on any issue relating to company law.

4. Develop the necessary understanding of company law which shall enable them
to give sound legal advice on any issue pertaining to companies.
