you on board!

Embibe is an exciting, venture-backed education start-up, which will create more Indiaviduals by making every person
learn in their own special way and feel important. We believe in Embibe’s potential to touch the lives of million students
across India and revolutionize the education system.

You will be part of this team!

Pursuant to our discussions with you over the last few days, we are pleased to extend this offer of employment to you with
Indiavidual Learning Private Limited (“Company”).

1. The basic broad terms and conditions that will apply once your employment commences are as outlined below.
The detailed terms and conditions will be contained in an appointment letter that you shall have to execute at the
time of your joining:

1.1. Position: Your position will be as Software Development Engineer I with the Company as per the
position description provided to you and you will be required to report to as may be directed by the
Company

1.2. Place of work: Your date of joining would be 1st June 2020 and the primary place of work will be at the
office of the Company located 1st Floor Plot No 36, SJR junction, 100 Feet Road, Sony World signal,
Koramangala, Bengaluru, Karnataka 560095. However, you may be required to travel to other places and
/ or work from other locations within and outside India as and when required by the Company.

1.3. Remuneration: Your annual remuneration or cost to Company (CTC) will be INR 1,620,000.00/- this
includes guaranteed annual compensation of INR 1,350,000.00/- (including retiral), performance based
variable compensation of INR 270,000.00/- Please refer to the attached annexure A for details of salary
break up. Your remuneration shall be subject to deduction of income tax at source and any other deduction
as may be prescribed under any applicable law. You will be paid monthly salary after making all necessary
and legal deductions through an account payee cheque or deposited into your bank account and your
probation would be for 3 months.

Relocation Allowance: You will receive a one-time relocation allowance of INR 1,50,000 to defray set-
up expenses and other incidentals relating to your move. This amount, less any statutory deductions
where applicable will be credited to your bank account. If you cease to be employed by Embibe within
one year of service, you will have to refund the relocation allowance.

2. Subject to satisfactory completion of the conditions mentioned below, your employment with the Company shall
commence when

2.1. You having validly terminated any pre-existing employment before the Start Date and having submitted
appropriate original copy of release letter from last employer to the Company;

2.2. You agreeing to and passing a background investigation conducted by the Company. Once the background
investigation is complete, the Company will notify you of the results of and confirm the Start Date if the
results are favourable; and

2.3. You undertake to fulfill the conditions set out in this offer letter promptly and in good faith to be able to
commence employment with the Company by the Start Date.

3. This letter is meant to be an offer of employment and does not in itself give rise to an employer-employee
relationship between the Company and yourself. Any employer-employee relationship is only meant to arise upon
execution by you of an appointment letter with the Company.

4. This offer letter is contingent upon our receipt of the valid and correct documents specified under Annexure B
hereto and favourable report of the background investigation. In the event, the documents or information provided
by you are found to be incorrect / partially incorrect or the background investigation is unfavourable, this offer
letter shall lapse immediately.

5. This letter shall be governed by and construed in accordance with the laws of India. The courts at Bangalore shall
have exclusive jurisdiction to decide any dispute arising out of this offer letter.

If the aforesaid terms and conditions are acceptable to you and you agree to abide by them, please sign and return the
duplicate copy of this offer letter as a token of your acceptance within 2 (two) days from the date of this offer letter.
