MEMORANDUM OF UNDERSTANDING
THIS AGREEMENT OF MEMORANDUM OF UNDERSTANDING is made and executed at New
Panvel, Navi Mumbai as on this 07th day of MARCH, 2020 between Party of First Part and Party of
Second Part of this Agreement;

1) MR. MANOJ MADHUKAR BHUJBAL, Age - 47 Years, Adult, Occupation – Service / Business,
having PAN : AHGPB7857B / UID : 5961 1284 5809 and 2) MRS. PRATIBHA MANOJ BHUJBAL,
Age - 44 Years, Adult, Occupation – Housewife / Service, having PAN : AONPB7612N and UID :
2375 1409 0254 Both are Indian Inhabitant/s and having address at C/14/3, TAPS Colony, Post
Office Boisar, Dist. Thane - 401504; hereinafter called and referred to as the Party of the FIRST
PART;
AND

1) MR. ARJUN NAMDEO KAMBLE, Age - 58 Years, Adult, Occupation – Service / Business,
having PAN : AOVPK5379K and UID : 9792 7141 9076, 2) MRS. SAKHU ARJUN KAMBLE, Age -
44 Years, Adult, Occupation – Service / Housewife, having PAN : CGGPK1532D and UID : 6235
9981 2683 and 3) MR. AVINASH ARJUN KAMBLE, Age - 26 Years, Adult, Occupation –
Service/Business, having PAN : CJXPK8711L and UID : 5791 0692 2712 All are Indian Inhabitant/s
and having address at Room No.20, Mayur Society, Near Phadke Vidyalaya, Sector – 6, New
Panvel, Navi Mumbai, Tal.Panvel, Dist. Raigad - 410206; hereinafter called and referred to as the
Party of the SECOND PART;

WHEREAS :-

The Party of the First Part are the legal and absolute Owner/s of the Residential Premises
bearing Flat No.3, admeasuring area 442.00 Sq. Ft. equivalent to 41.06 Sq. Mtrs. CARPET, at the
01st Floor and at the Building No. A-05 – “UDGIRGAD” in the Building Complex known as
“ASHTAVINAYAK GRUH SANKOOL” and after formation of co-operative housing society it is
known as “ASHTAVINAYAK GRUH SANKOOL PHASE - 1 CO-OPERATIVE HOUSING SOCEITY
LTD.”, lying, being and constructed on or at N. A. Lands bearing Gat Nos.97/1+4B, 98/1, 98/2,
98/3, 98/4, 100/1, 100/3 and 141/3 situated at revenue Village – Adai, Tal. Panvel, Dist. Raigad
within the limits of Group Grampanchayat Adai, Taluka and Registration Sub District Panvel and
Registration District – Raigad and more particularly described in the SCHEDULE written hereunder
(here and referred called as “the said Flat”);

WHEREAS :-

The Part of the First Part were wishing to sell and dispose off the said Flat and its piece
and parcels due to their personal and financial problems and were in search of such Purchaser/s.
The Party of the Second Part were also in need of Residential Premises, and as the Party of the
Second Part approached the Party of the First Part and requested them to allot, sell and transfer to
the Party of the Second Part the said Flat with all the fittings & fixtures in the said Flat and also with
their absolute right to use to and occupy the said Flat and its piece and parcels and to transfer and
assign to the Party of the Second Part his/her/their rights, title and interest in the said Flat for the
total consideration of Rs.30,00,000/- (RUPEES THIRTY LAKH ONLY) with all kinds of transfer and
legal title thereof;

The Party of the First Part have agreed to sell and transfer to the Party of the Second Part
the said Flat with all the fittings and fixtures in the said Flat and also along with his/her/their right to
use and occupy the said Co-operative Housing Society Ltd with the prior permission of the Society
and Group Grampanchayat office or any other authorities and along with his/her/their right, title and
interest in the said Flat in consideration of the sale price Rs.30,00,000/- (RUPEES THIRTY LAKH
ONLY);

Both the Party of the First Part and the Party of the Second Part are desirous of recording
the terms and conditions of the agreement so reached between them which they do as under :-

NOW THIS INDENTURE WITNESSETH AND IT IS HEREBY AGREED BY AND BETWEEN THE
PARTIES HERETO AS FOLLOWS :-

1. The Party of the First Part shall sell/transfer/assign his/her/their right, title and interest in the
said Flat / premises for a total consideration of Rs.30,00,000/- (RUPEES THIRTY LAKH ONLY)
which amount of consideration shall be paid by the Party of the Second Part to the Party of the
First Part at the same time and in the manner subject to the terms and conditions;

2. The Purchase shall pay to the Party of the First Part the sum of Rs.30,00,000/- (RUPEES
THIRTY LAKH ONLY) being the full and final amount of the said Flat as follows :-

Transfer bearing Ref. No.AXSK200660005240, as on
dated.06/03/2020 from AXIS BANK LTD., Branch – KHANDA
COLONY being token amount in respect of said Flat.
2) Rs.5,00,000/- (RUPEES FIVE LAKH ONLY) will be paid by the way of Cash at
the time of registration of Part Payment Agreement.
3) Rs.24,00,000/- (RUPEES TWENTY FOUR LAKH ONLY) will be paid by the way
of availing housing loan from any financial institution or bank
within 45 (Forty-Five) Days from the date of Registration of Part
Payment Agreement.
Tot. Rs.30,00,000/- (RUPEES THIRTY LAKH ONLY)

3. The Party of the First Part shall handover possession of the said flat to the Party of the Second
Part only on payment of full and final amount of consideration as stated hereinabove. The Party
of the First Part shall co-operate fully in formalities connected with the registration of the Sale
Deed, Agreement for Sale including physical presence at the Sub-Registrar’s Office and shall
do all acts, deeds, matters and things and execute documents required for the registration of
the Sale Deed and Agreement for sale;

4. The Party of the Second Part will pay all the agreed amount of consideration and will complete
all above formalities of transfer of said flat and its piece and parcels within 60 days period after
sign of this MOU of said flat;

5. The Party of the First Part shall bear and pay all the dues maintenance charges, Electricity
charges, water charges and all other dues and charges as may be claimed by any authority,
CIDCO Ltd. / Group Grampanchayat, Municipal Council, Society, MSEB, State Government or
any Local Authorities, NMMC, Electricity Meter Deposit Etc. in respect of said flat / premises for
and up to the date of Transfer of said flat;

6. The Party of the First Part should held responsible for all expenses to transfer of said Flat on
his/her/their name in the Society NOC and MSEB Transfer. The Party of the First Part should
pay all previous dues of Society, before transfer the said Flat on name of Party of the Second
Part after receipt of full and final payment of said Flat;

7. All costs, charges and expenses for transferring said flat, preparing, stamping and registering
this agreement between the parties shall be borne and paid by the Party of the Second Part but
the charges for Society NOC and MSEB Transfer will be paid by the party of the First Part;

8. The Party of the First Part states that, they have not sold, mortgaged or gifted the said flat and
the said flat is not subject to any charge of mortgage or encumbrance of any kind;

9. The final document of the Sale Deed, Agreement for Sale, Conveyance will be executed by the
Party of the First Part in the name of the Party of the Second Part or their nominees and the
possession of the said Flat will be given to the Party of the Second Part at the time of payment
of full and final consideration;

SCHEDULE THE DESCRIPTION OF THE SAID FLAT

All that piece and parcel of Residential Premises bearing Flat No.3, admeasuring area
442.00 Sq. Ft. equivalent to 41.06 Sq. Mtrs. CARPET, at the 01st Floor and at the Building No. A-
05 – “UDGIRGAD” in the Building Complex known as “ASHTAVINAYAK GRUH SANKOOL” and
after formation of co-operative housing society it is known as “ASHTAVINAYAK GRUH SANKOOL
PHASE - 1 CO-OPERATIVE HOUSING SOCEITY LTD.”, lying, being and constructed on or at N.
A. Lands bearing Gat Nos.97/1+4B, 98/1, 98/2, 98/3, 98/4, 100/1, 100/3 and 141/3 situated at
revenue Village – Adai, Tal. Panvel, Dist. Raigad within the limits of Group Grampanchayat Adai,

IN WITNESS WHEREOF the parties hereto have caused this Agreement to be executed on the
day, months and year first above written as hereinafter appearing.

amount as per this MOU, in respect of Residential Premises bearing Flat No.3, admeasuring area
