DEED OF ASSIGNMENT cum TRANSFER DEED


(For Full and Final Consideration)
This Deed of Assignment cum Transfer Deed is made and executed at New Panvel, Navi
Mumbai as on this _____ day of JANUARY, 2020.

(In respect of all that piece and parcel of Residential Premises bearing Flat No.105, admeasuring
CARPET area of 33.530 Sq.Mtrs. and TERRACE area of 04.089 Sq.Mtrs., on the 01st Floor, in the
Building known as “VISHWAVARAD RESIDENCY”, lying and constructed on the piece and parcels
of Plot No.43 allotted under Erstwhile 12.5% Gaothan Expansion Scheme of CIDCO Ltd. /
Corporation, situated at Sector No.5-A of Village / Node / Site : Karanjade, Navi Mumbai, Tal.
Panvel, Dist. Raigad and Registration Dist. Raigad, Sub-Registration: Panvel, Tal. Panvel, Dist.
Raigad and within the limits of CIDCO LTD. / CORPORATION and Registration District : Raigad
and Sub-Registration : Panvel, Tal. Panvel, Dist. Raigad and more particularly described in the
FIRST and SECOND SCHEDULE written hereunder)

BETWEEN

1) MRS. SHWETA MAYUR MADHAVI, Age - 30 Years, Adult, Occupation – Housewife / Service,
having PAN : CDUPM5231J / UID : 9377 5840 9100 an Indian Inhabitant/s and having present
address at Village Funde, Post : Bokadvira, Tal. Uran, Dist. Raigad – 400702 and 2) MRS. SNEHA
SANDESH MHATRE alias SNEHA HEMANT MHASKAR, Age - 28 Years, Adult, Occupation –
Housewife/Service, having PAN : EEFPM1026D / UID : 7998 0020 6749 an Indian Inhabitant/s and
having present address at 4/403, Balaji Prangan, Near Yerala Medical Clg, Sector No.04, Kharghar,
Navi Mumbai, Tal. Panvel, Dist. Raigad - 410210; hereinafter called and referred to as “THE
ASSIGNOR’S” (which expression shall unless it be repugnant to the context or meaning
thereof be deemed to mean and include his/her/their heirs, executors, administrators and assigns)
of the FIRST PART.

AND

1) MR. ADHIRAJ ANIL JADHAV, Age - 25 Yrs, Adult, Occupation-Business/Service, having PAN :
BIKPJ3482L / UID : 9401 1761 7979 and 2) MR. ANIL BABIRAO JADHAV, Age - 55 Yrs, Adult,
Occupation – Business / Service, having PAN : AGUPJ0843N / UID : 6013 9744 3564, Both are
Indian Inhabitant/s and presently residing at Room No.309, Building No.T-61, Shivneri Building,
Pratiksha Nagar, Sardar Nagar Road, Near Mala Dawakhana, Sion East, Mumbai - 400022;
hereinafter called and referred to as “THE ASSGINEE” (which expression shall unless it be
repugnant to the context or meaning thereof be deemed to mean and include his/her/their
heirs, executors, administrators and assigns) of the SECOND PART.

WHEREAS the CITY AND INDUSTRIAL DEVELOPMENT CORPORATION OF MAHARASHTRA


LTD. is a Government Company within the meaning of the Companies Act. 1956 (I of 1956) having
its registered office at Nirmal, 2nd floor, Nariman Point, Mumbai 400021 (hereinafter referred to a s
“THE CORPORATION”) The Corporation has been declared as a New Town Development Authority
under the Provisions of Sub Sec. (3-A) of Section 113 of the Maharashtra Regional and Town
Planning Act, 1966 (Maharashtra Act No. XXXVIII of 1966) (hereinafter referred to as “THE SAID
ACT”) for the New Town of Navi Mumbai declared by the government of Maharashtra in exercise of
its power for the area designated as Site for New Town under Sub-Section (1) of Section 113 of the
said Act.

AND WHEREAS the state government has acquired land within the delineated area of Navi Mumbai
and vested the same in the CORPORATION by an order duly made in that behalf as per the
provisions of section 113 of the said Act.

AND WHEREAS by virtue of being the Development Authority the Corporation has been empowered
under the said Act to dispose off any land acquired on it or vested into it in accordance with the
proposal approved by the State Government under the Act.

AND WHEREAS by the virtue of AGREEMENT OF ALLOTMENT / TRANSFER ON OWNERSHIP


BASIS, dated.14/02/2019 made and entered into at Navi Mumbai between M/S. DURVA
ENTERPRISES (MAHA. RERA REG. No. P52000012442) (PAN No.AAIFD7781R) a registered
Partnership firm, through its Partners :- 1) MR. PAPARAO LAXMINARAYAN SATYAM,
2) MR. THOMAS KOCHAPPAN KALLUKARAN, 3) MR. RAJENDRA SADASHIV JAGTAP and
4) MR. MILIND MADHUKAR KAMBLE, having office address at 102, Suprabhat Apartment, Opp.
Prabhat Cinema, Bhandar Ali, Thane (W) - 400601; (thereinafter referred to as “THE DEVELOPERS
/ TRANSFEROR of the FIRST PART” and herein referred to as “THE DEVELOPERS”) and
MR. HEMANT BALIRAM MHASKAR, (PAN : ACVPM3355R / UID : 4329 7611 0414), R/o. Kalundre,
Post : ONGC, Navi Mumbai, Tal. Panvel, Dist. Raigad – 410206; (thereinafter referred to as “THE
OWNER / TRANSFEREE / ALLOTEE of the SECOND PART” and hereinafter referred to as “THE
FIRST OWNER”), whereby the said DEVELOPERS have allotted and transferred on OWNERSHIP
BASIS all that piece and parcel of Residential Premises bearing Flat No.105, admeasuring
CARPET area of 33.530 Sq.Mtrs. and TERRACE area of 04.089 Sq.Mtrs., on the 01st Floor, in the
Building known as “VISHWAVARAD RESIDENCY”, lying and constructed on the piece and parcels
of Plot No.43 allotted under Erstwhile 12.5% Gaothan Expansion Scheme of CIDCO Ltd. /
Corporation, situated at Sector No.5-A of Village / Node / Site : Karanjade, Navi Mumbai, Tal.
Panvel, Dist. Raigad and Registration Dist. Raigad, Sub-Registration: Panvel, Tal. Panvel, Dist.
Raigad and within the limits of CIDCO LTD. / CORPORATION and Registration District : Raigad
and Sub-Registration : Panvel, Tal. Panvel, Dist. Raigad and more particularly described in the
FIRST and SECOND SCHEDULE written hereunder (hereinafter for brevity’s sake abovementioned

Flat is referred to as “THE SAID FLAT”) to the said FIRST OWNER free from all encumbrances and
as per the agreed terms, conditions and obligations which are more particularly recorded in the above
said AGREEMENT OF ALLOTMENT / TRANSFER ON OWNERSHIP BASIS, dated.14/02/2019
which have been duly registered at the office of Sub–Registrar of Assurance at Panvel (Panvel-3)
vide its Document Sr.No.पवल3-2840/2019, dated.14/02/2019 (hereinafter for the brevity this Deed of

Allotment is called and referred to as “the Registered Deed of Allotment”) on Ownership Basis and
as per the agreed terms and conditions set therein;

AND WHEREAS the said DEVELOPERS as per the agreed terms, conditions and obligations which
are more particularly recorded in the said Registered Deed of Allotment, the said DEVELOPERS
have put the said FIRST OWNER in the vacant and peaceful possession of the said Flat and its piece
and parcels under the above said Registered Deed of Allotment, dated.14/02/2019 and since
FIRST OWNER was possessing, occupying and enjoying the said Flat and its piece and parcels
thereof and benefits from it more particularly known as “OWNERSHIP BASIS”;

AND WHEREAS the said Corporation have granted Development Permission / Commencement
Certificate to said DEVELOPERS for Residential Purpose to erect multi-storied building/s having
Ground + 07 Upper Floors on the piece and parcels of Plot No.43 allotted under Erstwhile 12.5%
Gaothan Expansion Scheme of CIDCO Ltd. / Corporation, situated at Sector No.5-A of Village /
Node / Site : Karanjade, Navi Mumbai, Tal. Panvel, Dist. Raigad and which is more particularly
elaborated at the First Schedule written herein under (hereinafter referred to as “the said Plot”) vide
its Letter bearing Ref. No.CIDCO/B.P.-1264/TPO (NM&K)/2015/1362, dated.30/11/2015 and also
have sanctioned the Development/Buildings plans and specification thereof;

AND WHEREAS as per the Development / Buildings Plans and specifications as approved by the
said Corporation the DEVELOPERS have constructed Building/s thereon and according to above
said Development Permission / Commencement Certificate granted by the said Corporation
including such addition, modification, revisions, alterations, therein if any, from time to time as may be
approved by the said Corporation and its Planning Authorities;

AND WHEREAS the said DEVELOPERS have also obtained Occupancy Certificate from the said
Corporation under letter bearing Ref. No. BP-12647/3013, Unique Code : 20140302102351801,
dated.09/08/2018;

AND WHEREAS under and by the virtue of GIFT DEED (WITHOUT CONSIDERATION), dated.
01/06/2019 which is duly registered at office of Sub – Registrar of Assurance at Panvel (Panvel-3)
under the Document Sr. No.पवल3-9144-2019, dated.01/06/2019 (hereinafter referred to as “the
Registered Gift Deed”), whereby the above said FIRST OWNER namely MR. HEMANT BALIRAM
MHASKAR, (PAN : ACVPM3355R / UID : 4329 7611 0414), R/o. Kalundre, Post : ONGC, Navi
Mumbai, Tal. Panvel, Dist. Raigad – 410206 i.e. the FATHER of the said ASSIGNORS have gifted

the said Flat and his share, rights, title and interest in respect of the said Flat and its piece and
parcels to their Married Daughters namely 1) MRS. SHWETA MAYUR MADHAVI and
2) MRS. SNEHA SANDESH MHATRE alias SNEHA HEMANT MHASKAR i.e. the said ASSIGNORS
and since the said Flat and its piece and parcels have been exclusively seized and possessed and
well sufficiently entitled by the said ASSIGNORS namely 1) MRS. SHWETA MAYUR MADHAVI and
2) MRS. SNEHA SANDESH MHATRE alias SNEHA HEMANT MHASKAR on “OWNERSHIP
BASIS”.

AND WHEREAS as per the said Registered Gift Deed, the said ASSIGNORS are absolutely seized
and possessed of or otherwise well and sufficiently entitled to the said Flat and its piece and parcels
which is/are more specifically described in FIRST and SECOND SCHEDULE written hereinunder
with its all the rights, title, interests, membership and occupancy rights and interests.

AND WHEREAS the said ASSIGNORS are desirous to sell out and dispose off the said Flat and its
piece and parcels thereof along with occupancy right, share, title and interest acquired by them by
the virtue of above said Registered Deed of Allotment and Registered Gift Deed with the prior
permission and approval from the said DEVELOPERS/Corporation/CIDCO Ltd. (as the case may be)
and the said ASSIGNEES being in need of such residential premises have approached the
ASSIGNORS with a request to sale, assign and transfer all their occupancy and membership right,
share, title, interest and ownership thereof in and upon the said Flat and its piece and parcels thereof
for proper and valuable consideration;

AND WHEREAS the ASSIGNORS have acceded to the request of the ASSIGNEES and have
agreed to sale, transfer the said Flat and its piece and parcels thereof along with its occupancy rights,
title, interest and all other benefits in the said Flat i.e. Residential Premises bearing Flat No.105,
admeasuring CARPET area of 33.530 Sq.Mtrs. and TERRACE area of 04.089 Sq.Mtrs., on the 01st
Floor, in the Building known as “VISHWAVARAD RESIDENCY”, lying and constructed on the piece
and parcels of Plot No.43 allotted under Erstwhile 12.5% Gaothan Expansion Scheme of CIDCO
Ltd. / Corporation, situated at Sector No.5-A of Village / Node / Site : Karanjade, Navi Mumbai,
Tal. Panvel, Dist. Raigad and Registration Dist. Raigad, Sub-Registration: Panvel, Tal. Panvel,
Dist. Raigad and within the limits of CIDCO LTD. / CORPORATION and Registration District :
Raigad and Sub-Registration : Panvel, Tal. Panvel, Dist. Raigad and more particularly described
in the FIRST and SECOND SCHEDULE written hereunder (hereinafter for brevity’s sake
abovementioned flat is referred to as “THE SAID FLAT”) for proper and valuable consideration.

AND WHEREAS relying upon the above facts as represented by the said ASSIGNORS, the said
ASSIGNEE approached to the ASSIGNORS to purchase and acquire the said Flat and its piece and
parcel thereof for valuable and proper consideration and after discussion, the full and final price of the
said Flat is/was fixed at Rs.28,00,000/- (RUPEES TWENTY EIGHT LAKH ONLY), a lump sum which
price is proper and legal according to the present market price (value) and position (situated) of the

said Flat / Premises and accordingly both the parties i.e. the said ASSIGNORS and ASSIGNEES
have entered into an AGREEMENT FOR SALE (Part Payment Agreement), dated.09/01/2020
which is duly registered at the office of Sub Registrar of Assurances at Panvel at the Registration
Office No.Panvel-3 under Registered Document Sr.No.पवल3-403-2020, dt.09/01/2020 (hereinafter

called and referred to as “Part Payment Agreement”) whereby the said ASSIGNEES have paid
Rs.3,00,000/- (RUPEES THREE LAKH ONLY) being part and advance consideration in respect of
the said Flat and its piece and parcel thereof, the detail description of which is mentioned hereunder
and in the separate receipt attached at last of this Deed, and the balance amount of Consideration
i.e. Rs.25,00,000/- (RUPEES TWENTY FIVE LAKH ONLY) was agreed to be paid by availing loan
from any financial assistance, bank or Institution.

AND WHEREAS the said ASSIGNEES had accordingly applied to the concern financial assistance,
bank or Institution for availing housing loan to pay the balance amount of consideration in respect of
the said Flat and its piece and parcel thereof to the said ASSIGNORS and the said ASSIGNEES
have accordingly availed loan of Rs.25,00,000/- (RUPEES TWENTY FIVE LAKH ONLY) and have
paid the balance amount of consideration to the said ASSIGNORS as per the agreed terms and
conditions of the said Part Payment Agreement and the said ASSIGNORS too have accepted the
same and have discharged the receipt of the same in favour of said ASSIGNEES and accordingly
handed over the vacant and peaceful possession of the said Flat and its piece and parcel thereof in
favour of said ASSIGNEES.

AND WHEREAS both the parties wish to reduce in writing the terms and conditions agreed between
them in respect of this transaction this Document for Sale / Conveyance and Transfer / Deed of
Assignment in respect of the said Flat along with its Membership and Occupancy rights, title and
interest appeared herein under.

NOW THEREFORE THESE PRESENTS WITNESSETH AS UNDER:-


1. The said ASSIGNORS have sold, conveyed, assigned and duly transferred the said Flat along
with its Occupancy Right, title and interest in respect of the said Flat i.e. all that piece and parcel
of Residential Premises bearing Flat No.105, admeasuring CARPET area of 33.530 Sq.Mtrs.
and TERRACE area of 04.089 Sq.Mtrs., on the 01st Floor, in the Building known as
“VISHWAVARAD RESIDENCY”, lying and constructed on the piece and parcels of Plot No.43
allotted under Erstwhile 12.5% Gaothan Expansion Scheme of CIDCO Ltd. / Corporation,
situated at Sector No.5-A of Village / Node / Site : Karanjade, Navi Mumbai, Tal. Panvel, Dist.
Raigad and Registration Dist. Raigad, Sub-Registration: Panvel, Tal. Panvel, Dist. Raigad
and within the limits of CIDCO LTD. / CORPORATION and Registration District : Raigad and
Sub-Registration : Panvel, Tal. Panvel, Dist. Raigad and more particularly described in the
FIRST and SECOND SCHEDULE written hereunder (hereinafter for brevity’s sake
abovementioned flat is referred to as “THE SAID FLAT”) and the said ASSIGNEES have
purchased, acquired the said Flat along with its Occupancy Right, title and interest in respect of

the said Flat together with certain percentage specified in the declaration made by the said
Corporation for total consideration of Rs.28,00,000/- (RUPEES TWENTY EIGHT LAKH ONLY)
which is duly paid / settled by the said ASSIGNEES to the said ASSIGNORS in the following
manner and as per the agreed terms and conditions of this Deed, the details of total
consideration paid is/are as under : -

2) Rs.1,50,000/- (RUPEES ONE LAKH FIFTY THOUSAND ONLY) paid/ payable by the
way Cheque bearing No.000026, dated.03/01/2020, drawn on INDIAN
OVERSEAS BANK, BRANCH : KOLIWADA-SION, MUMBAI -
400022.
3) Rs.25,00,000/- (RUPEES TWENTY FIVE LAKH ONLY) paid by the way of Demand
Draft / Pay Order / Bankers Cheque bearing No.______________,
dated._______________, drawn of ____________________________,
Branch – ____________________ in favour of __________________.
Tot. Rs.28,00,000/- (RUPEES TWENTY EIGHT LAKH ONLY)

2. THE POSSESSION of the said Flat and its piece and parcel thereof have been delivered
vacantly and peacefully by the said ASSIGNORS to the said ASSIGNEES immediately on
getting the full and final payment / consideration and the said ASSIGNEES have accordingly
took peaceful possession of the same therefore this Deed of Assignment is executed by and
between the parties hereto.

3. The said ASSIGNORS hereby assigned and transferred his/her/their occupancy rights and the
said ASSIGNEES have agreed to get transferred rights of the said Flat and its piece and
parcel thereof together with certain percentage specified in the declaration made by the said
Corporation under the said Act of the undivided interest appurtenant to such Flat and to
common areas facilities of the said land and Building of the said Flat and its piece and parcel
thereof and percentage hereinafter collectively referred to as the said Flat is heritable,
transferable and immovable for a price of Rs.28,00,000/- (RUPEES TWENTY EIGHT LAKH
ONLY).

4. The said ASSIGNORS hereby declares that:-


a) There are no suits, litigations, civil or criminal or any other proceedings pending as against
the said ASSIGNORS personally affecting the said Flat and its piece and parcels thereof.

b) There are no attachment or prohibitory orders as against or affecting the said Flat and its
piece and parcel thereof and the said Flat and its piece and parcel thereof is free from all
encumbrances or charges and/or is not a subject matter of any lis- pendency or easements
or attachments either before or after judgment and the First Part has not received any

notice either from the government, semi-government or CIDCO Ltd. / Municipal Corporation
regarding any of the proceedings in respect of the said Flat and its piece and parcel
thereof.

c) The said Flat and its piece and parcel thereof is free from all mortgage charges and
encumbrances of any nature whatsoever.

d) The said ASSIGNORS have paid all necessary charges of any nature in respect of the said
Flat and its piece and parcel thereof and the said ASSIGNORS have not received any
notice from any statutory body or authorities asking for the payment of any nature
whatsoever in the said Flat till the date of handing over the possession.

e) The said ASSIGNORS has/have in the past not entered into any agreement either in the
form of sale, lease, exchange, assignment or created any other rights of like nature in the
said Flat and its piece and parcel thereof and has not dealt with or disposed of the said Flat
and its piece and parcel thereof in any manner whatsoever. Neither the said Flat Owner/s
nor any of his/her/their Predecessor/s in title have had received any notice either from the
Corporation and/or from any other statutory body or authorities regarding the acquisition
and/or requisition of the said Flat and its piece and parcel thereof.

f) The said ASSIGNORS are in exclusive use, occupation and possession of the said Flat and
every part thereof and except the said ASSIGNORS no other person or persons are in use,
occupation and enjoyment of the said Flat or any part thereof.

g) The said ASSIGNORS have good, clear and marketable title in respect of the said Flat and
its piece and parcels and it is free from encumbrances of any nature whatsoever it may be
and there are not outstanding estates or effects by way of lease, lien, charges, inheritance,
sale, gift, trust, mortgage or otherwise howsoever it may be against the said Flat or any part
thereof.

h) The said ASSIGNORS have not been restricted by Income Tax Act, Gift Tax Act, Wealth
Tax Act or any other statute from disposing of the said Flat as stated in this agreement. And
the said ASSIGNORS hereby undertakes to obtain the Income Tax Certificate in form No.
34(A) V/S 230(A) (1).

i) The said ASSIGNORS have not done any act, deed, matter or thing whereby she is
prevented from entering into this Deed on the various terms and conditions as stated herein
with the said ASSIGNORS and the First Part have full right, title and interest to enter into
this agreement with the said ASSIGNORS on the various terms and conditions as stated
herein.

5. The said ASSIGNORS hereby agrees to sell and transfer his/her/their the said Flat and its
piece and parcel thereof to the said ASSIGNEES on payment of full and final consideration
and the said ASSIGNEES have agreed to acquire common areas facilities of the Building of
the said Flat and its piece and parcel thereof and percentage hereinafter collectively referred to
as the said Flat/ Premises is/are heritable, transferable and immovable for a price of
Rs.28,00,000/- (RUPEES TWENTY EIGHT LAKH ONLY).

6. THE POSSESSION of the said Flat and its piece and parcel thereof shall be delivered to the
said ASSIGNEES immediately on getting the full and final payment and the said ASSIGNEES
shall take possession of the said Flat and its piece and parcel thereon after this Deed of
Assignment is executed by and between the parties hereto and as soon as the full payment of
the sale price is made as agreed here in above.

7. Upon the possession of the said Flat and its piece and parcel thereon being handed over, the
said ASSIGNEES shall be at liberty to use, occupy and enjoy the benefits of the said Flat and
its piece and parcel thereof and they have got full and absolute right to sell, transfer, sub-let,
part with the said Flat and its piece and parcel thereof to any person/s as he may deem fit and
proper.

8. The said ASSIGNEES are fully agrees and undertakes to conform and abide by the provisions
of the said Act, Rules and the said ASSIGNEES also hereby agrees and undertakes to abide
by each singular terms and conditions of the said Agreement/s.

9. The said ASSIGNEES shall be liable to pay Monthly Charges / Maintenance, Electricity and
other outgoing charges and dues and his/her/their share of common expenses payable in
respect of the said Flat and its piece and parcel thereof from the date of possession thereof.

10. The said ASSIGNEES shall from the date of possession maintain the said Flat at his/her/ their
cost in good and tenantable and repair condition and shall not do or suffer to be done anything
in or to the said Flat or to common areas and facilities which may be against the rules,
regulations and/or Bye-Laws of the said CORPORATION/PROPOSED SOCIETY (as the case
may be) or to the said Flat or to the buildings or any part thereof.

11. The said ASSIGNORS shall at all times thereafter at the request and cost of the said
ASSIGNEES execute any document or documents as the purchaser may require for perfectly
assuring unto and to the said ASSIGNEES all the rights, title and interests into and upon the
said Flat and its piece and parcel thereof.

12. All costs, charges and expenses in connection with the formation, preparing, approving and
engrossing, stamping and registration of the Conveyance/Deem Conveyance to be executed
between the parties shall be borne and paid entirely by the said ASSIGNEES.

13. The said ASSIGNORS undertakes to pay all the out goings amount by way of maintenance
charges and other dues till the date of handing over possession to the said ASSIGNEES and
the said ASSIGNEES shall be responsible for such payment effective from the date of
possession.

14. The First Part also hereby agrees to inform to the said Corporation and the concerned
authorities for the transfer of the Deposit Amount kept with them, i.e. the deposit with M.S.E.D.,
for Electricity Connection, share money deposit kept with the Proposed Society to and in the
name of the said ASSIGNEES.

15. both the parties reserve the right of specific performance of this Deed of Assignment cum
Transfer Deed shall be treated as Conveyance Deed on completion of transfer in all respect
and this DEED OF ASSIGNMENT CUM TRANSFER DEED, is piece and parcel of the said
part payment Agreement in respect of the said Flat i.e. AGREEMENT FOR SALE (Part
Payment Agreement), dated.09/01/2020 which is duly registered at the office of Sub
Registrar of Assurances at Panvel at the Registration Office No.Panvel-3 under Registered
Document Sr.No.पवल3-403-2020, dt.09/01/2020 (hereinafter called and referred to as “Part

Payment Agreement”) and vice a versa.

16. The said ASSIGNORS hereby agrees and declare that the said Flat and its piece and parcel
