SERVICE CONTRACT

THIS AGREEMENT is made by and between LLEWELLYN P.

MANJARES, legal age, with address at Block 10 lot 25/27 Maryaanne st.
Xevera Brgy. Tabun Mabalacat City Pampanga herein referred to as
Contractor and Premier Farm Agro Processing Inc. with address Brgy
Pagaspas, Tanauan City, Batangas herein referred to as Customer.

WITNESSETH

WHEREAS, Contractor submitted to Customer a proposal for the

performance of Steam Supply Services.

WHEREAS, Customer desires to enter into an agreement with the

Contractor for the performance of Steam Supply Services.

NOW, THEREFORE, in exchange of the mutual promise contained herein,

and for good and valuable consideration, the receipt and sufficiency of
which are hereby acknowledge, Customer and Contractor agree as follows:

1. OBLIGATION OF CONTRACTOR. Contractor agrees to perform

the following services in a timely, expeditious and professional
manner:

a. Boiler tending up to twelve (12) hours every operation

b. Boiler Desooting every one (1) month to clear soft or hard
deposits from heat exchanger and boiler tubes.
c. Boiler Descaling once a year to remove the scale from the
equipment.
d. Supply fire wood for the duration of this Agreement.
2. COMPENSATION. For the services rendered by the contractor as
required by this Agreement, the Customer will provide
compensation to the Contractor as follows:

a. The Contractor shall submit to the customer a billing

statement on or before Saturday every week.
b. The Customer shall pay SEVEN THOUSAND FIVE
HUNDRED PESOS Philippine Currency (7,500.00 php.)
per day for the twelve 12 hours operation rendered by the
contractor.
c. That the said compensation shall be paid on or before three
(3) days after the submission of billing statement.
d. That the payment shall be in cash or check.
e. That the payment shall be made to LLEWELLYN P.
MANJARES.

3. CONTRACT TERM. The term of the Contract shall be one (1) year
commencing on ____________and terminating on___________ ,
unless sooner terminated in accordance with the terms of this
Contract. This Contract may be mutually renewed upon agreement of
the parties. In the event the parties continue their relationship after
the Termination Date, the provision of this contract shall govern until
such time as a revised Contract has been signed by both parties.

4. TERMINATION. In the event that parties herein referred to violate

the terms of this agreement or fails to perform their duties, the
injured party may terminate this agreement at any time by giving
notice to the erring party of not less than Thirty (30) days. In the
event of termination, payment will be made to contractor for all work
performed up to the date of termination.
 5. RETURN OF PROPERTY. Upon termination of the Contract, any
equipment installed directly or indirectly connected to the Boiler by
the Contractor shall be returned to the Contractor.

6. RESPONSIBILITY. The parties understand and agree that any death

of the chicken occurred or caused not by the insufficient steam
supply will exempt the contractor from any liability. That the
Contractor will only be held liable if the death of the chicken is or are
caused by failure of the Contractor to provide sufficient steam to the
Customer during the operation.

7. ASSIGNMENT. The Parties may not assign the responsibilities that

they have under this Agreement to anyone else unless both Parties
agree to the assignment in writing.

8. CHOICE OF LAW. This Agreement and the performance under this

Agreement and all suits and special proceedings under this
Agreement be construed in accordance with and governed by the
laws of the Philippines.

IN WITNESS WHEREOF, the parties have caused their duly authorized

representatives to sign this SERVICE AGREEMENT as of the date written
above.
