MEMORANDUM OF UNDERSTANDING

This Memorandum of Understanding is entered into on this First day of June


month Two Thousand and Nineteen year

Between:

MR. MOHAN RAJ S


Bengaluru
As the party of the first part and herein after referred to as
The “Consultant”

AND

M/S EM SHIVAMANI ENGG PVT LTD.


No.47 – C, 5th Cross,
Bommasandra Indl Area, Bangalore - 560099
Represented by its Managing Director Mr. Muralidharan. S,
as the party of the second part, herein after referred to as
The “Company”,

Whereas, the Consultant is experienced in DRDO Projects, Quality & other


related activities and interested to share his experience and guide the
employees of the company for a consideration,

Whereas, the Company needs a consultant to guide and advice the


employees/supervisors in different matters related to DRDO projects, has
considered the application from the Mr. MOHAN RAJ S for his appointment as
Consultant/Advisor to the company,

Whereas, both the Consultant and the Company have mutually discussed the
obligations of each other, and further deliberated on various aspects related
to matters of DRDO Projects and Consultation professional charges/fees
related thereto, and have decided to place on record the following terms and
conditions:

1. The term of this Memorandum of Understanding is for a period of One


year from the above mentioned date. The term can be extended by
mutual consent in writing of both the parties.

2. The Consultant shall be responsible to advice on DRDO project and


successfully get it certified from the DRDO for the products
manufactured within 8 months.
3. The Consultant can work from home or from office depending upon the
work.

4. The Company has agreed and accepted to pay a sum of

I) Rs. 75,000/- (Rupees Seventy Five Thousand Only) per month as


consultation professional charges/fees,

II) Rs.50,000/- (Rupees Fifty Thousand Only) per month as Other


Allowances.

III) Rs. 75,000/- (Rupees Seventy Five Thousand Only) per month as
Quarterly Performance Incentive.

5. The statutory deductions like Tax on professions, if any, and Income Tax
and any other statutory deductions, as applicable shall be made from the
“consultation charges” payable every month.

6. The Consultant shall raise an invoice for consultant charges, every month
and submit to the Accounts department of the company before 5 th of the
succeeding month and the concerned bill will be paid by the Company to
the consultant within 10 days from the date of submission of the bill.

7. The Consultant shall not be entitled to any other benefits, whatsoever,


either in cash or kind, apart from the Consultation professional
Charges/fees, Other Allowances and Quarterly Performance Incentive..

8. The Consultant shall not demand for a regular employment in the


company and bring in any influence to the company either directly or
indirectly, in this regard.

9. The company and the Consultant at their will can terminate this
Memorandum of Understanding by giving 15 days clear notice to either
party indicating in writing about their intentions to do so.

10. Any dispute arising out of this Memorandum of Understanding shall be


cleared by arbitration as per the provisions of the Arbitration Act.

We, the parties mentioned herein have agreed to all the above mentioned
terms and conditions, under our own volition. We have set our hands
together on this day, month and year as mentioned above.
