SALES AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This AGREEMENT made and executed this ____ day of ____________, 2020, at
___________, by and between:

GENCARS, INC., a corporation duly organized and existing under the Philippine Laws,
with principal office at Dominga Bldg. III, 2113 Chino Roces Avenue Corner Dela Rosa
Street, Makati City 1200 Philippines, represented by MS. LERMA O. NACNAC hereinafter
referred to as the FIRST PARTY;

-AND-

PLATINUM GROUP METALS CORP. A corporation duly organized and existing under the
laws of the Republic of the Philippines with office address at 1st Floor Corporate
Business Center,151 Paseo Roxas cor Arnaiz St. Makati City 1632 Philippines,
represented by ATTY. DANTE BRAVO, hereinafter referred to as the SECOND PARTY.

WITNESSETH THAT:

1. FIRST PARTY and SECOND PARTY collectively known as “the Parties”, in determining
the rights and duties of the Parties under this SALES AGREEMENT shall be read as a whole.

2. The SECOND PARTY desires to purchase of the following units stipulated below:

3. The FIRST PARTY accepts the SECOND PARTY’s offer and agrees to sell the above-
mentioned units to the SECOND PARTY.

4. Both parties and their respective representatives have the capacity to contract and
juridical capacity to enter into this Agreement as evidenced by the Secretary Certificate
attached herein as Annex “A” and Annex “B” respectively.

5. NOW, THEREFORE, for and in consideration of the foregoing premises and the
covenants hereinafter stipulated, the parties hereby agree as follows:

TERMS AND CONSIDERATION

a. SUBJECT

The subject of this Sales Agreement are the Three (3) units of ISUZU FVR (EURO
4), the specifications of which are as follows:

b. ADDITIONAL FREEBIES STIPULATED ARE AS FOLLOWS:

1. Free on Labor on Periodic Maintenance Service for First 1,500 and 5,000
kms. Check-up and Set of Tools.
2. Three (3) years Land Transportation Office (LTO) Registration and the
Compulsory Third Party Liability (CTPL) Insurance.
3. Free 24-Hour Assistance in case of breakdown commencing on the date
of delivery.
4. Sticker Logo (as specified by the Second Party)
5. After Sales Service
a. On site services within Metro Manila
b. For Visayas and Mindanao kindly refer to list of Authorized Isuzu
dealership
6. Tint, Stereo, EWD (RED and Yellow), Leather Manual Holder.

c. PAYMENT

1. The price for each ISUZU FVR complete with 60-seater non-aircon bus
shall be FIVE MILLION ONE HUNDRED SEVENTY THOUSAND PESOS
ONLY (Php 5,170,000.00).
2. The quantity of UNIT to be bought shall be THREE (3) units for ISUZU
FVR COMLETE WITH 60-SEATER NON-AIRCON BUS.
3. The total purchase price for the UNITS shall be FIFTEEN MILLION FIVE
HUNDRED TEN THOUSAND PESOS ONLY (Php 15,510,000.00) The
SECOND PARTY shall pay the following terms:

70% On or Before Delivery PHP 10,857,000.00

TOTAL PHP 15,510,000.00

d. DELIVERY SCHEDULE
1. 3 Units – 90 working days from payment of 30% DP

e. RIGHTS AND DUTIES

1. The Lead Time for the delivery of THREE (3) UNITS of ISUZU FVR WITH
60 SEATER NON-AIRCON BUS BODY shall be on or before
___________________.

2. Warranty:
2.1 Isuzu FVR with 60 seater non-aircon bus body has a one (1) year
warranty on body and two (2) Years OR 50,000 Kms whichever
comes first (CAB and Chassis)
2.2 Periodic Maintenance Service during the warranty period must be
done only by any authorized Isuzu Gencars, Inc. nationwide using
Isuzu genuine parts and Isuzu recommended oils and lubricants,
otherwise warranty will be forfeited.
3. Considering that these are orders with special body arrangements
specified for the SECOND PARTY these orders are considered final and
not subject to change upon down payment.
4. The down-payment of 30% of the purchase price once paid to Gencars,
Inc., shall be NON-REFUNDABLE notwithstanding any other agreement
to the contrary.
5. If FIRST PARTY fails to deliver the total of Three (3) UNITS ordered by
SECOND PARTY at the designated delivery date, FIRST PARTY shall pay a
penalty to SECOND PARTY in the amount of Five Thousand Pesos Php
(5,000.00) for every day of delay of delivery.
6. All units shall be delivered based on the specifications in the Purchase
Order received by FIRST PARTY from the SECOND PARTY and stated in
this agreement. SECOND PARTY may only reject the acceptance of units
by FIRST PARTY for total non-conformity with the specification stated.
Any other defects discovered in the units delivered shall be covered by
the warranty stated above within the prescribed warranty period.

f. DISPUTE RESOLUTION

1. BOTH PARTIES shall take all and any measures to settle disputes that
may arise from this Contract or in connection therewith, including those
regarding the Contract execution, violation and invalidity. Such disputes
shall be settled by the Parties by negotiations according to the
Alternative Dispute Resolution Process.
2. Any dispute and/or demand arising from this Contract or in connection
therewith, including those regarding the Contract execution and
violations, not settled according to the Alternative Dispute Resolution
Process, shall be settled by the appropriate court in the Republic of the
Philippines.

g. MISCELLANEAOUS PROVISIONS

1. Neither Party shall have the right to transfer their rights and liabilities
under this Contract to any third party.
2. Any alterations and amendments to this Contract shall be valid only if
executed in writing and signed by BOTH PARTIES.
3. This Contract is drawn up in authentic duplicate, possessing equal legal
capacity, one copy for each Party.
4. If any provision of this Contract shall be held invalid or unenforceable,
such provision shall be construed and be limited to the extent necessary
and the other provisions not affected thereby shall remain in force and
effect.
5. Failure of any PARTY, to exercise any right under this Contract, or any
delay in the exercise thereof, shall not operate as a waiver of which
right, nor shall a waiver of any breach or default of this Contract shall be
construed as a waiver of any subsequent breach or default or a waiver
of any provision thereof.
