Contract

Whereas:
a) BTMI is the tourism marketing representative for the Barbados Government.
b) LIAT is an international airline offering passenger services to 17 Caribbean destinations
including Barbados.
c) BTMI wishes to increase visitor arrivals into Barbados during the months of July to August
2015.
d) BTMI is desirous of subsidizing air travel for passengers to visit Barbados and has
approached LIAT to offer a special fare for these purposes.

It is therefore agreed as follows:

1. LIAT will offer a discount of USD $100.00 to .................. (000) passengers arriving into
Barbados between the dates specified and based on the terms stated in this contract.
2. BTA will pay to LIAT the sum of USD $00000.00 in consideration for LIAT offering a
discount of USD$100.00 to passengers travelling between Trinidad and Tobago and
Barbados, with the travel originating in Trinidad and Tobago.
3. LIAT will offer the discount on the following terms and conditions:

 Medium: Website, Call Centre, ATO & Travel Agents

 Booking Dates: Booking Dates: Monday 15th June – Friday 3rd July 2015

 Travel Dates: Wednesday 1st July – Monday August 30th, 2015

 Discount: Y , M and W fare less USD $100.001

 Capacity control: Discount available on all line of flying originating in POS

destined for BGI

 Fare Rules: Return Travel required

Minimum Stay of 3 Days

3 Nights required

 Origin: Trinidad (POS)

 Destination: Barbados (BGI)

Allocated Subsidy per month for two (2) month travel period: July, August 2015:

Duties and Obligations of Discover Dominica

1. BTMI will pay to LIAT the total amount of USD $00,000.00. LIAT will make available the
preferential fare stated above to BTMI, and inform all of its distribution channels of its
availability.

2. The initial deposit of Five Thousand Dollars (USD $0,000.00) will be made to LIAT by 00
Month, 2015. The remaining balance of Five Thousand US Dollars (USD $00,000.00) will

be paid by 00 Month, 2015.
3. All media advertising will be the sole responsibility of BTMI.

Duties and Obligations of LIAT

1. LIAT will provide daily updates on the total number of bookings made and tickets paid for
under the promotion based on the previous day’s activity.
2. LIAT will support the BTMI Promotion via banner promotion on LIAT.com and email blast
to all LIAT Travel Trade contacts.
3. LIAT will conclude the promotion once the predetermined targeted seats of (000)
passengers have been reached during the period of the promotion.
4. Upon completion of the promotion LIAT will provide a reconciliation of all seats sold and
the total value of bookings during the period of the promotion.
5. Fare to be used will be YORLI, MORLI or WORLI Fare less One Hundred US Dollars (USD
$100.00) as stipulated in this contract.
6. Each passenger will be required to pay all government controlled surcharges and taxes
and fees prior to departure.
7. Departure tax, overweight luggage and change of flight fees, where applicable, must be
paid by each passenger prior to departure.
8. All reservations are subject to availability.

General Terms and Conditions

1. Nothing in this Agreement is intended to or shall operate to create a partnership between


the parties or to authorise either party to act as agent for the other.
2. This Agreement shall be governed by the Laws of Antigua and Barbuda.
3. This Agreement and the documents referred to in it contain the whole Agreement between
the parties and supersede all previous Agreements between parties.
4. Neither party shall be liable for any delay or failure to perform its obligations under this
Agreement due to any cause beyond the reasonable control of that
party including, fire, storm, tempest, flood, Act of God, government action, industrial
action, war, invasion, foreign enemy hostilities (whether war has been declared or not),
civil war, rebellion, revolution, riot, insurrection, terrorist activity, military damage or any
other event of force majeure (each a “Force Majeure Event”) provided that such party :

a. notifies the other party as soon as it is aware of any circumstances giving rise to the
operation of this clause that the provisions of this clause are being invoked and of all
circumstances relating thereto and giving as accurate an estimate as possible of the duration
of those circumstances; and

b. thereafter uses all reasonable endeavours to avoid or mitigate the effect of such event on
the other party and the performance of the affected party’s obligations and to resume full
performance of its obligations as soon as is reasonably practicable

c. In the event of Force Majeure, LIAT shall be entitled to terminate this Agreement forthwith
by giving written notice to the BTMI and upon such termination shall be entitled to retain all
sums paid to it under this Agreement by BTMI.

5. Each of the parties here to shall treat as strictly confidential the following information (“the
Confidential Information”):
 the terms and provisions of this Agreement; and
 all other information received from the other party concerning the affairs or business of
the other party.
Neither party shall use or disclose any of the Confidential Information except to:
 such of its staff, agents or legal advisors who need to know the same, provided that
the said staff, agents and legal advisors are made aware of and subject to the same
obligation of confidentiality; or
 Persons having a legitimate right, duty or obligation which in law affords a valid ground
for disclosure to them of the same.
The parties have confirmed acceptance of these terms and conditions by signing and
returning this correspondence.
