Memorandum of Agreement (MOA)

Between
Stichting BRAC International
&
BRAC Skills Development Programme

This MoA hereinafter referred to as the “​Agreement” is entered into by and between Stichting BRAC
International, hereinafter referred to as “​BI​” or “Client” and BRAC Skills Development Programme,
hereinafter referred to as the “​SDP​”

WHEREAS

(a) BI has requested SDP to provide software development and consulting services for the
development of “Digital Data Gathering and Monitoring System” for two programs of BI –
Youth Empowerment (ELA-Empowerment and Livelihood for Adolescent project) and UPG –
as defined in the technical proposal attached to this Agreement at Annex 1 and Annex 2
(hereinafter called the “Services”);
(b) SDP, having demonstrated to BI that they have the required professional skills, personnel
and technical resources for operations, has agreed to provide the Services on the terms and
conditions set forth in this Agreement;

Now therefore the parties hereby agree as follows

Article 1: The purpose of the agreement

BRAC International (BI) intends to develop a uniform digital solution that provides a customizable
smart-device and web-based platform to manage its various field based operations, data collection
and monitoring. Towards this goal, BI is looking to take an incremental approach and start with two
of its most significant and successful programs – Youth Empowerment (ELA) and UPG – to implement
a single IT platform for digital monitoring. After much exploration, BI has identified the Salesforce
based mobile data collection platform and a business intelligence tool for the development sector –
TaroWorks – as an appropriate solution to run the first phase of the digitization process. The two
specific projects where this solution will be piloted are – “Disability Inclusive Graduation in BRAC
Uganda” and “Empowerment and Livelihood for Adolescents Programme: Improving Quality for
Enhanced Impact in Tanzania, Sierra Leone and Liberia”.

In 2016, BRAC’s Skills Development team began using TaroWorks to manage, track and evaluate its
programme implementation in real time. Main areas where SDP’s business intelligence tools are
used for monitoring include - robust targeting mechanism; training quality; attendance monitoring;
and employment tracking.

Since SDP has been using TaroWork and Salesforce as a business intelligence tool since 2016 to
optimize its operation and increase operational efficiency, the team has gained sufficient skills and
expertise to develop and operationalize digital M&E tools based on these platforms. The purpose of
this agreement is thus to explore an effective mechanisms for BRAC International whereby SDP will
be providing technical assistance and guidance in order to maximize the benefits of using
TaroWorks more widely for both BRAC and BI.

Article 2: Scope of work

The goal of this undertaking is to develop and implement a disability inclusive web–based real-time
monitoring system for two of the above mentioned BI projects to supplement conventional project
monitoring systems. ​This web-based system will then be tested and approved for scale up in other
projects across all BI countries.

Under this agreement, SDP’s roles & responsibilities are stated below:

a) Share Taroworks and Salesforce licenses (user and admin) as described in Annex 3
b) Build the back-end data architecture of multiple program structures independently
operating in multiple countries to ensure the data privacy and autonomy
c) Facilitate continuous development digital forms and dynamic reporting
d) Develop and test mobile/tablet based application for data collection that are accessible
to users with disabilities (e.g. ensuring the system is WCAG 2.1 level AA OR android
accessibility standards-compliant (as much as possible));
e) Create accessible role-based dynamic dashboard for the programmes across BI wide
countries (HO and Operational countries).
f) Facilitate real time monitoring
g) Build in-house capacity within BI on digital development of the tool, take over the
system, end user training and production support by including the team in
administrative training. SDP will also provide manuals to operate the surveys as well.
h) ​Ensure the necessary training of trainers (ToT) as per the agreed work plan.
i) Provide program specific System Requirement Specification (SRS), test cases, ER
diagram and data dictionary at the different phases of the project as per the agreed
work plan..
j) Deliver the user manual to BI for better understanding of each functionalities. The user
manual should be delivered before the User Acceptance Test (UAT) and for any
change/update that affects user experience, the user manual should be revised with
revision history.
k) Conduct UAT and incorporate all the user feedback before the scheduled go live date.
l) Perform system maintenance, errors correction, bug fixing and troubleshooting for the
duration agreement and warranty period which will be 90 days after the final
acceptance of the deliverables agreed between BI and SDP. T4D will not be responsible
if any of the deliverables get delayed due to unavailability of data/instructions from BI’s
end or any unprecedented crisis.

In addition to that, ease of storage, back up, encryption and access by all BI staff and
management will need to be ensured to increase data transparency & accountability. Data
protection and privacy, and accountability to beneficiaries will need to be ensured in
accordance to BRAC and partner organizations’ policy requirements.

Article 3: BI’s General Responsibilities

During the Covid-19 situation, BRAC has halted all kinds of recruitment except those which are
absolutely necessary. Whenever this situation gets improved, BI team will notify T4D with a tentative
timeline of the projects. According to that, T4D will plan out the software development timeline and
necessary recruitments. BI team will support T4D in getting approvals and in the recruitments as
well.

The Client shall;

a. Provide necessary documentation, materials, or any necessary information in its


possession required for the good performance of the Services;
b. Perform the responsibilities assigned to them as mutually agreed between the two
parties
c. Provide finalized materials vetted across management 7 days before the development of
each surveys
d. For in depth programme understanding and complex troubleshooting, if remote support
is not sufficient, BI team will take on the responsibilities for coordinated field visits.
Travel related expenses will be borne by BI.
e. TOT: BI will nominate trainers, organize the logistics needed for TOTs and will help
monitor the quality of the training conducted by these trainers in the field and ensure
quality of those training sessions.
f. Data Sharing: When reached out with specific research purposes, BI will provide access
to programme data except Personally Identifiable Information (PII). With BI’s consent
T4D can publish those researches as the team sees fit. Data sharing should comply with
BRAC and SDP's data sharing policy.
g. Approve all required reports or give relevant recommendations in a timely manner
h. Pay the invoices submitted by the Service Provider within the time limit specified in this
Agreement.

Article 4: Specific Deliverables and timelines

SDP has developed a detailed work plan with a specific timeline and vetted it by the BI team. The
specific projectwise deliverables and timelines are outlined in ​Annex 4 and Annex 5

Article 5: Duration

This Agreement will remain in force for 365 days from the Date of Commencement, and may be
extended upon such terms mutually agreed to in writing by the Parties.

Article 5: SDP General Responsibilities

The Service Provider shall;

a. Undertake the assignment as detailed in technical proposal forming part of this agreement;
b. Submit reports and other required deliverables in the timeframes and an in accordance with
the conditions specified in this agreement;

c. Inform and communicate fortnightly with BI about progress during implementation;
d. Proactively facilitate the joint project management process between SDP and several BI
teams (i.e. BI IT, project operations, monitoring etc.)
e. Perform its obligations under this Contract with due diligence and efficiency and in
conformity with sound professional and administrative practices;
f. Deliver the end product aligned with the ToR and within the timelines agreed in the Article
3.
g. Provide Technical support to BI IT team for the continous business operations and system
product enhancement during the contract period.

Article 6 Security and privacy: 

BRAC International is responsible for ensuring that personal data is regarded as confidential and
shared only on a “need to know” basis, with proper procedures. This applies to all forms of sharing,
including verbal, paper-based, and digital mediums. Data subjects have a right to expect that their
information is used only for professional purposes and kept securely and privately.

BRAC International must implement appropriate technical and organisational security measures to
protect personal data against accidental or unlawful destruction or loss, alteration, unauthorised
disclosure or access. Depending on the nature of the processing, these measures may include:

● on-going reviews of security measures


● redundancy and back-up facilities
● regular security testing
● limited admin access

SDP will not be liable for any data breach. In the event of a data breach causing high risk to data
subjects, BRAC International must notify the affected data subjects without undue delay. The
notification must include at least:
the name and contact details of the relevant point of contact; the likely consequences of the data
breach; and any measures taken by BRAC International to remedy or mitigate the breach

Article 7 Confidentiality

All materials produced or acquired under this project, including in course of the proposal
development, which are not already in the public domain shall be held by the service provider, in
strict confidence and shall not be disclosed to any party whatsoever without the express written
consent of BRAC International.

During the course of this agreement, the parties may make available to each other certain
confidential or proprietary information or one party may otherwise learn of confidential or
proprietary information belonging to the other party. Both parties shall respect the confidentiality of
information expressly provided by each of them as “confidential”, “restricted”, or “in confidence”
and ​identified as such in writing​. The parties shall hold in strictest confidence any of the other
party’s confidential or proprietary information and not disclose such information to any third party
without first obtaining the written consent of the other party.

Any identifying information on individual BRAC International programme participants, if made


accessible to service providers, will be maintained with the strictest of confidence and security.

Article 8: Financial provision
The fixed fee agreement for implementing the services described in this agreement and the attached
budget ​(Annex 6) is ​USD 49,467 (Forty-nine thousand four hundred and sixty seven US dollar)​. The
cost includes all fees, expenses or any other cost that the Service Provider might incur in relation
with this agreement. This is a net price, excluding any withholding taxes, Value Added Taxes or any
taxes that may be payable. Withholding tax (if any) will be paid by BRAC International.

The price does not include the cost for training facilities, which shall be covered by SDP. For training
BRAC will provide venue, transport and refreshments. BRAC SDP shall issue four Invoices ​according
to the following milestones in the table below:

Article 9 : Applicable Law

The provisions of this Agreement shall be governed in all respect and construed in accordance with
the laws ​of Bangladesh​.

Article 10: Entry into Force


This Agreement comes into force on the date of its signature by both parties.

Annex 3 : ​Taroworks and Salesforce licenses


A TaroWorks license is required for any user who needs access to TaroWorks in the Salesforce
back-end, or on a mobile device. Salesforce license is mainly essential for admins who’re responsible
for backend system architecture design, development, or monitoring.
