DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Absolute Sale is executed by (NAME OF SELLER), of legal age,

single/married, Filipino, and a resident of (Place of Residence) (the “Seller”), in
favor of (NAME OF BUYER), of legal age, single/married, Filipino, and a resident
of (Place of Residence) (the “Buyer”),

WITNESSETH: that

WHEREAS, the Seller has offered to sell to the Buyer and the Buyer has
agreed to purchase from the Seller all Furniture, Fixtures and Equipment owned
under Seller’s name and located at (Place of Store Branch) branch of (Name of
Store/Shop) in (Address of Store), including the goodwill over the said (Type
of Business) business, business name, business sign, logo, and any other interest
therein.

NOW, THEREFORE, for and in consideration of (AMOUNT IN

WORDS) (Php(Amount in Figures)), to the Seller in hand paid by Buyer, the
receipt of which is hereby acknowledged to the complete and entire satisfaction of
the Buyer, Seller hereby SELL, TRANSFER, and CONVEY absolutely and forever unto
the Buyer, his/her heirs, assigns, and successors-in-interest all said personal
properties above-described.

That the said personal properties are free from any existing liens and
encumbrances and Seller can freely dispose the same.

voluntary act and deed.
