3.1,5 The technical proposal shall not include any financial information. The Consultant's

I comments,if any, on the data, servicesand facilities to be providedby the Client and
specifiedin l.heTOR shallbe includedin the technicalproposal.

I 3.2 FinancialProposal

3.2.1 The financial proposalshould be submiuedusing the format specifiedand enclosedwith

I this RFP.This is a mandatoryrequirementfor evaluationofproposalsand needsto be filled


up carefully.The total cost is to be specifiedin the FormA-17 and acoordinglyalso in Form
A-ll.

I 3.2.2 The financialproposalshouldlistthe costsassociated with the Assignment.Thesenolmally

SUBMISSION OF PROPOSALS

You shallsubmitoneoriginaltechnicalproposaland oneoriginal financialproposaland the


numberof copiesof eachspecifiedin the Data Sheet.Eachproposalshall be in a separate
I envelopeindicatingoriginalor copy, as appropriate.All technicalproposalsshall be placed
in an envelopeclearlymarked"TechnicalProposal"and the financialproposalsin the one
marked "Financial Proposal".These two envelops,in turn, shall be sealedin an outer
I envelopebearingthe addressand informationspecifiedin the Data Sheet.The envelope
shall be clearly marked, "DO NOT OPEN, EXCEP| IN PRESENCE OF THE
EVALUATION COMMITTEE.'
I 4.2 In the event o1'any discrepar,cybetweenthe copies of the proposal,the origittal shall
govern. The original and each copy of the technical and financial proposalsshall be

PROPOSALEVALUATION

I 5.1 A Single-Stage-Two-Envelope procedures shall be adoptedin rankingofthe proposals.The


technicalevaluationshall be carriedout first, foliowed by the financial evaluation.The
Consultantsshallbe rankedusinsa combinedtechnical/Iinancial score.
I 5,2 TechnicalProposal

I 5.2.1 The evaluationcommitteeappointedby the Client shall oarry out its evaluationfor all the
criteriaand point systemspecifiedin
projectsas listed in Para l.I, applyingtheevaluertion

6. NEGOTIATION
I 6,1 Prior to the expirationofproposalvalidity, the Client shall notifr the successfulConsulcant
who submittedthe highest-rankingproposalin writing, by registeredletter, cabletelex or

facsimileand invite it to negotiatethe Contract.

Negotiationsnormally take from two to five days. The aim is to reachagreenrenton all

pointsand initial a draftoontraotby the conclusionofnegotjations.

Negotiationsshall commencewith a discussionof your technicalproposal.The proposed


methodology,work plan, staffingand any suggestions you may lravemadeto improvethe
I TOR. Agreementshall then be reachedon the final TOR, the staffing,and the bal charts,
which shall indicateaotivities,staff, and periodsin the field and in the home office, staff
months,logisticsand reporting.
I 6.4 Changesagreedupon shall then be reflectedin the financialproposal,using proposedunit
rates(no negotiationof the staff montli rates).

with Byelaw 6(2) and Byelaw 9 of the PakistanEngineeringCouncil
(Conductand Practiceof ConsultingEngineers)Bye-Laws1986.Failureto
providevalid RegistrationCertificate(license)of the firm (eachmemberin
caseof JV) by the PECwill entitlethe Clientto rejecttheEoposal.
(b) In caseof JV members,Letterof Intentto form on firm's letterhead(original
is required,scannedcopy is not acceptable).The specimenis attachedat
Annexure-A
(c) TECHNICAL PROPOSALFORMS A-1 to A-10 duly completedas per
Instructionsto Consultants/Data Sheetand requirementsof TOR (To be
attachedwith TechnicalProposalexceptForm A-4, which cqn be submitted

(d) At the time of proposalsubmission/opening,pagenumbering,signingand
stampingof proposalswill be checkedby CommitteeMembers.If any minor
discrepancyis found then sameshall be askedby the Committeemembersto
the AuthorizedRepresentative of firms to correctit in front of all committee
members.In the absence of authorizedrepresentative, the concerned firm will
be announced dis-qualified.
(e) Lists of facilities availablewith the Consultantto perform their functions
effectively (software,hardware,etc.). In case of JV, the same wiil be'
providedby the leadfirm only.
(fl Client's satisfactioncertificates(PerformanceReports)for the last three
relevantassignmentsfrom the respectiveClients. Moreover,any adverse
reportregardingperformanceof Consultanton NHA projectsreceivedfrom
NHA's any relevantquartermay becomebasisfor its disqualificationfrom

II. GENERAL CONDITIONS OF CONTRACT

1, GENERALPROVISIONS

1.1 Definitions

Unlessthe contextotherwiserequires,the following termswheneverusedin this Contract


havethe followingmeanings:

(a) "Applicable Law" meansthe laws and any other instrumentshaving the force of law
in the IslamicRepublicof Pakistan,asthosemay be issuedandin forcefrom time to
time;

Conditionsof Contract(GC) are attached,togetherwith all the documentslistedin
Clausei ofsuch signedContract;

(c) "ContractPrice"meansthe priceto be paid for the performalceof the Services,in

(d) "EffectiveDate"meansthe dateon which this Contractcomesinto forceandeffect

t.2 Law Governingthe Contract

1.3 Language

This Contracthas beenexecutedin the Englishlanguagewhich shall be the binding and


controllinglanguagefor all mattersrelatingto the meaningor interpretation
of this Contract.
All the reportsandcommunications shallbe in the Englishlanguage.

1.4 Notices

Any notice,request,or consentmadepursuantto this Contractshallbe in writing and shall


be deemedto havebeenmadewhendeliveredin personto an AuthorizedRepresentative of
the Partyto whom the communication is addressed,or when sentby registeredmail, telex,
or facsimileto suchPartyat the addressof the AuthorizedRepresentativesspecifiedunder
Sub-ClauseSC 1.6. A Party may changeits addressfor notice hereunderby giving the
otherPartynoticeof suchchange.

1.5 Location

The Servicesshall be performedat such locationsas are specifiedin AppendixA and,


wherethe locationof a particulartask is not so specified,at suchlocationsas mutually
agreedby the Parties.

1.6 Authorized Representatives

Any actionrequiredor permittedto be taken,andany documentrequiredor permittedto be


shallbe takenor executedby

1.7 Taxesand Duties

1.8 Leader of Joint Venture

purposeofreceivinginstructionsfrom theClient.

2. COMMENCEMENT, COMPLETION, MODIFICATION,


AND TERMINATION OF CONTRACT

2.1 Effectivenessof Contract

This Contract shall come into force and effect on the date (the "Effective Date") of the
Client'snotice to the Consultantsinstructingthe Consultantsto begin canying out the
Services.This noticeshallconfirmthatthe effectiveness conditions,if any,listedin the SC
havebeenmet.

1'l Termination of Contract for Failure to BecomeEffective

If this Contracthas not becomeeffectivewithin such time period after the date of the
Contractsignedby the Partiesas shallbe specifiedin the SC, either Panymay,by not less
than twenty eight (28) dayswritten noticeto the otherParty,declarethis Contractto be null
and void, andin the eventof sucha declaration by eitherParty,neitherPartyshallhaveany
claim againstthe other Parly except for the work (if any) alreadydoneor costsalready
incured by a Partyat the requestof theotherParty.

2.3 Commencementof Services

TheConsultantsshallbegincarryingoutthe Servicesat the endofsuchtime periodafterthe


EffectiveDateasshallbe specifiedin the SC.

2.4 Expiration of Contract

Unlessterminatedearlier pursuart to Sub-Clause2.9, this Contractshall expire when,


pursuantto the provisionshereof,the Serviceshavebeencompletedand the paymentsof
remunerations includingthe direct costsif any, have beenmade. The Servicesshall be
completedwithin a period as is specifiedin the SC, or such extendedtime as may be
allowedunderSub-Clause 2.6.

Theterm "Completionof Services"is asspecihedin the SC.

tt Modification

Modificationof the termsandconditionsof this Contract,includingaaymodificationof the


scopeof the Servicesor of the ContractPrice,may only be madein writing, which shallbe
signedby boththe Parties.

2.6 Extensionof Time for Completion

If thescopeor durationofthe Servicesis increased:

(a) andprobableeffects;

2.7 ForceMajeure

2.7.1 Definition

(a) For the purposesof this Contract,"ForceMajeure"meansan eventwhich is beyond


the reasonablecontrol of a Party and which makesa Party'sperformanceof its
obligationsunder the Contractimpossibleor so impracticalas to be considered
impossibleunderthe circumstances, and includes,but is not limited to, war, riots,
civil disorder,earthquake,fire, explosion,storm, flood or other adverseweather
conditions,sftikes,lockoutsor otherindustrialactions(exceptwheresuchstrikes,
lockoutsor otherindustrialactionsarewithin the powerofthe PartyinvokingForce
Majeureto prevent),confiscationor anyotheractionby government agencies.

(b) ForceMajeureshall not include(i) any evenlwhich is causedby the negligenceor


intentionalactionof a Partyor suchParty'sSubconsultantsor agentsor employees,
nor (ii) any eventwhich a diligent Party could reasonablyhave beenexpectedto
both (A) take into accountat the time of the conclusionof this Contractand (B)
avoidor overcomein the carryingout of its obligationshereunder.

(c) Force Majeure shall not include insufficiencyof funds or failure to make any
paymentrequiredhereunder.

2,7,2 No Breachof Contract

The failure of a Party to fulf,ill any of its obligationsunder the Contractshall not be
considered to be a breachof or defaultunderthis Contractinsofaras suchinability arises
ftom an eventof ForceMajewe,providedthat the Partyaffectedby suchan event;(a) has
takenall reasonable precautions,due careand reasonable altemativemeasuresin orderto
carry out the terms and conditionsof this Contract;and (b) has informed the other Party in
writing not laterthanfifteen(15) daysfollowingthe occurrence ofsuch an event.

2,7.3 Extensionof Time

Any periodwithin which a Party shall,pursuantto this Contract,completeany actionor


task,shallbe extendedfor a periodequalto the time duringwhich suchPartywasunableto
performsuchactionasa resultof ForceMajewe.

2,7.4 Payments

Duringthe periodof their inability to performthe Servicesas a resultof an eventof Force


Majeure,the Consultantsshall be entitledto continueto be paid underthe terms of this
Contract,as well as to be reimbursedfor additionalcosts reasonablyand necessarily
incurredby themdr.ringsuchperiodfor the purposeof the Servicesandin reactivatingthe
Servicesafterthe endof suchperiod.

2.8 Suspensionof Paymentsby the Client

The Clientmay,by writtennoticeof suspensionto the Consultants,


suspend all paymentsto
the Consultants fail to performany of their obligationsunder

remedysuch failure within a period not exceedingthirty (30) days after receiptby the
Consultantsof suchnoticeof suspension.

Termination

2.9.1 By the Client

The Client may terminatethis Conffact,by not lessthanthiny (30) dayswritten noticeof
terminationto the Consultants,to be given after the occurrenceof any of the events
specifiedin paragraphs (a) through(e) of this Sub-Clause
2.9.1 andsixty (60) days'in the
caseof the eventreferredto in paragraph(f1:

(a) if the Consultantsdo not remedya failure in the performanceof their obligations
underthe Contract,within thity (30) days after being notified or within any further
periodasthe Clientmay havesubsequently approvedin witing;

(b) if the Consultants become(or, if the Consultantsconsistof morethan one entity,if


any of their Membersbecomes)insolventor bankruptor enterinto any agreements
with their creditorsfor relief of debtor takeadvantageof any law for the benefitof
debtorsor go into liquidationor receivership whethercompulsoryor voluntary;

(c) if the Consultantsfail to comply with any final decisionreachedas a result of


arbitrationproceedingspursuantto Clause7 hereof;

(d) if the Consultantssubmitto the Client a statementwhich hasa materialeffect on the


rights,obligationsor interestsof the Client and which the Consultantsknow to be
false;

(e) areunableto performa material


if, as the resultof ForceMajeure,the Consultants
portionofthe Servicesfor a periodofnot lessthansixty (60)days;

(t) if the Client,in its solediscretion,decidesto terminatethis Contract.

2.9.2 By the Consultants

The Consultants mayterminatethis Contract,by not lessthanthirty (30) dayswrittennotice


to the Client,suchnoticeto be givenafterthe occrurence of any of the eventsspecifiedin
paragraphs (a) through(d) of this Sub-Clause
2.9.2:

(a) ifthe Clientfails to pay any moniesdueto the Consultants


pursuartto this Contract
and not subject to dispute pursuantto Clause 7 within forty-five (45) days after
receivingwrittennoticefrom the Consultants thatsuchpaymentis overdue;

(b) if the Clientis in materialbreachof its obligationspursuantto this Contractandhas


not remediedthe samewithin forty-five (45) days (or such longer period as the
Consultants mayhavesubsequently approvedin writing) followingthe receiptby the
Clientofthe Consultants' noticespecifyingsuchbreach;

(c.l if, as a result of ForceMajeure,the Consultantsare unableto performa material


portionofthe Servicesfor a periodofnot lessthansixty (60) days;

(d) if the Client fails to complywitl any final decisionreachedasa resultof arbitration
proceedings pursuantto Clause7 hereof.

2,9,3 Cessation
of Services

Upon receipt of notice of terminationunder Sub-Clause2.9.1, or giving of notice of


terminationunderSub-Clause 2.9.2,the Consultantsshall take all necessarystepsto bring
a
the Servicesto closein a prompt and orderly mannerand shall make everyreasonable
for this purposeto a minimum. With respectto documents
effort to keep expenditures
preparedby the Consultants,and equipmentand materialsfurnishedby the Client, the
Consultants shallproceedasprovided,respectively,by Sub-Clauses 3.8or 3.9.

2.9.4 Paymentupon Termination

Upon terminationof this Contractpursuantto Sub-Clauses


2.9.1or 2.9.2,the Client shall
makethe following paymentsto theConsultants:

(al Remunerationand reimbursabledirect costsexpenditurepursuantto Clause6 for


Servicessatisfactorilyperformedprior to the effectivedateof termination.Effective
date of terminationfor purposesof this Sub-Clausemeansthe date when the
prescribednoticeperiodwouldexpire;

(b) except in the case of termination pursuantto paragraphs(a) through (d) of Sub-
Clause2.9.1,reimbursement of any reasonablecost incidentalto the prompt and
orderly termination of the Contract,including the cost of the retum travel of the
Personnel, accordingto Consultants TravelingAllowanceRules.

In orderto computethe remuneration for the part of the Servicessatisfactorilyperformed


p or to the effectivedateof termination,the respective remunerationsshallbeproportioned.

2.9.5 Disputesabout Eventsof Termination

If eitherParly disputeswhetheran eventspecifiedin paragraphs(a) tkough (e) of Sub-


Clause2.9.1or in paragraph(a) through(d) of Sub-Clause 2.9.2hereofhasoccured, such
Partymay, within forty-five (45) daysafterreceiptof noticeof terminationfrom the other
Party,referthe matterto arbitrationpursuantto Clause7 hereo{ andthis Contractshallnot
be terminatedon accountof sucheventexceptin accordance with the termsof any resulting
arbitral award.

3. OBLIGATIONS OF THE CONSULTANTS

3.1 General

The Consultantsshall performthe Servicesand cary out their obligationswith all due
diligence,efliciency, and economy,in accordancewith generallyacceptedprofessional
techniquesand practices,and shall observesound managementpractices,and employ
appropriateadvancedtechnologyand safe methods. The Consultantsshall always act, in
respectof any matterrelatingto this Contractor to the Sewices,as faithful advisersto the

Client, and shall at all times supportand safeguardthe Client'slegitimateinterestsin any


dealingswith Subconsultants or third parties.

3.2 ConsultantsNot to Benefit from Commissions,Discounts,etc.

The remunerationof the Consultantspursuantto Clause6 shall constitutethe Consultants'


soleremunemtion in connectionwith this Contractor the Services,andthe Consultants shall
not acceptfor their own benefitany trade commission,discount,or similar paymentin
connectionwith activitiespwsuantto this Contractor to the Servicesor in the dischargeof
theirobligationsunderthe Contract,andthe Consultants shallusetheir besteffortsto ensure
that the Persorurel,
any Sub consultants, and agentsof either of them similarly shall not
receiveany suchadditionalremuneration.

3,3 Confidentiality

The Consultants, their Subconsultants,andthe Personnelof eitherof themshallnot, either


during the term or after the expirationof this Contract,discloseany proprietaryor
confidentialinformationrelatingto the Project,the Services,this Contract,or the Client's
businessor operations withouttheprior writtenconsentof the Client.

3,4 ProfessionalLiability

The Consultantsare liable for the consequence of errors and omissionson their part or on
the part of their employeesin so far asthe designof the Projectis concernedto the extent
andwith the limitationsasspecifiedhereinbelow.

If the Clientsuffersany lossesor damages


asa resultofproven faults,errorsor omissionsin
the designof a project,the Consultants
shallmakegoodsuchlossesor damages, subjectto
the conditionsthat the maximum liability as aforesaidshall not exceedtwice the total
remunerationof the Consultantsfor designphasein accordancewith the terms of the
Contract.

The liability of the Consultantsexpiresafter one (1) year from the stipulateddate of
completionof constructionor aftertlree (3) yearsfrom the dateof final completionof the
designwhicheveris earlier.

The Consultants may, to protectthemselves, insurethemselvesagainsttheir liabilitiesbut


this is not obligatory.Theextentof theinsuranceshallbeup to thelimit specifiedin second
para above.The Consultantsshall procurethe necessarycover before commencingthe
Servicesandthe costof procuringsuchcovershallbeborneby the Consultants up to a limit
of one percentof the total remuneration of the Consultantsfor tlle designphasefor every
yearofkeepingsuchcovereffective.

The Consultantsshall,at the requestof the Client,indemnifythe Client againstany or all


risks arisingout of the furnishingof professionalservicesby the Consultants
to the Client,
not coveredby the provisionscontainedin the first paraaboveandexceedingthe limits set

the Consultants in accordancewith Sub-Clause 3.7 shallbecomeandremainthe propertyof
the Client, and the Consultantsshall, not later than upon termination or expiration of this
Contract,deliver(if not alreadydelivered)all suchdocumentsand softwareto the Client,
togetherwith a detailedinventorythereof. The Consultantsmay retain a copy of such
documents andsoftware.

Equipmentand Materials Furnishedby the Client

3,10 Accounting,Inspectionand Auditing

TheConsultants (i) shallkeepaccurateand systematicaccountsandrecordsin respectof


the Serviceshereunder,in accordance with internationallyacceptedaccountingprinciples
andin suchform and detailas will clearlyidentify all relevanttime charges,andcost,and
the basis thereof, and (ii) shall permit the Client or its designatedrepresentatives
periodically,and up to one year from the expirationor terminationof this Conhact,to
inspect the same and make copies thereof as well as to have them audited by auditors
appointedby the Client.

4. CONSULTANTS' PERSONNELAND SUBCONSULTANTS

4.1 Descriptionof Personnel

The titles, agreedjob descriptions,minimum qualifications,and estimatedperiods of


engagementin the carrying out of the Servicesof the Consultants'Key Personnelare
describedin AppendixC. The Key Personneland Subconsultantslistedby title and/orby
name,asthe casemay be, in AppendixC aredeemedto be approvedby the Client.

4.2 Removaland/or Replacementof Personnel

(a) Except as the Client may otherwiseagree,no changesshall be madein the Key
Personnel.If, for any reasonbeyondthe reasonable controlof the Consultants,
it
becomesnecessaryto replaceany of the Key Personnel,the Consultantsshall
provideasa replacement a personof equivalentor betterqualifications;

(b) Ifthe Client,(i) finds that any of the Personnelhavecommittedseriousmisconduct


or havebeenchargedwith havingcommitteda criminalaction;or (ii) hasreasonable
causeto be dissatisfiedwith the performanceof any of the Personnel,then the
Consultantsshall, at the Client'swritten requestspecifyingthe groundstherefore,
provideas a replacement a personwith qualificationsand experience
acceptableto
the Client,

(c) Except as the Client may otherwiseagree,the Consultantsshall; (i) bear all the
additionaltravel and othercostsarisingout of or incidentalto any removaland/or

beingreplaced.

5. OBLIGATIONSOFTHE CLIENT

5.2 Accessto Land

5.3 Changesin the ApplicableLaw

If, after the dateof this Contract,thereis any changein the Applicable Law which increases
or decreases the cost of the Sewicesrenderedby the Consultants, then the remunerations
anddirectcostsotherwisepayableto the Consultants undelthis Contractshallbe increased
or decreasedaccordingly,and corresponding adjustmentshall be made to the amounts
refenedto in Sub-Clause 6.2 (a) or (b), asthe casemaybe.

5.4 Servicesand Facilities

The Clientshallmakeavailableto the Consultants,Subconsultaatsandthe Persomel, for


the purposeof the Servicesand free of any charge,the services,facilitiesand property

5.5 Payments

6.7 Consultants'Entitlement to SuspendServices

If the Client fails to make the paymentof any of the Consultants'invoice (excludingthe
advancepayment),within twenty-eight(28) days after the expiry of the time statedin
paragraph (b) of Sub-Clause 6.4,within whichpaymentis to be made,the Consultants may
aftergiving not lessthaafourteen(14) days'priornoticeto the Client,suspendthe Services
or reducethe rate of carrying out the Services,unlessand until the Consultantshave
receivedthe payment.

7. SBTTLEMENTOF DISPUTES

7.1 Amicable Settlement

be settledamicablywithin thirty (30) daysaftet receiptby one Party of the other Party's
requestfor such amicablesettlementmay be submittedby either Party for settlementin
accordance with the provisionsof the ArbitrationAct, 1940(Act No x of 1940)and of the
Rulesmadethereunderandany statutorymodificationsthereto.

Servicesunderthe Contractshall, if reasonablypossible,continueduring the axbitration


and no paymentdue to or by the Client shallbe withheldon accountof such
proceedings

8. INTEGRITYPACT

8.1 If the Consultantor any of his Subconsultants,agentsor seruantsis foundto haveviolated

(a) recover from the Consultantan amount equivalent to ten times the sum of any
commission,gratification,bribe,finder'sfee or kickbackgivenby the Consultantor

(b) terminate the Contracti and

(c) Recover from the Consultant any loss or damageto the Client as a result of such
terminationor of anyothercorruptbusinesspracticesofthe Consultantor any ofhis
Subconsultant, agentsor servants.

On terminationof the ContractunderSub-Para(b) of this Sub-Clause,the Consultantshall
