1.0 INTRODUCTION:

What we do:

FOCUS is providing INDUSTRIAL PLANT ENGINEERING CONSULTANCY SERVICES since 2003 based out of
Chennai, Tamilnadu, INDIA for various customers who are operating in India and abroad and who are
concentrating in various industrial sectors like OIL & GAS, THERMAL POWER, Etc.

We have in-house expertise in Process,Mechanical Equipment Design (Static – Storage Tanks, Pressure
Vessels, and Heat Exchangers), Piping, Pipeline and Civil & Structural Disciplines. We work with our
associates for the other disciplines Viz Electrical, Instrumentation & Controls, HVAC & Fire Protection
Systems.

2.0 PROJECT BACKGROUND:

M/s. CRISIL is preparing a Policy study / Feasibility Study Report for Transporting Oil & Gas Petroleum
Products to SAARC Countries for submitting to SAARC ENERGY CENTRE.

Now the client M/s. CRISIL wishes to outsource the input providing activities for completing the Policy
Study / Feasibility Study Report. On this basis CRISIL is in discussion with M/s. FOCUS to involve in this
project.

3.0 BASIS OF ESTIMATION:

Personal discussion and Emails received. M/s. CRISIL email messages sent on 30th Jan 2019 and 1st Feb
2019.

M/s. FOCUS shall provide the inputs not specifically related to any project. The inputs shall be based
on Indian/International Standards, Internationally Recommended Engineering Practices and based on
our similar past project experience and will be of generalised nature.

4.0 SCOPE OF WORK:

To provide inputs in the form of Design Basis memorandum for preparing a Policy Study / Feasibility
Study Report for transporting onshore Crude Oil & Gas Petroleum Products via cross country pipelines.
It is assumed that all cross country pipeline will run onshore.

The purpose of M/s. FOCUS report is to give guidelines on normative costing of pipeline including
capital expenditure, to suggest on the available technologies and other infrastructural aspects and
understanding the cost breakup for setting up a crude or POL pipeline at a normative or thumb rule
level, not specific pipelines project.

The report will include broad heading as below,

 An analysis of the cost structure of large commercial pipeline operations.

 Discuss funding options of large pipeline operations/projects
 Pipeline Technologies and its various aspects including infrastructure and operations
 Design, construction and operation of different types of oil pipe lines including segregration,
technology and infrastructure needed.
 Oil products to be transported through pipe line, transportation costs and construction cost.
 Barriers and Constraints for setting up inter-regional oil pipeline network.
 Regulatory Mechanism / Financing Modalities / Tariff Design / Operation Rules.
 Study of contractual terms of existing SAARC cross border POL trade through pipelines and
roadways.

Special emphasis will be given to the land lock countries like Afghanistan, Bhutan and Nepal for the
transportation of oil products meeting their needs.

However, the final table of contents will be frozen jointly (M/s. CRISIL and M/s. FOCUS) before
starting of the actual work.

5.0 EXCLUSIONS FROM THE PRESENT SCOPE :

 Performance/ Preparation of any other Activities/ Deliverables other than what listed under
Clause 3.0 and 4.0.
 Travel to any location. But however it can be provided at an extra cost.

6.0 DOCUMENTATION:
All necessary deliverables (Output) will be issued initially in non-editable Electronic Format through
Email only. Final documentation (Editable files) will be furnished once the project is completed.

7.0 REVISIONS:
We have considered the following revisions:.

R0 – 1st Issue for review and comments by M/s. CRISIL

R1 (Final) – Next issue with M/s. CRISIL, comments incorporated.

We undertake to revise the documents, if we have committed mistakes. However, if we receive new
revised inputs after start of the project then we consider it as additional scope of work which we will
undertake it after mutual agreement on price and Time schedule.

8.0 REVIEW AND COMMENTINGPHILOSOPHY

M/s. FOCUS shall issue all necessary deliverables on or before the agreed delivery issue plan.

M/s. CRISIL shall review the R0 documents and provide valid comments at one shot only, within One
week’s (1) time from the date of receipt of the document.

9.0 PROJECT EXECUTION PLAN & SCHEDULE:

We propose to issue all the R0 documents within 2 three (3) weeks time. The final issue R1 within one
(1) week after receipt of M/s. CRISIL comments.

10.0 INPUTS REQUIRED:

The following are the minimum inputs required from customer at the time of execution of the subject
assignment:
All activities will be started upon receipt of final inputs. Any change in the input after start of the project
shall be considered as extra work (which shall be appropriately compensated) which shall be mutually
discussed and agreed upon and continued further.

11.0 PRICE

We propose a Total lump-sum price of INRXXX/-(Indian Rupees XXXXX Only)

M/s. FOCUS all Travel related expenses (Flight, Train, Hotel, Food, Etc.) shall be reimbursed at actual.
My M/s. FOCUS Travel Man-day rate – Rs. 12,000/ (per person) within India.

GST shall be paid extra to the above indicated amount at 18%.

12.0 INVOICING&PAYMENTTERMS
We propose the following invoicing pattern and payment terms based on milestone completion.

An electronic invoice which contains all necessary payment information (Amount in INR, our Bank
details with IFSC CODE, Etc.) will be sent to the concerned authority of M/s. CRISIL.

All payments shall be transferred directly to our bank account through Bank to Bank Transfer mode
within 5 Days from the date of the invoice received and Payment Transfer record also shall be sent us to
present to our bank for crediting the amount to our bank account as it is mandatory here in INDIA.

13.0 PROJECT COMPLETION REQUIREMENTS

We are willing to sign any kind of confidentiality agreement with M/s. CRISIL.

M/s. CRISIL,shall agree to issue the Project Completion Certificate once all deliverables are received by
them as per the Purchase Order issued by M/s. CRISIL.

Work Order along with Advance & all Payments shall be made in the name of

M/s. FOCUS PROJECTS AND CONSULTANTS
