PROBATIONARY CONTRACT

KATE ROXELLE MEDINA ROSARIO

Dear Ms. Rosario,

This contract will officially confirm your appointment as a probationary employee at Park Secure
Management Corporation. (“PARK SECURE” or the “COMPANY”) subject to the following terms and
conditions:

EMPLOYMENT STATUS : PROBATIONARY

POSITION TITLE : INTEGRATED MARKETING STAFF

DEPARTMENT/BRANCH : MARKETING DEPARTMENT

BASIC SALARY : Php 14,004.96 per month

EFFECTIVE DATE : 14 January 2020

EXPIRY DATE : 13 August 2020

Your probationary employment shall be for a period of six (6) months commencing on January 14, 2020
and ending on August 13, 2020. Since you are under probation, you will be working with us on a trial
basis and your conversion from probationary status to regular employee shall be determined on the basis
of attainment of standards set in the probationary contract.

1. EXPECTATIONS
Park Secure Management Corporation’s, expectation of you as a probationary employee shall
be determined on the basis of the following standards, such as excellent work performance,
exemplary attendance record, compliance with rules, regulations and terms of this employment
agreement, superior task and project management skills as well as fulfillment of operational
requirements of the company toward its short, medium and long-term goals and corporate
objectives. Additionally, personnel evaluation and assessment tools will be used regularly and
when needed.

2. DAILY WORK ACTIVITIES


Your daily work activities will be guided by the attached Position Job Description in carrying out
your tasks successfully. You need to regularly revisit your position job description to constantly
meet the company’s overall expectations. The Management reserves the right to make
necessary amendment to the Position Job Description to suit the related requirements of the
Company, subject to the same satisfactory standards provided above. Your responsibilities will
cover all those responsibilities considered normal and usual for your position and any other tasks
or functions that your Superior may assign from time to time.

3. ALL AGREEMENTS IN WRITING AND DULY AUTHORIZED


It is expressly agreed and understood that there are no verbal agreements or understanding
between you and the company or any of its representatives affecting this agreement and that
no alterations or variations of the terms thereof shall be binding upon the parties to this
agreement unless the same are reduced in writing and signed by you and the authorized
company signatory.

4. COMMITMENT TO PERSONAL DEVELOPMENT


You shall uphold your commitment to personal development and skills enhancement.
5. SUCCESSFUL TASK IMPLEMENTATION
You shall implement successfully all company’s instructions and directions.

6. BUSINESS REVIEW AND RECOMMENDATIONS


You shall Perform Periodic Business Process Review of policies, practices and procedures as
often as needed to ensure proper business operations and development and to make the
necessary recommendations in writing to be submitted to the management.

7. TIMELY SUBMISSION OF REPORTS


You shall submit reports on time.

8. DELIVERY FAILURE AVOIDANCE


You shall undertake the full completion of tasks, assignments and routines in order not to result
to delivery failure of given task or project within a specified / allowable time frame set by the
company or industry institutions the company deals within the daily course of its business.

9. PROFESSIONALISM
You shall act in accordance to professional and ethical standards within company premises and
when dealing and interacting with third parties, and likewise protect the company’s interest at all
times under any given circumstances. In this regard,
Yyou shall go the extra-mile at all times resulting to high level of work objectives and personal
job satisfaction fulfillment.

10. REPORT OF FRAUDULENT ACTIVITIES


You shall make full disclosure of any fraudulent action or activities of any company employee
within or outside the company or any third party in connivance with any employee, including
illegal and unauthorized use of company / third party funds and resources for personal gain and
profit. The non-disclosure and eventual discovery of such fraudulent activities will be subject to
the appropriate disciplinary action and possible dismissal due to incident cover-up.

11. STRICT HANDLING OF CONFIDENTIAL INFORMATION


You shall adhere to strict handling of “Confidential Information” both within and outside office
premises to persons and entities not involved in daily transaction of sensitive business
information.
“Confidential Information” means: valuable trade secrets relating to operations
and sales, customers, business and/or marketing plans, technical information,
financial information, business summaries, records, know-how, designs,
inventions, scientific knowledge, data and other records or information of the
Company; information about the assets, controls, intellectual property and
activities of the Company however it is stored including without limiting the
generality of that statement, manuals, agreements relevant to the business and
information derived from the relationships with directors, clients, diagrams,
drawings, plans, software, tapes or diagrams, drawings, plans, software, tapes or
disks together with copies of that information, technical data, software and other
forms of information (whether written or oral), personnel and organizational data
relating to the Company, its clients; terms of contracts or arrangements between
the Company and any of their suppliers or third parties; other information relating
to the Business not in the public domain which is related to the company and its
business.”

12. DIVULGENCE OF CONFIDENTIAL INFORMATION


Due to the nature of the parking business, Park Secure Management Corporation, entrusts you
not to divulge any of the Company’s or Client’s information to any unauthorized party/parties.
As you are tasked to handle sensitive and confidential information, it is your responsibility to
ensure that your staffs are made aware of the stipulations and conditions under the non-
disclosure of confidential information. Please note that failure to comply may result in
disciplinary action that may be taken against you together with the corresponding claims for
cost and damages that may arise there from.

13. TERMINATION OF CONTRACT


During the probationary period, Park Secure Management Corporation may terminate this
contract at any time prior to the end of your probationary period Park Secure Management
Corporation may terminate this contract with immediate effect for just and authorized causes. The
management make likewise terminate this contract with immediate effect without payment of any
compensation whatsoever, should youyou commit any of the grounds for termination below:
i) Ffailure to obey any legitimate instructions issued to you by your superior; or
ii) Bbreach of any of the rules and regulations of Park Secure Management Corporation,
or
iii)

v) Ccommit any act of gross misconduct, persistent late and tardiness, frequent absence,
failure to perform duties assigned duties; or
vi) Bbe convicted of any criminal offensce punishable with imprisonment excluding an
offensce under road traffic regulations in Philippines or elsewhere for which you are not
sentenced to any term of imprisonment, whether immediate or suspended; or
vii) Ihave incapacity to carry out the duties under the contract by reason of illness or any
other causes whatsoever; or
viii) At anytime during your 6-month probationary period, for whatever fair and valid
reasonreason determined by management.

Upon termination of your employment, aAll company records, documents, and assets in your
custody or control shall be immediately surrendered to the company whether or not requested
and directed.

14. COMPANY'S DOCUMENTS


You shall not during the continuance of this agreement make otherwise than for the benefit of
Park Secure Management Corporation, any notes or memoranda relating to any matter within
the scope of the business of Park Secure Management Corporation, or concerning any of its
dealings or affairs or those of its subsidiaries or associated or related companies; nor shall you
either during the continuance of your employment or afterwards use or permit to be used any
such notes or memoranda otherwise than for the benefit of Park Secure Management
Corporation, it being the intention that any such notes or memoranda made by you shall be the
property of the Park Secure Management Corporation, and left at its office upon termination of
your employment.

15. STRICT CONFIDENTIALITY OF COMPENSATION / SALARY


Your compensation package now and in the future is considered to be strictly personal and
confidential between you and the company. Disclosure of salary information to fellow
employees is a serious offense against the company and must not be discussed under any
circumstances.

16. EXCLUSION OF OTHER OCCUPATION


You shall not without the consent of the Park Secure Management Corporation, during the
continuance of your employment be engaged or interested, either directly or indirectly in any
capacity in any trade business or occupation whatsoever other than the business of the
Company or which in the opinion of Park Secure Management Corporation, may hinder or
otherwise interfere with the performance by you of your duties.

17. NON-COMPETITION and NON-DISCLOSURE, DAMAGES


For a period of two (2) years reckoned fromafter the termination of yourthe employment,
regardless of the cause or reason for termination, the Employee you shall NOT, directly
or indirectly, without prior written consent of the Company:

(a) Work for any person or establishment in the same or similar business as the
Company, or engage directly or indirectly in the same or similar business as the
Company;
(b)
(c) Solicit any business from, or make contact with, the Company’s clients;
(d)
(e) Solicit, entice or hire away or attempt to solicit or entice or hire away from the
Company, offer employment to or offer to conclude any contract of services with any
person, who during the period of six months preceding the termination of
employment, was employed with the Company; and,
(f)
(g) Disclose to any person, any confidential information, document or other papers
acquired during yourEmployee’s employment, relating to the Company’s business or
its customers, including, without limitation, business relationships and accounts,
financial data, research, development pricing policies, customer lists, marketing
plans or strategies, plans and personnel.
(h)

You hereby agree to the payment of the following amounts as damage and penalties in favor of
the company for any violation or breach of the foregoing covenants on non-competition and
non-disclosure:

a) Nominal damages in the amount of your current/last salary received multiplied by the
number of years rendered, where a portion of one year shall be computed on a pro-
rated basis;
b) Liquidated damages in the amount of five-hundred thousand pesos (Php500,00000) for
the rank and file employee, one million and five-hundred thousand pesos
(Php1,500,000.00) for supervisory employees; and three million pesos
(Php3,000,000.00) for top management employees; and
c) The expenses for litigation and other legal fees incurred in the enforcement of this
section.

Proposed Additional Clause

Current Salary x years employed will be paid back


Damages of 500k for Rank and File / 1.5 million supervisory / 3million for top management
Legal fees incurred by the company

18. INJUNCTIVE RELIEF


You herebyThe Employee acknowledges and stipulates that the covenants and restrictions
contained in this agreement are reasonable and necessary to protect the business goodwill,
business interests and proprietary rights of the Company. The EmployeeYou further
acknowledges and agrees that a violation of this agreement will result in irreparable damage to
the company and shall entitle the company to seek relief, including but not limited to injunctive
relief, in any court of competent jurisdiction.

For breach of any terms of this provision, the employee shall pay to the Company liquidated
damages in the amount of Five Hundred Thousand Pesos (P 500,000.00). This is in addition,
and without prejudice to attorneys’ fees not lower than One Hundred Thousand Pesos (P
100,000.00), and other remedies and cost of actual damages that the Company may be entitled
to under law and other provisions of the Contract.

19. RESIGNATION
The resignation of any employee, whether regular or probationary, shall be subject to a prior
written advice of thirty (30) days. In case of any failure or refusal to comply with the thirty - day
prior written notice requirement, the Company shall not be obliged to issue to the employee
concerned any clearance from his/her obligation. Any request for terminal leave shall be
subject to the approval of the Company.

20. CONVERSION TO REGULAR EMPLOYEE STATUS


The continuance of your employment as a regular employee after your probationary contract will
be made official only after you have received a new contract appointing you as a regular
employee of the company.
