DEED OF GIFT

THIS DEED OF GIFT is made and entered into at Mumbai,

on this 20th day of March 2014, BETWEEN Smt. Sumanben

Durgadas Doshi, Hindu, adult, Indian Inhabitant, Residing at, Flat

No. B-305, Shree Govinda Co-op. Housing Society Ltd., Rajupada

Road, Borivali (West), Mumbai- 400 092, hereinafter be referred to

as “THE DONOR” (which expression shall unless it be repugnant

to the context or meaning thereof, mean and include his legal heirs,

legal representatives, executors, administrators, and assigns, etc.) of

the FIRST PART AND MRS. ALKA RAMDAS DESAI NEE

ALKA DURGADAS DOSHI, Hindu, Aged 45 Years, Indian

Inhabitant, Residing at, Flat No. 3 Avinash Building, Datta Mandir

Road, Danukar Wadi, Kandivali (West), Mumbai - 400 067,

hereinafter be referred to as “THE DONEE” (which expression

shall unless it be repugnant to the context or meaning thereof, mean

and include his, legal heirs, legal representatives, executors,

administrators, and assigns etc.) of the SECOND PART;

WHEREAS the Donor and Donee both are blood relatives i.e.

the Donor is the Mother of the Donee;

AND WHEREAS the Donor herein absolutely seized and

possessed of and lawful owner of Flat premises being Flat No. B-

305, Shree Govinda Co-op. Housing Society Ltd., Rajupada Road,

Borivali (West), Mumbai- 400 092, adm. 560 sq.ft. (Super build up)

on the Third Floor of the building known as Govinda Co-operative

Housing Society Ltd lying, being and situate at survey No. 136,

Hissa No. 2 (Part), C.T.S. No. 30/2 (part), of Village: Poisar,

Kandivali, Taluka: Borivali; more particularly described in the First

Schedule hereunder written and hereinafter referred to as “THE

SAID PREMISES” for the sake of brevity;

AND WHEREAS the donor has purchased the said premises

vide agreement dated 14th September 1998 from M/s Gajraj

Enterprises, duly registered partnership Firm having its office at

Govinda Nagar, Rajupada Road, Borivali (West), Mumbai- 400 092

therein called as the developers and the same was registered through

deed of confirmation dated 18th July, 2001 duly registered with the

Sub - Registrar Bandra having Registration No.

BBDR/25/4431/2001 dated 26/07/2001.

AND WHEREAS after the purchase of the said premises, the

donor herein has become a member of the Shree Govinda Co-

operative Housing Society Ltd., registered under the Maharashtra

Co-operative Societies Act, 1960 having Registration No.

BOM/(WR)/HSG/TC/11635/2002-03/2002 dated 04/06/2002, having

its office at Rajupada Road, Borivali (West), Mumbai - 400 092,

hereinafter referred to as the “SAID SOCIETY” for the sake of

brevity.

AND WHEREAS being a member of the said society, the

society has issued a share certificate in favor of the donor having

Share Certificate No. 22, and Members Register No. 22 holding 5

fully paid up shares of Rs. 50/- each bearing distinctive Nos. 101 to

105 herein, in the name of the Donor and donor is the lawful member

of the said society till today; hereinafter referred to as “THE SAID

SHARES”.

AND WHEREAS the Donor herein desires to transfer 50% of

her share, right, title and interest in the said premises, to the Donee to

enjoy the said premises jointly along with her;

AND WHEREAS the Donor, therefore desires to grant and

transfer her 50% Ownership right in the said premises to the Donee

as gift in consideration of natural love and affection as hereinafter

mentioned;

AND WHEREAS the Donee has agreed to accept the 50%

Ownership right as gift as is evidenced by executing these presents;

NOW THIS DEED WITNESSETH that the Donor, without any

monetary consideration and in consideration of natural love and

affection which the Donor bears to the Donee doth hereby grant and

transfer by way of gift, her 50% ownership right, share, title and

interest in the said premises situate at and more particularly

described in the Schedule hereunder written together with all the

liberties, privileges easements and advantages appurtenant thereto

and all the estate, right, title, interest use, inheritance, possession,

benefit, claims and demand whatsoever of the Donor To Have And

To Hold the same unto and to the use of the Donee absolutely but

subject to the payment of all taxes, rates, assessments, dues and

duties now and hereafter chargeable thereon to the Government or

Municipality or other Local Authority;

AND she the Donor, doth hereby covenants with the Donee;

(a) That the Donor has in herself, good right, full power and

absolute authority to grant her ownership right in the said

premises and hereby granted as gift in the manner

aforesaid;

(b) The Donee may at all times hereafter peaceably and quietly

enter upon, have, occupy, possess and enjoy the said

premises to her own use and benefit without any suit,

lawful eviction, interruption, claim or demand whatsoever

from or by the Donor or her heirs, executors, administrators

and assigns or any person/s lawfully claiming or to claim

by, from, under or in trust for the donors;

(c) That the said premises is free and clear, freely and clearly

and absolutely and forever released and discharged and

otherwise by the donor and well and sufficiently saved kept

harmless and indemnified of and from and against all

former and other estate, titles, charges, and encumbrance

whatsoever, had made, executed, occasioned or suffered by

the Donor or by any other person/s lawfully claiming or to

claim by, from, under or in trust for the Donor;

(d) AND FURTHER that the Donor and all persons having or

lawfully claiming any estate or interest whatsoever to the

said premises or any part thereof from under or in trust for

the Donor or her heirs, executors, administrators and

assigns any of them shall and will from time to time and at

all times hereafter at the requests and cost of the Donee do

and execute or cause to be done and executed all such

further and other acts, deeds, things, conveyances and

assurances in law whatsoever and better and more perfectly

assuring the 50% right in the said premises and every part

thereof unto and to the use of the Donee in the manner

aforesaid as by the Donee, their heirs, executors,

administrators and assigns or counsel in law shall be

reasonably required;

IN WITNESS WHEREOF, the parties hereto have set and

subscribed their signatures on the day, month and year as

mentioned hereinabove;

All that piece and parcel of Flat No. B-305, Shree Govinda Co-op.

Housing Society Ltd., Rajupada Road, Borivali (West), Mumbai -

400 092, adm. 560 sq.ft. (Super build up) on the Third Floor of the

building known as Shree Govinda Co-operative Housing Society

Ltd. lying, being and situate at survey No. 136, Hissa No. 2 (Part),

C.T.S. No. 30/2 (part), Of Village: Poisar, Kandivali, Taluka:

Borivali within the Registration District and Sub-District of Mumbai

City and Mumbai Suburban.
