AGREEMENT FOR TRANSFER

THIS AGREEMENT FOR TRANSFER made this 6th day of August Two
Thousand and Fourteen, in the Christian Era,

BETWEEN

MRS. INDRANI BHATTACHARYA wife of Mr. Tapos Bhattacharya, aged


about 71 years, by Caste Hindu, by Occupation House wife, presently lesiding
at 29, Martindale Way, Swaston, Cambridge, England, CB 22 3BT., duly
represented by her Constituted Attorney MR. MANAS RANJAN ROY son of
Late Manomohan Roy,an Indian Citizen, residing at D - 14/6, Purbasa Housing
Estate, 160, Manicktala Main Road, Kolkata - 700 054, P.S. Manicktala in the
District of Kolkata, hereinafter called and referred to as the "TRANSFEROR”
(which term of expression shall unless excluded by or repugnant to the context
be deemed to include her heirs, executors, administrators, legal representatives
and assigns) of the ONE PART

AND

MR. GOURAB SENGUPTA son of Late Gouranga Sengupta, aged about 35


years, by Occupation Service, by faith Hindu, by Nationality Indian, residing at
IC-10, Regent Apartment, Sonarpur, Kolkata-700103, PS. Sonarpur in the
District of South 24 Parganas hereinafter called and referred to as the
"TRANSFEREE" (which term or expression shall unless excluded by or
repugnant to the context be deemed to include his heirs, executors,
administrators, legal representatives and assigns) of the OTHER PART

WHEREAS, the Transferor hereto, is a bonafide member of Premchhaya Co-


operative Housing Society Ltd, [Regn. No. 22/CMAH of 1990], a Co-operative
Housing Society registered under the West Bengal Co-operative Societies Act,
XLV of 1983 and having its Registered Office and housing project at FD-462
Sector III, Salt Lake City, PS. Bidhannagar South, Kolkata 700 106 in the
District of North 24 Parganas

AND WHEREAS, the said Transferor has been enjoying the right, title and
interest of the Flat No. FD-462/5 measuring a covered area of 1250 sq ft, a little
more or less, lying and situate in the Premises No. FD-462, Sector-III of
Bidhannagar, belonging to the aforesaid Society, hereinafter referred to as the
"SAID PROPERTY", which she acquired by virtue of a Deed of Conveyance
Assignment dated 8th day of May, 2003, and which was registered in the office
of the Additional District Sub-Registrar, Bidhannagar (Salt Lake City) and
recorded in Book No. I, Volume No. 290, Page 101 to 126, Being No 05131 for
the year 2003.

AND WHEREAS, the Transferor hereto has grown old and have been suffering
from various ailments for long time and needs a lot of money for ber long term
costly treatment and for such purpose, she wishes to quit from the membership
of the Society and has decided to transfer her right to occupy of her flat and all
her right, title and interest as well as her shares and membership of the Society
10 the Transferee for a total consideration of Rs. 61,00,000 (Rupees sixty-one
lakh) only and the Transferee has agreed to acquire the right to occupy of the
said flat and Transferor's all right, title and interest in the said property and
shares on the Terms and Conditions mutually agreed upon as are hereinafter
appearing –
NOW THIS AGREEMENT WITNESSES

1. That the Transferor agrees to transfer to the Transferee and the Transferee
agrees to acquire from the Transferor the right to occupy of the said flat
of the Transferor and all her right, title and interest of the said flat
together with all its mutually agreed fixtures and fittings at the price of
Rs. 61,00,000/- (Rupees sixty-one lakh) only.
2. It is hereby recorded that the Transferee on the date of this Agreement has
paid a sum of Rs. 10,00,000/= (Rupees ten lakh) only to the Transferor
for acquiring the Schedule Property in his favour from the Transferor as
per receipt furnished below. The Transferee shall pay the balance
consideration of Rs. 51,00,000 (Rupees fifty-one lakh) only within 20
(thirty) days from the date of obtaining final permission from the Urban
Development Department for registration of Deed of Assignment is
favour of the Transferee and simultaneously the Transferor shall hand
over peaceful vacant possession of the flat for the use, occupation and
enjoyment of the Transferee.
3. That the Transferor shall tender her resignation from the membership of
the Society and apply to the Society to admit the Transferee as an
inducted member in place of the Transferor.
4. That all dues payable to the Society including Municipal taxes, service
and maintenance charges up to the date of delivery of possession shall be
paid by the Transferor, thereafter the Transferee will be liable to pay and
bear the same
5. That the Transferor represents to the Transferee as follows –
i) That she is the absolute owner of the said flat and no other person
has any interest therein.
ii) That the Transferor has no loan liability in respect of the said flat
and hence, the said property is free from all encumbrances.
iii) That on taking possession of the said flat the Transferee shall be
entitled to occupy the same without any claim or interruption from
the Transferor and/or her natural heirs and legal representatives.
iv) That the Transferor shall pay all dues, which will stand payable to
the said Society on the date of handing over possession of Schedule
property to the Transferee and will keep the Transferee safe and
unharmed in any manner.
v) That the Transferor has not made any agreement with any other
person in connection with the Schedule Property.
vi) That the Transferor undertakes not to charge the Schedule Property
in any manner excepting in favour of the Transferee.
6. That at the time of full payment, the Transferor will hand over to the
Transferee all the Original Documents like (i) Deed of
Conveyance/Assignment (ii) up to date Municipal Tax Receipts, (iii)
Receipts of payments made by the Transferor to the Society, (ii) Share
Certificate, (iv) Last paid-up Electric Bill, (v) Last paid Municipal Tax
Bill or any other documents/papers which are necessary to be preserved
by the Transferee to avoid future complications.
7. That the Transferor shall sign and execute any Deed and/or Documents
required to be signed and executed by her to complete the aforesaid
Transfer lawfully at the cost of the Transferee.
8. That the Transferee should not make any major addition and alteration to
the property more fully described in the Schedule hereunder written
without obtaining necessary approval from the Bidhannagar Municipality
through the Society.
9. That in case of death of either party their legal heirs shall act on their
behalves.
10.That the Transferee shall be bound to abide by the terms and conditions
of Original Deed of Lease executed between the Governor of the State of
West Bengal and PREMCHHAYA CO-OPERATIVE HOUSING
SOCIETY LTD. Lessor and Lessee respectively and shall follow the Bye-
Laws of the Society as the true and lawful member of the Society in place
of Transferor.
11.The Transferee shall obtain approval of membership from the Urban
Development Department, Govt. of West Bengal and in this regard the
Transferor shall take all necessary steps and co-operate with the Society
so that approval of membership in the name of Transferee member is
obtained in due course.
12.If the membership of the Transferee is not materialize due to any un
known reason in such event the Transferor undertakes to refund the entire
advance money to the Transferee.
THE SCHEDULE ABOVE REFERRED TO

ALL THAT, Flat No 5, on the 2nd Floor of the building at Premises No 462 in
Block-FD, in Sector III of Bidhannagar having a covered area of 1250 sq. Ft.
(more or less) consisting of Bed Rooms 3 (three) Nos, Drawing-cum-Dining 1
(one) No. Toilet 2 (two) Nos, Kitchen 1 (one) No, Verandah 2 (two) Nos,
situated and being the part of the premises including the proportionate
undivided share of land and common facilities available in the said premises
such as equipment, fixtures, apparatus of common utility, stair case, landing,
underground and overhead reservoir, common roof, open space, car parking
space, road etc. and entry to aforesaid accommodation through the common
stairs, free access to the roof of the building in common and normal necessities,
free from all encumbrances.
