MEMORANDUM OF AGREEMENT
(Agency to Agency)

between

This agreement is made and entered into as of this 26th day of June, 2018
by and between Mr. OSAMA MOHAMED ASHOUR, General Manager
(hereinafter referred to as “First Party”), of Al Saleh Manpower
Recruitment with a registered office located at P.O. Box 16700, 4th Floor
Flat No. 9 Bldg. No. 84 Street No. 220, B-ring Road Zone 15 Doha Jadeed,
State of Qatar. Office Tel No.: +974 4442 3838; Fax No.: +974 4444 2825

And

Mr. AYMEN ISMAIL AHMED, Managing Director (hereinafter


referred to as “Second Party”), of Alawasef Manpower Supply with a
registered office located at 3rd floor Bluing Bole Rod Awash Adidas Abba
Ethiopia; Contact No.: +251 92 357 1824; Email Add.:
alawasefmanpowersupply@gmail.com;

WHEREAS, “Mr. Osama” is in the business of Recruitment in Doha, Qatar, and

WHEREAS, “Mr. Aymen” is in the business of Recruitment in Adidas Ababa, Ethiopia and

WHEREAS, the parties desire to establish between them a memorandum of agreement in


order to collaborate in Manpower Recruitment.

1. TERMS OF AGREEMENT. This Agreement shall commence on the date first above
written and shall continue in existence until terminated, liquidated, or dissolved by law or
as hereinafter provided. NOW, THEREFORE, in consideration of the foregoing, and of
the mutual covenants and commitments set forth herein, the parties hereto agree as
follows:

1.1. OBLIGATION OF SECOND PARTY

1.1.a. The Second Party shall/screen filter the potential candidates and keep the
suitable candidates ready for the interview(if any) and which will be inform in
advance by the First Party / clients’ representative as per their job description
mentioned in demand letter issued in order to seek and attain their approvals
for each position, including the standby candidates.

1.1.b. The Second Party shall be responsible if under the circumstances, the selected
candidates of the First Party change/substitute and Second Party will
undertake to handle any issue in the future about the workers status with the
First Party.

1.1.c. The Second Party shall be responsible in arranging the necessary documents
needed for each candidates such as passport copies (minimum one year
validity), medical certificates, test certificates (at least with high school
diploma), Client employment Letter, Undertaking letter, CV’s, photographs
of the candidates or other qualification required for the purpose of issuance of
work permit and visas. Second Party must communicate with the First Party
from time to time.

1.1.d. The Second Party shall be responsible in furnishing the correct details
(100% correct) in the application form and have been read with signature by
the candidates. No spurious or false information.

1.1.e. The Second Party shall be responsible in mobilizing the selected candidates
to the country of employment (Doha, Qatar) within One (1) week or the
earliest possible time after the contracts or visa’s received from First Party.
In case there are alterations, false names, expiration of visa or any kind of
reason and the candidates shall be deployed upon clearance of their papers or
documents.

1.1.f. The Second Party shall be responsible for the orientation or informing the
candidates regarding the salary and all other INFORMATION / POLICIES /
RULES that the candidates must need to be aware of before accepting their
application.

1.1.g. The Second Party shall be completely responsible in such case that the
candidate got rejected by the employer due to any reasons and must find
replacement within Fifteen (15) days from the date of rejection.

1.2. OBLIGATION OF THE FIRST PARTY

1.2.a. The First Party shall be responsible in arranging and processing the Visa or
any required documents needed by the workers in order to enter Qatar.

1.2.b. The First Party shall be responsible in informing the Second Party when the
labor approval and visa are done and ready for deployment.

1.2.c. The First Party shall be responsible in informing the Second Party of all
selected workers through email, Chat, SMS, Skype, Whatsapp/IMO or Viber.

1.2.d. The First Party shall assist the candidates for the immigration and labor in
order to legalize their employment in Qatar and residence in the country of
employment.

1.2.e. The First Party will be responsible for the fees of visa, resident permit
stamping, and health card/insurance and medical check-up in the country of
employment.

1.2.f. The First Party will bear the one-way air ticket (Ababa to Doha) of the
selected candidates after confirmation from Second Party that the candidate/s
are ready to travel to Doha, Qatar.

1.2.g. The First Party shall be responsible in sending commission to the Second
Party Ten (10) days upon arrival of the workers.

1.2.h. The First Party shall be responsible in immediately informing the Second
Party in case the workers got involved in major problem, serious accident,
death or termination.

2. RECRUITMENT FEES / SERVICE CHARGES / OTHERS:

2.1. The salary and recruitment charge of HSW / Khadama should be as follows:

CATEGORY SALARY RECRUITMENT CHARGE

A Muslim with Experience QR900.00 US$500 (inclusive of Air Ticket)


B Muslim without Experience QR800.00 US$500 (inclusive of Air Ticket)

2.2. The salaries for the Cook, Private Nurse, Beautician, House Driver and other
categories shall be negotiable as per Demand/Request.

2.3. The candidates will bear the expenses at home country for the actual cost related to
their pre-medical, immigration fees, taxes and cost for certificate of attestation (if
required).

2.4. The Second Party will be charge to pay the amount equivalent to the total costs
spent as follow below to First Party. In case they failed to inform the First Party
before issuance of visa and contract that the candidate is not yet ready for
deployment or further in case the candidates fail to travel and report to duty after
issuance of visa and contract.

For Qatari Sponsor = QR 300 visa fee and other fees to be declared
upon cancellation.
For Non - Qatari Sponsor = QR 500 visa fee and other fees to be
declared upon cancellation.

3. GUARANTEE. Both parties agree with Three (3) months guarantee. During this period,
if any deployed workers found:

3.1. Medically unfit, pregnant, constantly feeling sick, unqualified as per the position
mentioned on the request service, refuse to work, run-away or blacklisted (i.e.
somebody who worked from a previous sponsor here in Qatar) the Second Party
will bear all the expenses for repatriating of the said workers back to his/her origin
country, make replacement free of charge and fees apply stated in Article 2.4;

In case of run-away or repatriation after the Three (3) months probations, the First
Party is no longer liable for repatriation ticket of HSW.

4. NON-CONFIDENTIALITY. Both parties agree not to disclose any of the


aforementioned information to third parties or to use any of this information for any
purpose whatsoever other than performing under this Agreement or as required by law
without the approval of all parties involved.

5. TERM. This Agreement shall commence on the date first written above and remain in
full force and effect for an initial period of one (1) years (the “Initial Term”). At the end
of the Initial Term, this Agreement will automatically renew in one year increments
(each, a “Renewal Term”), unless and until this Agreement is terminated in accordance
with Article 6 hereinafter.

6. TERMINATION. Either Party shall have the right to terminate this Agreement, effective
as of the end of the Initial Term or any Renewal Term, by providing the other with
written notice of termination at least Sixty (60) days prior to the end of such Initial Term
or Renewal Term.  Neither Party shall have the right to terminate this Agreement at any
other time, unless such termination is mutually agreed to by the Parties hereto. The
memorandum of agreement shall terminate upon termination of this Agreement.

7. FURTHER ACTIONS. Both Parties shall execute any documents and take all
appropriate actions as may be necessary to give effect to this Agreement.

8. ASSIGNMENT. Neither Party shall assign or transfer any of its rights or obligations
hereunder without the prior written consent of the other Party, except to a successor in
ownership of all or substantially all of the assets of the assigning Party if the successor in

ownership expressly assumes in writing the terms and conditions of this Agreement.  Any
such attempted assignment without written consent will be void.  This Agreement shall
inure to the benefit of and shall be binding upon the valid successors and assigns of the
Parties.

9. GOVERNING LAW. This Agreement shall be governed by and construed in accordance


with the laws of the State of Qatar, without regard to conflicts of law principles.

10. NOTICES. All notices, requests, demands and other communications under this
Agreement must be in writing and will be deemed duly given, unless otherwise expressly
indicated to the contrary in this Agreement: (i) when personally delivered; (ii) upon
receipt of a telephone facsimile transmission with a confirmed telephonic transmission
answer back; (iii) three (3) days after having been deposited in the mail, certified or
registered, return receipt requested, postage prepaid; or (iv) one (1) business day after
having been dispatched by a nationally recognized overnight courier service, addressed to
a Party or their permitted assigns at the address for such Party first written above.

11. HEADINGS. Paragraph headings used in this Agreement are for reference only and shall
not be used or relied upon in the interpretation of this Agreement.

12. ENTIRE AGREEMENT. This Agreement contains the entire agreement and
understanding between both Parties, superseding all prior contemporaneous
communications, representations, agreements, and understandings, oral or written,
between the Parties with respect to the subject matter hereof.  This Agreement may not be
modified in any manner except by written amendment executed by each Party hereto.

IN WITNESS WHEREOF, the parties hereto have executed this Agreement as of the day
and year first above written. Signed, sealed and delivered in the presence of:
