BUSINESS & CONFIDENTIAL POLICY

4.1 OUTSIDE EMPLOYEMENT

Employees shall not take an outside job, either for pay or as a donation of their personal time, with
a customer or competitor of SapieoSoft ; nor may employees work on their own if it competes or
interferes in any way with the sales of products or services that SapieoSoft provides to its clients.

4.2 TRANSFER POLICY

Employee may also be transferred to any location where the company has its office or intends to
create a presence in India or abroad. Certain projects may require a person to be deployed at
client's premises; you also agree to work onsite for projects of such nature.

4.3 TRAVEL POLICY

Company can send the employees outstation for a short-term training, seminar, conference,
business meeting or to represent SapieoSoft in any universal platform. It is the duty of the
employees to perform the said objectives primarily and solely. Any other personal activities will not
be bear at the company cost but by the employee itself. Company may ask employee to submit
event feedback report highlighting the success rate, gaps and major takeaway for the next event .
Employee should be formal, decent and non-flashy when representing SapieoSoft in any platform.

4.4 CONFIDENTIALITY AND NON-DISCLOSURE

Confidential information is defined as SapieoSoft or Client information, not to be made available to


the public or the general employee. Confidential information also includes the terms of contract and
employee and employment details with SapieoSoft and the business agreement.
Under no circumstances shall any Client’s or Company’s business information be discussed or
disclosed by any employee unless otherwise authorized by the Client or Company. Some Clients
may ask employees to sign a confidentiality agreement as well. Employees are obliged to sign a
Non-disclosure (Business Confidentiality) Agreement specific to a particular client as and when
required by organization.
Employees are responsible for information management and safeguarding this information with
utmost care. All notes and memoranda pertaining to this organization trade secrets and
confidential/proprietary information made by or acquired by you during the course of your
employment shall at all times remain the property of this organization. Upon termination of
employment, employee shall return all notes/memoranda and any copies thereof to organization
that they may have obtained during your employment

4.5 COPYRIGHT AND SAFEGUARD OF INTELLECTUAL PROPERTY

SapieoSoft is the owner of all copyright in any work, documents, software, products, any artwork
and other projects incorporating intellectual property, that are developed by an employee during
his/her service with the Company. This applies to all official work carried out during or after
business hours. Subject to any statutory provision any invention, design, document or patent
connected with the business of the company either directly or indirectly invented, designed or
acquired by or any improvement in any invention or design or document belonging to the company
made by the employees during the continuance of their employment by SapieoSoft shall become the
sole property of the Company.

4.4 CONFLICT OF PERSONAL INTEREST

Employee shall not under any circumstances either directly or indirectly, receive or accept for their
personal benefit any commission, rebate, discount or profit from any person, company or firm
having business transactions with Organization.

4.4 BREACH OF AGREEMENT

In case of Breach of any terms of the appointment by the employees either during the employment
or outside the employment, the Company will pursue all legal remedies to recover from the
concerned person , individual or group, any damages caused due to the breach and other acts
detrimental to the Company’s welfare.
