b- Validity and signature

This offer is valid for a period of 60 days and up to 6 months from contract signature. JMG reserves the
right to change the offer partially or entirely after this date. This offer becomes a contract upon both
parties’ signature and after the settlement of the first payment detailed below by the client.

c- Free maintenance
A free maintenance of 12 months with a call back service from Monday to Friday (8:00AM to 5:00PM) is
included in this offer effective the date of handing over of the material.

d- Payment terms
- Advance payment: 60% of contract amount
- Upon issuance of B/L documents: 20% of contract amount
- Upon material arrival to site: 10% of contract amount
- Upon completion of installation: 10% of contract amount
e- Payment delays
- Delay in “contract signature” payment beyond 15 days from the signature of the contract will
render the contract void and will allow JMG to charge 10% of the contract value on the client for
administrative fees
- Delay in “before order placement” payment beyond the date set in “project plan” section below,
will allow JMG to charge any increases in material prices on the client and will not proceed with
the manufacturing of the material
- Delay in “upon material delivery to site” payment beyond 15 days from the date of material
arrival to site will allow JMG to stop all installation and related works on the project
- Free maintenance will be suspended until outstanding payments have been made on due date
as agreed in the sales contract

f- Exchange rates
Prices are subject to change based on prevailing exchange rates.

g- Project plan

The following dates are part of the contract plan and shall be followed to meet stated dates:
- Step 1: Contract signature
- Step 2: Three weeks from step 1: Approval on shop drawings and finishes selection
- Step 3: 25 weeks from step 2: material arrival to site
- In case the equipment is ready to be delivered to site and its delivery is delayed by the client,
he will incur additional charges of 600US$ / unit / month for the storage and the insurance of
the equipment. The Client agrees that the Supplier does not commence the installation process
at the site before the safety inspection is satisfactory and the required safety conditions are
met, which shall be certified in writing by the latter.
- Step 4: 6 months after material arrival to site: equipment handing over
- The handing over will be considered effective one month after the completion of installation
works without need of any notice.

h- Transfer of risks
Upon the delivery of the material to site, the material becomes under the full responsivity of the client.

i- Cancellation Charge
If a party decides to cancel the contract before the approval of the shop drawings, he will incur a
cancellation charge of 10% of the total amount of the contract. After that date and once shop drawings
are approved, the client will become liable to JMG for the total amount of the contract.

j- Warranty and free maintenance terms and conditions

a. Warranty includes the supply and replacement of parts (O.E.M) within the normal working
hours of the company by qualified personnel
b. The warranty covers a period of 12 months starting the date of the handing over certificate
signature, or 6 months after the material delivery to site, (Whichever comes first).
c. JMG is freed of any responsibility in case the client or his official representative decides to
put in use the installed equipment without JMGwritten approval.
d. The warranty and free maintenance are considered void in case of maintenance or
modification on the equipment is done by a third party
e. JMG limted will be forced to terminate the free maintenance agreement in case of force
majeure conditions preventing JMG staff from attending the site
f. Exclusions from warranty and free maintenance happen when the damage is due to water,
moisture, fire, explosion, vandalism, rust, lightning, improper earthing, electrical fluctuation
or hazards, negligence and misuse of the equipment
