RE: RETAINER AGREEMENT PROPOSAL

Madam,

As requested, I am sending you the proposed Monthly Retainer/Consultancy Agreement with

Minimal Retainer Fee amounting to FORTY THOUSAND PESOS (P40,000) net payable every
first week of the month. The fee shall be subject to re-evaluation, upon agreement of the
parties.

1. Scope of Engagement. The undersigned is retained as general counsel for all the legal
problems and incidents, including Human Resource (“HR”) Consultancy, of your
business. The scope of my retainer/consultancy services will be as follows:

a. To act as company Legal Counsel and to represent and address the personal legal
queries of the company officers more specifically CRIMINAL,CIVIL and/or
ADMINISTRATIVE cases.
b. Consultations, Inquiries, rendering opinions on ordinary legal and administrative
matters and other legal services to include review of contracts and preparation of
simple letters in the ordinary course of business as customarily rendered by a
retained lawyer to a client.
c. Actual physical presence of at least once a week in your office upon request to
accommodate urgent inquiries and other immediate legal concerns.
d. Consultancy on HR aspects of your business, depending on the exigencies and needs
of your business.

2. As regards to cases referred to my office, charges will depend on the time and
effort that will be spent on your case. The proposed legal fees would be as follows:

a. Acceptance Fee minimal charge depending on the complexity and venue of the
case for criminal and civil cases in RTC/MTC and/or Prosecutor Level. For Labor
cases, minimum acceptance fee of P25,000 for labor arbiter level.***For collection
cases only, subject to success fee of 5% if successfully collected through demand
letter and 10% if collection was successfully made through court action/compromise
agreement.
b. Appearance Fee covers the preparation, time and effort consumed for the actual
attendance/ appearance before the court and/or any administrative office, in the
amount of P5,000.00 within Metro Manila and the amount of P6,000.00 outside
Metro Manila plus Gas and toll allowance.
c. Pleading Fee applies to documents required by the court. P3,000 for minor
pleadings and P6,000 for major pleadings in trial courts, administrative agencies,
etc. Charges for major pleadings in appellate level, will be P10,000 for NLRC
Commission level, P30,000 for Court of Appeals and P60,000 for Supreme Court.

 d. All expenses such as but not limited to mailing expenses, photocopying, publication
docket and legal fees, filing fees, summons and writ of execution and sheriff’s fee,
shall be paid by you as our clients;

3. Extraordinary Expenses: Considering the nature of cases filed in the Philippines, this
fee covers all other expenses not covered by official receipts but are actually incurred
such as but not limited to representation and other extra ordinary expenses. We shall
request this amount as soon as the need arises.

4. Term: taking into account the legal requirement of your company, this agreement shall
be for a period of one (1) years, subject to renewal as may be mutually agreed upon by
the parties.

Should there be any legal requirement from your office, which shall not fall within the scope of
the aforementioned retainer services, we shall promptly inform you of the same for your
convenience.

If you find the foregoing in order, kindly signify your conformity on the duplicate original of this
letter and return the same to us at your earliest convenience.
