INDENTURE OF SALE

THIS INDENTURE OF SALE MADE AT LONAVLA THIS 11th DAY of

January 2019

BETWEEN

1) MRS.REETA PRAVIN VIJAYAKAR, aged 65 years,

2) MR. ANEESH PRAVIN VIJAYAKAR, aged 36 years,

3) MISS. DHANASHREE PRAVIN VIJAYAKAR, aged 40 years,

(PAN NO.) ACLPV9751G

No.1 to 3residing at- 2, Chaitanya Tejpal Scheme No.2, Vile-parle, East,

Mumbai 400057 Indian Inhabitants hereinafter referred to as the

‘VENDORS’ (Which expression shall unless repugnant to the context or

meaning thereof mean and include their heirs, executors and

administrators) of the One Part

1) MR. CHHAGAN BHAGWANT LOKHANDE, aged 61 years,

2) MRS. RATNMALA CHHAGAN LOKHANDE, aged 55 years,

3) MR. LAKAPPA HANMANT KOLI, aged 53 years,

Indian Inhabitant hereinafter referred to as the ‘PURCHASERS’ (Which

expression shall unless repugnant to the context or meaning thereof

mean and include their heirs, executors, administrators and assigns) of

the Other Part;

AND WHEREAS 1) Mr. Ramchandra Kesharinath Rao 2) Mrs. Rohini

Chandrakant Vijayakar 3) Mrs. Vimal Narayan Navalkar were the original

owners of all that piece and parcel of land or ground bearing Plot No. 11

area admeasuring 616 sq. yards, i.e. to say 515.1 sq. mtrs. out of

sanctioned layout of S.No.150 situated at village Valvan, Taluka Maval,

Dist. Pune, within the Limits of Lonavla Municipal Council and in the

registration sub district of Maval, Taluka Maval Dist. Pune, present

description of which plot is more particularly given in the Schedule

hereunder written and which plot hereinafter is referred to as “the said

Plot”;

AND WHEREAS By registered deed of sale registered at the office of

sub registrar of Maval dated 03/10/1961 under Sr.No.673/1961 said 1)

Mr. Ramchandra Kesharnath Rao, 2) Mrs. Rohini Chandrakant Vijayakar

and 3) Mrs. Vimal Narayan Navalkar have sold, transferred and conveyed

said Plot to 1) Vidyadhar Chandrakant Vijayakar, 2) Pravin Chandrakant

Vijayakar(Minor) by the hand of his mother and natural guardian Rohini

Chandrakant Vijayakarand 3) Rohini Chandrakant Vijayakar;

AND WHEREAS said Vidyadhar Chandrakant Vijayakar died intestate

on 14thJune, 1984 leaving behind 1) his mother Smt. Rohini Chandrakant

Vijayakar, 2) his wife Dr. (Mrs.) Ishwari Vidyadhar Vijayakar and 3) his son

Sanil Vidyadhar Vijayakar as his only legal heirs;

The said Dr. (Mrs.) Ishwari Vidyadhar Vijayakar being the wife of the

aforesaid Vidyadhar Chandrakant Vijayakar died on 2 ndDecember, 1984

leaving behind her Last Will & Testament dated 25 thNovember, 1984

appointing Shri Madhukar Yashwant Talpade and Sau. Pramila Talpade as

her Executors;

The Hon’ble High Court of Judicature at Mumbai on 18 thOctober, 1988

granted to the said Shri Madhukar Yashwant Talpade and Sau. Pramila

Talpade probate of the said Last Will & Testament of the said Dr. (Mrs.)

Ishwari Vidyadhar Vijayakar in the Probate Petition No. 782 of 1985;

By, for the reasons and for the consideration recorded in the Release

Deed dated 19thJuly, 1989 registered at the office of the Sub-registrar of

Assurances at Vadgaon, Maval under Sr. No. 3788 of 1989, the said Shri

Madhukar Yashwant Talpade and Sau. Pramila Talpade in their capacity

as the Executors to the Estate of Late Dr. (Mrs.) Ishwari Vidyadhar

Vijayakar released in favour of the aforesaid Pravin Chandrakant

Vijayakar and Rohini Chandrakant Vijayakar all the undivided rights held

by the said Dr. (Mrs.) Ishwari Vidyadhar Vijayakar in the said Plot at the

time of her demise in her capacity as one of the heirs and legal

representatives of the aforesaid Late Vidyadhar Chandrakant Vijayakar

while by, for the reasons and for the consideration recorded in the

Release Deed dated 19th July, 1989 registered at the office of the Sub-

registrar of Assurances at Vadgaon, Maval under Sr. No. 3789 of 1989,

the said Sanil Vidyadhar Vijayakar released in favour of the aforesaid

Pravin Chandrakant Vijayakar and Rohini Chandrakant Vijayakar all the

undivided rights held by the said Sanil Vidyadhar Vijayakar in the said

Plot in his capacity as one of the heirs and legal representatives of the

aforesaid Late Vidyadhar Chandrakant Vijayakar;

In the aforesaid circumstances, the aforesaid Pravin Chandrakant

Vijayakar and Rohini Chandrakant Vijayakar became full and absolute

owners of the said Plot;

AND WHEREAS said Pravin Chandrakant Vijayakar died intestate on

16thSeptember, 1995 leaving behind 1) his mother Rohini Chandrakant

Vijayakar, 2) his wife Reeta Pravin Vijayakar, 3) his son Aneesh Pravin

Vijayakar and 4) his daughter Dhanashree Pravin Vijayakar as his only

legal heirs;

AND WHEREAS said Rohini Chandrakant Vijayakar died on

21stFebruary, 1999 leaving behind her last Will & Testament dated

24thOctober, 1998 bequeathing her entire share in the said Plot in favour

of the aforesaid Aneesh Pravin Vijayakar;

AND WHEREAS the Vendors thus now are seized and possessed of

and are well and sufficiently entitled to all that piece and parcel of land

or ground bearing Plot No. 11 area admeasuring 00 H 05.1 R out of

sanctioned layout of S.No.150/1 having corresponding CTS No. 260/11

area admeasuring 510 Sq. Mtrs situated at village Valvan, Taluka Maval,

Dist. Pune, within the Limits of Lonavla Municipal Council and in the

registration sub district of Maval, Taluka Maval Dist. Puneand more

particularly as described in the schedule hereunder written (For brevity’s

sake hereinafter referred to as the “Said Plot”);

AND WHEREAS IT IS hereby mutually agreed between the Vendors

and Purchasers that the amount of consideration will be received only by

Vendor No. 1 and Vendor No.3, Vendor No. 2 will not receive any amount

from the Purchasers but Vendor No. 2 is giving his absolute consent to

this Indenture of Sale. Vendor No. 2is having no objection for the said

document, Vendor No. 2 will assign, release, transfer and convey his all

the rights of the said plot to the Purchasers without accepting any kind of

consideration.

The Vendors have agreed to sell to the Purchasers and the

Purchasers have agreed to purchase from the Vendors said Plot more

particularly described in the schedule hereunder written at or for the

lump sum price of Rs. 79,50,000/- (Rupees Seventy Nine Lakh Fifty

Thousands Only) free from encumbrances;

AND WHEREAS the Purchasers have requested the Vendors to

execute the conveyance in their favour for which the Vendors have

agreed to do in the manner hereinappearing;

NOW THIS INDENTURE WITNESSETH that in pursuance of the said

agreement and in consideration of Rs. 79,50,000/- (Rupees Seventy Nine

Lakh Fifty Thousands Only) paid by the Purchasers to the Vendors Nos. 1

and 3 on or before execution of these presents being the full

consideration money (the payment and receipt whereof the Vendors

Doth hereby admit and acknowledge and of and from the same and

every part thereof doth forever acquit, release and discharge the

Purchasers) THEY the Vendors DOTH hereby GRANT, SELL, CONVEY,

TRANSFER, RELEASE, ASSIGN AND ASSURE unto the Purchasers

absolutely and forever All that piece and parcel of Non Agricultural land

or ground bearing Plot No. 11 area admeasuring 00 H 05.1 R out of

sanctioned layout of S.No.150/1 having corresponding CTS No. 260/11

area admeasuring 510 Sq. Mtrs situated at village Valvan, Taluka Maval,

Dist. Pune, within the Limits of Lonavla Municipal Council and in the

registration sub district of Maval, Taluka Maval Dist. Pune and more

particularly described in the scheduled hereunder written and

TOGETHERWITH all the singular areas, internal roads, common garden,

open space, other amenities, compounds, sewers, ditches, fences, ways,

paths, passages, common gullies, drains, waters, water-courses, plants,

lights, liberties, privileges, easement, profits, advantages, rights,

members and appurtenances whatsoever to the Said Plot or any

belonging or in anyway appertaining to or with the same or any part

thereof now or at anytime hereto before for usually held, used, occupied

or enjoyed therewith or reputed or known as part or member thereof to

belong or be appurtenant thereto AND TOGETHERWITH all copies of

deeds, documents, writings, vouchers, and other evidences of title

relating to the Said Plot or any part thereof in possession of the Vendors

AND ALSO TOGETHERWITH ALL THE estates, right, title, interest, use,

inheritance, land, possession, benefit, claim and demand whatsoever at

law and in equity of the Vendors into out of or upon the Said Plot or any

part thereof free from encumbrances TO HAVE AND TO HOLD the Said

Plot and all the singular hereby granted, released, conveyed, intended

and assured or expressed so to be with them and every of their right,

members, and appurtenances UNTO AND TO THE USE AND benefit of the

Purchasers absolutely and forever SUBJECT HOWEVER to the Payment of

all rents, rates, taxes, assessments, dues and duties now chargeable upon

the same hereafter to become payable to the Government of

Maharashtra or any other Public body empowered to levy such charges

rates taxes or assessments in respect thereof AND TOGETHERWITH the

full and free right liberty and benefit in common of the use of the roads

and open spaces shown in the lay-out for all purposes with or without

carts, carriages, motors, loaded or unloaded at all times either by day or

by night by the Purchasers or by his servants, tenants, inmates and all

persons seeking access to the Said Plot AND the Vendors DOTH hereby

for themselves and their heirs, executors, administrators covenant with

the Purchasers THAT NOTWITHSTANDING any act, deed, matter or thing

whatsoever by the Vendors or any of them or by any person or persons

lawfully or equitably claiming by from through or under or in trust for

them, made, done, committed or omitted or knowingly or willingly

suffered to the contrary, THEY the Vendors now hath in themselves good

right, full power and absolute authority to grant, convey, release, and

assure the Said Plot hereby granted, released and assured or intended so

to be UNTO and to the use of the Said Purchasers in manner aforesaid

AND it shall be lawful for the Purchasers from time to time hereafter

peaceably and quietly to hold, enter upon, have occupy, possess and

enjoy the Said Plot hereby granted with its appurtenances and receive

the rents, profits, issues thereof and every part thereof for their own use

and benefits without any suit, lawful eviction, interruption, claim and

demand whatsoever from or by the Vendors or their heirs, executors, or

any of them or by any person or persons lawfully or equitably claiming or

to claim by from under or in trust for them ANDTHAT free and clear

freely and clearly and absolutely acquitted, exonerated released and

forever discharged or otherwise by the Vendors and sufficiently saved,

defended kept harmless and indemnified of from and against all former

and other estate, title, charges and encumbrances whatsoever already to

be hereafter had made, executed, occasioned or suffered by the Vendors

or by any other person or persons lawfully or equitably claiming or to

claim by from under or in trust for them AND FURTHER that the Vendors

and all person having or lawfully or equitably at law or in equity in the

Said Plot hereby granted or any part thereof by from under or in trust for

them the Vendors or any of them shall and will from time to time and at

all times hereafter at the request and costs of the Purchaser do and

execute or cause to be done and executed all such further and other

lawful and reasonable acts, deeds, things, matters, conveyances and

assurances in law whatsoever for the better further and more perfectly

and absolutely granting and assuring the Said Plot and every part thereof

hereby granted unto and to the use of the Purchaser in manner aforesaid

as shall or may be reasonably required by the Purchasers their heirs,

executors, administrators or their Counsel in Law.

The Vendors shall be responsible to pay all the government taxes,

cesses and/or other outgoings payable in respect of the said Property till

the date of execution of this Sale Deed whether the demand in this

behalf is raised by the concerned authorities before or execution hereof.

IN WITNESS WHEREOF the parties have hereunto set and

subscribed their respective hands and seals the day and year first

hereinabove written.

On or towards North by : Plot No. 17
