COMMERCIAL CONTRACT TO RENT A STAND CELEBRATED BETWEEN FERIA


INTERNACIONAL LOS ANGELES AND VELAS VELANDA

Entity The undersigned, namely FERIA INTERNACIONAL LOS ANGELES with


address in this city and who for the purposes of this contract will be called FAIR on the one
hand, and on the other NATALIA PARRA who acts as Legal Representative of VELAS
VELANDA hereinafter the EXHIBITOR, we have agreed to enter into a lease contract for
STAND 323 that will be governed by the following clauses:
1. PRE-RESERVATION AND RESERVATION PROCESS OF THE AREA WHERE
THE EVENT WILL BE DEVELOPED Pre-reservation will be discussed from the
moment the event organizer makes the separation of the area, which can be done by
telephone or email, until it is signed by both parties the lease. The pre-reservation does not
imply a commitment or obligation of the parties to enter into the lease. From the moment
the contract is signed and the payment stipulated in that document is made, it will be
understood that there is a reservation, at which time the event organizer acquires the status
of LESSEE. 2. CANCELLATION OF THE EVENT OR MODIFICATION OF THE
AREA OR SCHEDULED DATES FOR THE REALIZATION OF THE EVENT Once
the lease contract is signed, if the EXHIBITOR decides to cancel the event, FAIR may keep
the money delivered as advance payment by the EXHIBITOR, the foregoing by the
damages caused by the cancellation of the event to FERIA, unless the reasons referred to as
the cause for cancellation correspond to circumstances of force majeure or fortuitous event
qualified by FERIA. When the EXHIBITOR submits a request to modify the date and / or
contracted areas, the parties will study the different options that exist, taking into account
the availability of the FAIR. If the parties cannot agree on these aspects, THE
EXHIBITOR, if so decided, may continue with the dates and / or areas initially agreed
upon or the lease may be terminated. In this case, FAIR will have the right to keep the
money delivered as advance payment by the EXHIBITOR, the foregoing for the damages
caused by the cancellation of the event to FAIR. 3. PERMITS AND TAXES NEEDED
FOR THE EVENT HOLDING It will be the responsibility of the EXHIBITOR to obtain
the permits issued by the District Authorities, as well as the payment of taxes, when the
event so requires, assuming the costs that these generate. The EXHIBITOR must deliver a
copy of these documents to the FAIR. If the EXHIBITOR does not comply with these
obligations, the FAIR may terminate the contract and will have the right to retain, as
damages, the advance payments made by the EXHIBITOR, unless it proves force majeure
or fortuitous event that prevents the issuance of these documents by part of the competent
authorities. 4. FULFILLMENT OF THE SCHEDULE THE LESSEE must strictly
comply with the schedule established in the lease for the holding of your event, as well as
the dates agreed for the assembly and disassembly of the event. However, if the
EXHIBITOR requires additional time, FAIR will determine if there is availability for it. If
this is the case, the EXHIBITOR will assume the extra expenses that the extension of the
event time entails in accordance with the rates established by the Events Area, which will
be informed to the EXHIBITOR before extending the contract. If the EXHIBITOR does not
make the restitution of the leased area within the term agreed in the contract, FERIA will
have the right to charge an additional fee for the delay in delivery. The rate will be
determined taking into account the value of the contract. 5. ENTRY AND
WITHDRAWAL OF ITEMS OWNED BY THE EXHIBITOR For the entry of items,
the EXHIBITOR must fill out the Merchandise Entry Form, which can be downloaded
through the link indicated by the Events Area for this purpose. The days of entry of
EXHIBITOR elements include Saturdays and holidays, as long as these days are within the
contracted time. The schedule for said deliveries will be the one agreed between the
EXHIBITOR and the Events Area. After the event, the EXHIBITOR must remove the
elements of his property, complying with the schedule agreed by the parties for
dismantling. In the event that the EXHIBITOR's property elements have not been removed
in a timely manner, they will be considered by FERIA to be abandoned, therefore, FERIA
is not responsible for the loss or damage that these elements may present. 6. GOODS AND
/ OR SERVICES FOR EXHIBITION AND / OR COMMERCIALIZATION IN THE
LEASED AREA The EXHIBITOR may only display and / or commercialize goods and /
or services related to the economic sector of the event. 7. DURATION The term of
duration of this contract will be from September 10, 2020, until September 13, 2020, a term
that may be extended by mutual agreement between the parties, it is expressly stated that
the association that by this contract is constitutes, its exclusive purpose is to organize and
market a different variety of candles and their accessories. 8. PAYMENT AND FORM
OF PAYMENT The EXHIBITOR will pay a value of two hundred and sixty-nine dollars
and 21 cents (269.21 USD) to FAIR, as a guarantee in a fortuitous event or for damages
caused during the event, in addition, the EXHIBITOR agrees to cancel the sum of three
hundred and seventy-one six dollars and 89 cents (376.89 USD) corresponding to the
payment of 100% of the stand rent for the 3 days.

For the record, it is signed in the city of Los Angeles, on the fifth (05) day of the month of
September, two thousand and twenty (2020).
