MANUFACTURING CONTRACT

It is hereby recorded by this document, the contracting of the Uniforms, which celebrates on
the one hand, ......................................... with RUC ................................. and domiciled
at ..........................................., represented by ...................................... identified with
DNI Nº 07291040, hereinafter referred to as THE CONTRACTOR, and on the other hand
Casa Omar Importaciones y Representaciones S.R.L., with RUC Nº 20124794413, with
legal domicile at Calle Piérola Nº 321- A Cercado, registered in File Nº 01187997. From the
Registry of Legal Entities of Arequipa, duly represented by its Legal Representative, Mr.
Juvenal Valencia Fernández Baca, with DNI No. 29672344, hereinafter referred to as "THE
CONFECTIONER" under the following terms and conditions:

BACKGROUND:
FIRST - THE CONTRACTOR is a company duly registered in the Public Registries of
Arequipa, whose main activity is the Distribution and Sale of pharmacy products and medical
material.

SECOND - THE MANUFACTURER is a company that is also duly registered in the Public
Registries of Arequipa, whose main activity is the sale of garments as well as their
manufacture.

OBJECT OF THE CONTRACT:


THIRD: By this contract, the MANUFACTURER undertakes to manufacture uniforms,
consisting of 31 women's uniforms: 01 jacket, 01 pair of pants, 01 vest in Barrington design
wool, at a cost of S/. 450.00 each and 40 men's suits 01 jacket, 01 pair of pants in
Barrington wool design at a cost of S/. 400.00 each for a total of S/. 29,950.00. (Twenty
nine thousand nine hundred fifty and 00/100 new soles).

VALIDITY:
FOURTH: The term of this contract shall be counted from the signing of this document until
the total delivery of the garments made in accordance with Clause Three and to the
satisfaction of THE CONTRACTOR. However, both parties agree to a term of 20 working
days from the execution of this document,

OBLIGATIONS OF THE PRINCIPAL:


FIFTH: THE CONTRACTOR undertakes to payTHE MANUFACTURER, for the manufacture
of the garments, a lump sum equivalent to S/. 29,950.00 (Twenty Nine Thousand Nine
Hundred Fifty and 00/100 Nuevos Soles), for the entire contracted service; the amount to be
paid to THE MANUFACTURER as follows:

TOTAL MANUFACTURING CONTRACT, INCLUDING VAT: S/. 29 950.00

Payments shall be made upon presentation of the corresponding invoice, without the
presentation of which no payment shall be made, and the amount of the consideration shall
be retained.

OBLIGATIONS OF THE MANUFACTURER:


SIXTH: THE MANUFACTURER undertakes to perform its obligations loyally and efficiently,
applying all its experience and capacity for such purpose, and looking after THE
CONTRACTOR's interests. It also undertakes to make the garments to measure for each
person according to the fabric sample and model chosen.

PENALTIES AND TERMINATION OF THE CONTRACT:


SEVENTH - In the event of unjustified delay in the manufacture of the garments, i.e.,
exceeding 20 working days pursuant to Clause Four of this document and previously
communicated by THE CONTRACTOR, a penalty of up to 1% of the contract amount for
each day of delay shall be applied approximately to THE MANUFACTURER. This penalty
shall be deducted from the final payment or settlement of the contract.

EIGHTH.- THE CONTRACTOR may terminate this contract due to circumstances of


fortuitous event or force majeure duly proven and in cases that make it impossible for any of
the parties to continue with the agreed services and benefits; and in cases of abandonment
and/or insufficient or negligent performance duly proven.

NINTH - THE CONTRACTOR may terminate this contract without prejudice to any legal
actions that may be applicable, in the event that THE CON TRACTOR does not comply with
its obligations or mismanagement, then it shall assume the responsibilities established by
law in this respect, and shall be obliged to return the amounts of money paid to it for the
service rendered.

TENTH - This contract is of a civil nature, therefore it is hereby established that the
MANUFACTURER is not subject to a relationship of dependence with THE CONTRACTOR,
and in this sense the MANUFACTURER shall be free to choose how to perform its services,
as long as it does not deviate from the general instructions given by THE CONTRACTOR,
provided that it fully complies with the purpose of its services. Both parties expressly state
that the present contract is governed by the rules of the Civil Code and, consequently, the
rules on labor matters are not applicable to the present contract.

ELEVENTH - DOMICILE
In case of controversy, the parties waive the jurisdiction of their domicile and submit to the
jurisdiction of the judges of Arequipa, indicating as domicile those stated in the heading of
this contract, where notifications, clauses and others must be made.
Any change of address shall be communicated by means of a simple letter with
acknowledgment of receipt, or if applicable, by means of a notarized letter, within 72 hours
of its occurrence by the party that made the change. The lack of notice will determine the
subsistence of the address indicated, place where correspondence or notifications may be
validly addressed.

TWELFTH: In the same way, both parties declare that in the execution of the present
contract there has been no cause of nullity or annulment that may invalidate it, and that it
shall be effective from the date of its execution by the parties.

As a sign of conformity, the parties sign this document in the city of Arequipa, on the 7th day
of April 2015.
