MEMORANDUM OF AGREEMENT WITH

ACKNOWLEDGEMENT OF OBLIGATION

KNOW ALL MEN BY THESE PRESENTS:

This MEMORANDUM OF AGREEMENT (MOA) made and executed this ____ day of
______ 2018, at Batangas, Philippines, by and between:

POGI CORPORATION, institution duly organized under Philippine laws and

operating as such in accordance with the rules and regulations of Philippine,
whose principal office is located at Pogi Road, Batangas City, represented in this
act by Pogi Pogi, hereinafter referred to as the “VENDOR/LENDER”,

and

Beautiful Girl, Filipino, of legal age, with address Batangas City, Batangas ,
hereinafter referred to as the “VENDEE/BORROWER”;

WITNESSETH

WHEREAS, the VENDOR/LENDER is the absolute owner of a property located

at Barangay Poblacion, Batangas which forms part of its inventory of foreclosed
properties that it has acquired in the normal course of its banking operations and it is
covered by TRANSFER CERTIFICATE OF TITLE NO. issued by the Municipal
Assessor of the Municipality of containing an area of
___________________________________ square meters more or less, which is
more particularly described as follows:

WHEREAS, the VENDOR has offered to sell, transfer and convey and the
VENDEE has agreed to buy the above-mentioned property in the amount of
___________________________( Philippine Currency.

WHEREAS, VENDEE/BORROWER has agreed to pay an amount of

____________________________________ Philippine Currency as down payment for
the agreed purchase price and VENDOR/LENDER, hereby acknowledges that the
payments made by VENDEE/BORROWER be part of the purchase price;

WHEREAS, VENDOR/SELLER, has agreed to financially assist

VENDEE/BORROWER to satisfy the remaining balance of
__________________________________ Philippine Currency through a loan for
SEVEN months to be granted to the VENDEE/BORROWER for SEVEN months.

WHEREAS, upon payment of --------------------------------- Philippine Currency and

loan release of __________________________ Philippine Currency to satisfy the
purchase/selling price of _____________________________ Philippine Currency by
the VENDEE/BORROWER, VENDOR/SELLER will execute a Deed of Absolute Sale in
favor of the VENDEE/BORROWER.

WHEREAS, that pursuant to the agreement between VENDOR/LENDER and

VENDEE/BUYER, the loan amounting to
__________________________________________ with interest payable for three
months at the rate of seven (7%)percent.

NOW, THEREFORE, the Parties hereby enter into this Memorandum of

Agreement (MOA), as follows:

1. VENDEE/BORROWER agrees to have an extension in case failing to settle loan

obligation for SIX MONTHS.

2. To secure said obligation VENDEE/BORROWER, simultaneously with the

execution of this agreement, shall cause the execution in favor of
VENDOR/LENDER a Real Estate Mortgage of the said property.

3. The relationship of the herein parties under this agreement shall be governed by
Philippine laws. Any legal claim or suit as one party may have against the other,
if not amicably settled, shall be brought exclusively in the appropriate courts in
the Philippines.

4. Any modifications to this Agreement shall be made after one party has sent a
notice in writing to the other party and the latter has agreed in writing to the
modifications to be made. Such modifications shall be the subject of a
Supplemental Agreement and shall be made effective after both parties have
signed the Supplemental Agreement.

5. This Agreement shall remain effective until such time that one or both parties has
sent a notice of termination in writing and the other party has agreed in writing to
the termination of this Agreement.

IN WITNESS WHEREOF, the parties have hereunto set their hands on the day
and place first above written.

ACKNOWLEDGMENT

Known to me to be the same persons who executed the foregoing Memorandum of

Agreement and acknowledged to me that the same is their free and voluntary act and
deed as well as the free and voluntary act and deed of the corporation herein
represented. This instrument refers to a Memorandum of Agreement consisting of four
(4) pages, including this page wherein this acknowledgement is written, signed by the
parties and their instrumental witnesses.
