Draft Memorandum of Understanding / Agreement

THIS Agreement (“Agreement”) is made at Chandigarh, on this ____ day of January,


2020 (“Effective Date”) between:

ICICI Bank Limited, a company incorporated under the Companies Act, 1956 and a
banking company within the meaning of the Banking Regulation Act, 1949 and having its
Registered Office at Landmark, Race Course Circle, Vadodara 390 007 and corporate
office at ICICI Bank Towers, Bandra-Kurla Complex, Bandra, Mumbai - 400 051
(hereinafter referred to as “ICICI Bank/ the Bank” which expression shall, unless
repugnant to the context and meaning thereof deem to mean and include its successors
and assigns);

E-Connect Solutions Pvt. Ltd., a company incorporated under the Companies Act,
1956 having its registered office at G-18,19,20,IT Park, MIA, Madri, Udaipur-
313001,Rajasthan hereinafter referred to as “E-Connect” which expression shall,
unless repugnant to the context and meaning thereof deem to mean and include its
successors and assigns);

PUDA (Punjab Urban Planning & Development Authority), an apex institution for
the development of balanced urban growth in the State of Punjab. PUDA is committed
to provide planned residential, commercial and industrial spaces incorporating the
latest state of the art technology and town planning norms for PUDA and subsidiary
authorities under the aegis of PUDA (Attached in Annexure 2) (hereinafter referred to
as “Client” which expression shall unless it be repugnant to the context be deemed to
include its successors and assigns);

(ICICI Bank, E-connect and the Client are hereinafter collectively referred to as
"Parties" and individually as a "Party").

WHEREAS

1. ICICI Bank is in the business of offering various banking services to its


customers, which inter alia include opening and operating current accounts by
its customers.

2. E-connect is, inter alia, engaged in the business of providing end-to-end


workflow management solution and support services to government customers
(“IT Services”)

3. The Client is, inter alia, engaged for the development of balanced urban growth
in the State of Punjab. Client is committed to provide planned residential,
commercial and industrial spaces incorporating the latest state of the art
technology and town planning norms.

4. The Client proposes to implement IT solution. In this regard there has been
discussion between client and ICICI Bank to facilitate and provide IT Services to
the Client in order to enable the Citizens to avail online services consisting of
Land Owner Services, Plot Owner Services, Developer Services, other services
as per Terms of References which has been further detailed as Annexure 1
and which has been approved for development by client.

5. E-Connect and the Bank have agreed to provide the aforesaid services to the
Client and the Parties have agreed to enter into this Agreement to give effect to
the arrangement in these presents.

6. The Parties are desirous of recording their understanding in accordance with the
terms and conditions as provided hereunder.

IT IS NOW WITNESSETH AND AGREED BY AND BETWEEN


PARTIES AS UNDER: -

1. Services
1.1 E-Connect agrees that the IT Services offered by E-Connect under
the aforesaid arrangement to the Client, shall exclusively be offered
in tie up with ICICI Bank and no other bank/financial institutions in
Punjab during the validity of this agreement for mentioned services.

1.2 The Client and E-Connect mutually agree to commence the exchange
of information/data for development of IT Solutions for the Client. The
details of the processes for development and implementation shall be
determined by the Client and E-Connect upon mutual agreement.

1.3 E-Connect would be responsible for IT Services as per Terms of


Reference in Annexure 1. The entire scoping for the application will
be done by E-Connect and the development will be carried out by E-
Connect post sign off from the Department.

1.4 The entire banking relationship including the accounts pertaining to


collections, payments, housing schemes, projects, Estate officers,

Engineering Division and other banking business will be shifted to
ICICI bank exclusively for Client immediately. ICICI Bank shall further
transfer the funds so received twice a week i.e every Monday and
Thursday to Designated A/c’s as per instruction duly by the client to
ICICI bank. Delay in transferring the same shall call for Penalty of Rs
10000/- per day to a maximum of Rs 1 lakh.

1.5 The current scope of this Agreement is for services mentioned in


Annexure 1 only. Operation of the modules will be client’s
responsibility. Data digitization will be done by the E-connect.

1.6 IT Solution would be hosted in the client’s data center and all audit
requirements if any has to be completed by client before going live
for the customer / citizen and giving final sign-off. The cost of audit of
the IT Solution will be borne by the client but the cost of undertaking
audit compliances would be borne by E-Connect.

1.7 Scope of Work for ICICI would be Opening of current account for
collection purpose through single window and online and opening of
accounts for Estate officers and Engineering Divisions.

1.8 The payment to E-Connect for providing IT Services for development


and implementation of IT Solution shall be made as reimbursement
of cost by ICICI Bank as per outlined in this Agreement.

2. Terms & Termination

2.1 This Agreement shall come into force on the Effective Date and shall
be valid for a period of 2 Year from the Effective Date and can be
extended on a mutual consent.

2.2 Without prejudice to the provisions of the foregoing clauses, this


Agreement may be terminated by either Party with immediate effect
if;
a) this Agreement becomes unenforceable by a change in law /
regulation or interpretation of the provisions of an existing law /
regulation; or
b) petition for winding up of either Party is admitted by a High court; or

c) either Party goes into liquidation as declared by a Court of competent
jurisdiction or a distress, attachment or enforcement of a substantial
portion of the assets of a Party is levied or a Receiver is appointed in
respect of the assets of either Party; or
d) the other Party has defaulted in the performance of its roles and
responsibilities or has provided any untrue declaration,
representation, undertaking or warranty or has breached the same.

2.3 Upon termination of this Agreement, any rights, obligations and


liabilities of the Parties accrued up to and including the date of such
termination shall not be affected thereby.

3. Confidentiality
3.1 The Client and E-Connect agree and understand that during the course
of setting up of the Processes for provisioning the Services, Client may
be required to provide/permit access to E-Connect, certain confidential
and proprietary information, summaries, data concerning finance,
business operations, methods, transactions, affairs, concepts, ideas,
services, products, software and other data, knowledge, content or
information in written, oral, visual and/or physical/sample form
(collectively “Confidential Information”). E-Connect agrees to keep
confidential, the Confidential Information, and agree that that it may
disclose the Confidential Information to its employees, agents or
representative on a “need to know basis”.

E-Connect may disclose the following Confidential Information


(i) at the date of its disclosure is public knowledge or which
subsequently becomes public knowledge other than by way of a
breach of the terms hereunder; or
(ii) was available to E-Connect or becomes known to E-Connect prior
to or subsequent to disclosure by the Client from sources which to
E-connect knowledge are under no obligation of confidentiality to
the Client ; or
(iii) is required to be disclosed pursuant to order of a court of
competent jurisdiction or under any statutory requirements or
statutory order, decree; or
(iv) the Client previously agrees in writing that it may be disclosed; or
(v) is required to be disclosed by E-Connect to any outside consultant
or professional advisers “on need to know basis”, on a confidential
basis if the Client in its absolute discretion considers such
disclosure to be appropriate and necessary to enable E-Connect

to consider and evaluate the Confidential Information and/or to
protect its interest while evaluating this Agreement; or
(vi) Information that is developed by E-Connect without access to the
personal and financial information about the disclosing Party .

4. Intellectual Property
4.1 “Intellectual Property” shall mean all patents, trademarks, service marks,
logos, get-up, trade names, internet domain names, rights in designs,
copyright (including rights in computer software) and moral rights,
database rights, semi-conductor topography rights, utility models, rights
in know-how, trade secrets, and other intellectual property rights and
proprietary data, in each case whether registered or unregistered and
including applications for registration, and all rights or forms of protection
having equivalent or similar effect anywhere in the world.

4.2 All Intellectual Property of the respective Parties hereto before start
of the project shall continue to vest with the respective party. In case
Client or E-connect requires a license or assignment of any
Intellectual Property to each other, the same shall be done for the
purpose of this Agreement only and the same shall be agreed in
writing between the Client and E-connect.

4.3 Neither Client nor E-Connect shall use the name and/or trademark /
service mark / logo / intellectual property of ICICI Bank, the Affiliates
of ICICI Bank / its group companies, subsidiaries, associates or any
of its customers in any other manner whatsoever without the prior
written consent of ICICI Bank.

5. Force Majeure

5.1 Neither Party shall be liable for any inability to perform its respective
obligations due to Force Majeure Events. Force Majeure Event shall
mean any event which is beyond the reasonable control of a Party and
shall include sabotage, fire, flood, explosion, acts of God, civil
commotion, riots, insurrection, war or acts of government, changes in
legislation and other allied acts of regulatory nature.

5.2 This Agreement and the transactions contemplated herein shall be


binding upon and ensure to the benefit of each Party and their successors
and assigns. This Agreement shall not confer upon any person other than

the Parties to this Agreement the benefit of any rights or remedies
hereunder.

6. Notices
6.1 Each notice, demand or other communication to be given or made
hereunder shall, except as otherwise provided herein, be given or made
in writing and may be sent by one Party to the other Party by Registered
Post, telex, facsimile or hand to the address or numbers mentioned above
or such other address and numbers as one Party may inform the other in
writing from time to time. The notice shall deemed to have been served
upon the Party to whom it is given, if delivered by hand, upon delivery, if
given by post on expiration of three days of postage and if given by fax
upon acknowledged transmission thereof. Further the Parties agree that
the notice shall be served on the person specified herein by both the
Parties as the Designated Person.

Changes in the designated person are to be communicated by the


authorized person of the Party desirous of changing its designated
person to the other Party.

7. Limitation of Liability
7.1 The Client acknowledge and agree that under no circumstance shall the
Bank or E-Connect be liable for any direct, indirect, incidental, special,
punitive or consequential loss, damage or expense (which shall include
any loss of profit or revenue, any loss of goodwill, any loss of business
opportunity, or any failure to realize expected savings), of any nature or

kind, howsoever arising, whether in contract, in tort or otherwise, even if
the Bank or E-Connect was deemed to be aware of the possibility of such
damages.

8. Governing Law & Jurisdiction


8.1 This Agreement constitutes a binding contract on the Parties which shall
be governed and construed in accordance with the laws of India and shall
be subject to the exclusive jurisdiction of courts of Chandigarh.

9. Miscellaneous
9.1 Any amendment to this Agreement shall be effective only if mutually
agreed by all the Parties, in writing.

9.2 No failure or delay by either Party in exercising any right, power or


privilege hereunder shall operate as a waiver thereof nor shall any single
or partial exercise of any other right, power or privilege. The rights and
remedies of each Party hereunder are cumulative and not exclusive of
any rights or remedies available in law.

9.3 The relationship of the Parties is for this Client only and this Agreement
will not establish any relationship of principal and agent or Employer and
Employee, Partnership between ICICI Bank and E-connect.

IN WITNESS WHEREOF the Parties hereto have executed this Agreement on the day,
month and year first hereinabove mentioned.

1. Scope of Work

1.1E-Connect would be responsible for Process Re-engineering, Development and


Maintenance of Citizen Centric Application for Client.
1.1.1 List of Services to be covered are as under:-

1.1.2 Re-engineering of Process of each Application


1.1.2.1 E-Connect shall be responsible for study of the current
processes and documentation for each process.
1.1.2.2 Joint discussions and meetings would be held between the E-
Connect and Client team for re-engineering the processes and
documentation required to ensure ease of operation for the
citizen as well as Client officials with ultimate objective of fast
Service delivery.
1.1.2.3 The Application process would ensure following functionalities:
 Plot Owner/Developer/Land Owner is able to apply on-line
for the required services
 He is able to see and upload required mandatory
documents for the application
 He is able to digital sign affidavits wherever required
 Client officials are able to view /forward the application as
the per the defined workflow.
 The required demand note is generated and can be viewed
by the application
 The applicant is able to pay online
 The Client officials can communicate with the applicant on-
line
 The Client officials can issue the required digitally signed
certificate/permission on-line

1.1.2.4 Formal design documentation of each process would be


prepared by E-Connect and approved by Client.

1.1.3 Development testing , deployment and GO live of Software for
each process
1.1.3.1 E-Connect would be responsible for designing prototype of
the proposed solution.
1.1.3.2 Based on approval of prototype, coding and development of
proposed application would be undertaken.
1.1.3.3 Once the application is developed it will be hosted on staging
server for testing.
1.1.3.4 A team of dedicated testers would be deployed (Off-site) for
conducting testing such as performance testing, load runner
testing.
1.1.3.5 Once all issues/ bugs of the application are resolved,
Application will be deployed on production server for
successful go live.
1.1.3.6 Client has to provide signed UAT as user acceptance for each
process once application is successfully operational and made
Go-Live.
1.1.4 Maintenance
1.1.4.1 E-Connect will do the Maintenance of the developed
Application Software as per clause no. 1.8
1.2 Integration
1.2.1 E-Connect would be responsible for Integration of above services with
existing Database & Application Software
1.2.2 E-Connect would also integrate the application developed with
 Digital Signature/E-Sign Services subscribed by Client
 Payment Gateway
 SMS/E-Mail Gateway
 Whats App Integration if required.

1.3 Upgrading the existing Application Software


1.3.1 E-Connect would be responsible for Upgrading the existing
Application Software for following functionalities :
1.3.1.1 Digital workflow for movement of Application from one Desk to
other.

1.3.1.2 Features to Approve/forward/recall application with
remarks/comments
1.3.1.3 Features to communicate with the applicant
1.3.1.4 Features to integrate digital signature/E-sign Services with
documents wherever required

1.3.1.5 Features to record all event data and display digital note sheets

1.4 Mobile Application


1.4.1 E-Connect would be responsible for providing Mobile Application for
Citizen & Client
1.4.2 Mobile Application would have following functionalities
1.4.2.1 Citizen would be able to apply/View/Pay for his application and
account
1.4.2.2 Client would be able to view management level dashboards on
mobile
1.5 Training
1.5.1 E-Connect would be responsible for providing one time training on
above services to Client Employees.
1.5.2 Training would be at Single Location.
1.5.3 All necessary Infrastructure i.e Laptop, Projector, Space to be
provided by Client.
1.5.4 Training would be of maximum 7 Days consisting of 2 sessions each
per day.

1.6Providing Manpower Services for a period of 12 Months


1.6.1 E-Connect will deploy following manpower ( On-site & Off-site) for the
successful execution of the project for a period of 12 Months. Beyond
12 months, Client has to enter into Manpower Contract for providing
Manpower Services directly with E-Connect

1.6.2 E-Connect will deploy One Project Coordinator onsite for a period of
maximum 12 months who will be responsible for:
1.6.2.1 He will be the central technical point of contact for Client
1.6.2.2 He will submit the Project plan and milestones and update the
same on regular basis to client officials.
1.6.2.3 He will maintain and manage the issue management system
for logging all issues and managing them till their resolution

1.6.3 E-Connect will deploy One Business Analyst as required basis who
will be responsible for:
1.6.3.1 System Requirement Study;
1.6.3.2 SRS/Design documentation review and discussion
1.6.3.3 Client Interface for System Study, Requirement Gathering
1.6.3.4 Application prototype demonstration (during system
development).
1.6.4 E-Connect will deploy One Business Process Architect on as required
basis who will be responsible for:
1.6.4.1 Study the existing processes and existing workflows
1.6.4.2 Design the Digital process for each Application and hold
discussions with client officials.
1.6.4.3 Provide presentations of the proposed workflows and take
approvals from client.
1.6.5 E-Connect will also deploy team of Developers and testers Off-site
who will be responsible for doing the coding and testing.

1.7 Provide Support for Shifting Existing Infrastructure

1.7.1 E-Connect would be responsible for providing support for shifting


existing Infrastructure to SDC/ 3rd Party Data Centre
1.7.2 E-Connect would provide Consultancy related to Minimum
Infrastructure required
1.7.3 E-Connect would provide migration support to New Infrastructure

1.8 Maintenance of Existing and developed software


application

1.8.1 Maintenance of Existing and developed software application would be


under the scope of this agreement for 12 Months.

1.8.2 Beyond 12 months, Client has to enter into the Annual Maintenance
Contract for Existing and developed software application directly with
E-Connect

1.8.3 The scope of Annual Maintenance support services would include:

1.8.3.1 Resolution of any bug/ defect reported on IT Solution Bug


management Software. E-connect would deploy Bug
Management Software which can be accessible by any user
for reporting any bug/defect.
1.8.3.2 Telephonic Support related to usability of any feature of the
software
1.8.3.3 Minor modification due to policy changes including data points
maintained as master, escalation matrix and addition/ deletion
of fields for the forms. Minor modification would not include
change in database structure and addition of any new
processes.
1.8.4 The Annual Maintenance Support would not include
1.8.4.1 Development of any additional module / any additional feature
other than approved prototype.
1.8.4.2 Any issue other than software application issue such as issue
related to Server, Desktops, OS, Connectivity, Networking etc.

1.8.4.3 AMC scope would not include Data feeding and Master data
buildup.
1.8.4.4 Maintenance of software application not developed by E-
connect .

2. Responsibilities of Client

2.1 Client would provide Dedicated Project OIC team for discussions on
Process-Re-engineering
2.2 Appointment of a single technical point of contact for approval of SRS,
prototype & issuing UAT
2.3 Client would procure Digital Signatures/ Digital Signatures Services/Whats
app API’s.
2.4 Client would provide Payment Gateway
2.5 Client would provide Help-Desk Manpower for Citizens
2.6 Client would provide Data Centre Infrastructure including System Software
Licensing for hosting of the Application. Client would provide Remote access
to Application & Database Server. Client would provide Database/Application
Backup. Minimum Hardware Infra required is as under:

2.7 Client will appointment of Manpower for Infrastructure Management, Database


Management, Application configuration & Backup Management.
2.8 Client will provide all operational manpower required for the project.

2.9 Client will provide all Required connectivity at various locations.

3 Deliverables

3.1 Design Document for each Services including UX Design

3.2 Roll Out Acceptance (UAT) for each services. UAT would be provided by Core
Team of Client

3.3 Quarterly Maintenance Report

3.4 Sign-off on UAT for Mobile Application

4 Commercials

4.1 ICICI Bank would be paying a sum of Rs 1,50,00,000 (Excluding GST) to E-


Connect for above Scope of Work detailed in Terms of Reference.

5 Payment Terms

5.1 20% of the payment against Submission & Approval of Design Document &
Prototype.
5.2 50% on deployment of services / software at PUDA Data Centre/ SDC/ 3rd
Party Data Centre on pro-rata basis.
5.3 30% on Payment would be made to ESPL after Go-Live of all above services
5.4 All the payments under scope of work will be made to E-connect on the
submitting the Tax invoice raised on ICICI bank Basis Satisfaction letter
issued by the client.
