BY LAWS

ARTICLE I – DUTIES OF OFFICERS

SECTION 1: The duties of the President shall be to:


a. Preside over all meetings of the Organization
b. Ensure that all chapter of each such meeting is conducted in
accordance with the Rules of the Organization.
c. Shall, jointly with the Executive Secretary, be responsible to the
Organization for the supervision and general direction of the work
of the Assistant Secretaries, Country Heads and Representative,
and Department Heads.
d. Shall perform any such other duties in accordance with decisions
of the Organization.
e. In the event of the President leaving office prior to completion of
his or her term, the Executive Vice President shall serve in a
temporary capacity as Acting President until the Organization
elects the new President.

SECTION 2: The duties of the Executive Vice President shall be to:


a. In the event of the President leaving office prior to completion of
his or her term, the Executive Vice President shall serve in a
temporary capacity as Acting President until the Organization
elects the new President.

SECTION 3: The duties of the Vice President for Internal Affairs shall be to:
a. To maintain internal communication with the members and
officers, and act as a liaison between them with regard to
concerns.
b. Keeping a record of general and executive minutes
c. Organizing orders
d. Acting as one of three signing authorities on accounts.
e. Evaluating and implementing strategies for office maintenance
and security.
f. Aiding the Department Heads and Country Head and
Representative in planning and organizing events as needed.
g. Maintaining and updating the constitution as need be.

SECTION 4: The duties of the Vice President for External Affairs shall be to:
a. Responsible for programs and communications that foster a
greater understanding of the organization and its mission.
b. Responsible for developing and implementing a coordinated
program of strategic communications designed to advance the
objectives of the Organization, by means of a comprehensive
array of communication media, from print to broadcast to the
Internet. Organizational strategic communications are based on
careful analysis of the interests and perspectives of major
stakeholders.
c. Inform people about the Organizations goals, aspirations, and
programs, and thereby build support for its mission.
SECTION 5: The duties of the Vice President for Administration and
Operations shall be to:
a. In collaboration with other executive, develops, implements,
operates, maintains, and controls the essential operating systems,
information, and financial of the organization.
b. Defines and implements key performance indicators and strategic
objectives for the entire organization; facilitates measurement of
those objectives.
c. Drafts and implements policies and best practices to support
achievement of objectives and required standards.
d. Ensures availability of adequate and appropriate equipment,
staffing, and systems; recommends additional staffing and
services.
e. Ensures compliance with state, local, and organizational laws,
regulations, guidelines, and best practices, including but not
limited to tax laws, generally accepted accounting principles,
acquisition regulations, and cost accounting standards.
f. Maintains knowledge of developments and trends in finance and
administration including technological advances.
g. Facilitates implementation of new systems and major
modifications of existing systems to reduce downtime.
h. Oversee day-to-day company operations.
i. Define and implement operations strategy, structure, and
processes.
j. Manage the quarterly and annual budgeting process and P&L
responsibilities.
k. Monitor performance to proactively identify efficiency issues and
propose solutions.
l. Maintain a working knowledge of all phases of operations.
m. Coordinate support to operations throughout the organization.

SECTION 6: The duties of the Executive Secretary and Assistant Secretary


shall be to:
a. Subject to the direction of the Organization the Executive
Secretary shall:
i. Act as the principal spokesperson.
ii. Implement the policy and decisions of the Organization
iii. Safeguard at all times and in every respect the interests of
the organization and ensure its legal representation.
iv. Act as the general administrator of the organization,
including managing and directing operations and handling
all staff and other personnel issues, including appointment
of Country Heads and Representative and Depart Heads
v. If necessary, call meetings of the Executive
vi. Keep all proper financial accounts and records current,
including information with respect to all income and
disbursements in accordance with Organization policies
and Rules.
vii. Appoint, in consultation with the President
viii. Perform such additional functions as are set out in these
Rules or as may be determined from time to time by
Executive Committee.
b. The Assistant General Secretaries shall, unless otherwise
engaged in the Organization, or unavailable, attend all meetings
of Executive Committee. They shall perform such duties as may
be assigned to them by the Executive Secretary in cooperation
with the President.

SECTION 6: The duties of the Country Head and Representative shall be to:
a. In charge of supervising programs and projects.
b. Manage and supervise a team under the country scope.
c. Assists in the screening and endorsement of Membership
application.
d. Provide training for members in the country scope
e. Develops the strategic plan and ensures that the operational
plans and strategic plans of the organization are met.
f. Responsible for managing all the resources of the organization in
the country.
g. Reports back to Executive Committee and may be required to
prepare mid-year and end-year reports on progress made.

SECTION 7: The duties of the Country Coordinator shall be to:


a. In charge of developing, supporting, and safeguard the
implementation of specific programs by working with the Country
Head and Representative within the country program framework.
b. Build up, coordinate and manage an evolving country program
through promotion and membership.
c. Bears the responsibility for the development, coordination, and
implementation of the country program.
d. Building up new structures, developing new projects, finding new
partners and membership

SECTION 8: The duties of the Department Head shall be to:


a. Oversee and establish policies and procedures, as well as
coordinate the work within your department.
b. Launch departmental goals and ensure that all are working to
meet these goals.
c. Implement strategies to improve overall performance within the
department.
d. Monitor development and evaluate performance to ensure that
stakeholders are receiving the best possible services.

ARTICLE II – SELECTION OF OFFICERS

SECTION 1: The nomination of officers shall occur there is an end of term or


a vacancy happen. The highest-ranking officer not running for office shall
facilitate the nomination and election process at this meeting. If this is not
possible, the facilitator will be selected by a majority vote of active members.
SECTION 2: Any active member present may nominate someone or
him/herself for office by verbally nominating the individual during this
procedure. However, the nominee must be considered eligible for an officer
position (as defined in Article IV, Sections 1 and 2 in the constitution).
Absentee/proxy ballots are not permitted in the nomination process.

SECTION 3: Founding/Initial or appointed officers shall serve within the


course of the term.

ARTICLE III – COMMITTEES

SECTION 1: Ad-hoc (temporary) committees


a. Shall be formed by the President, as deemed necessary, to
address matters of immediate concern.
b. The Chairperson and members of the ad-hoc committee will be
appointed by the President, to be approved by a majority of the
voting members of the organization.

ARTICLE IV – IMPEACHMENT

SECTION 1: Officers and/or members may be impeached on the basis of not


fulfilling the purposes and policies of the organization as outlined in The
Constitution and Bylaws or for violation of rules and regulation.

SECTION 2: Any member of the organization may initiate impeachment


proceedings by giving written notice to the Country Head and President. If it is
the President who is being impeached, notice must be given to the Vice-
President.

SECTION 3: Upon formal notification, it is the responsibility of the President


(or Vice-President) to convene an ad-hoc committee of inquiry to consider the
filed allegations.

SECTION 4: Any individual who is impeached shall be given full notice of the
allegations against him/her and shall have an opportunity to respond to them.

SECTION 5: The ad-hoc committee of inquiry will investigate the allegations.


Determine the validity of the charges, and make recommendations regarding
sanctioning to the full body for its consideration.

SECTION 6: Recommendations for sanctioning made by the ad-hoc


committee of inquiry must be approved by two-thirds (2/3) of the members
present and voting, in order to be implemented.

SECTION 7: Possible sanctions include, but are not limited to, reprimand,
censure, and/or removal.

SECTION 8: An individual may appeal his/her sanction by submitting an


Appeal Request to the Country Head and Representative or designee office
within ten (10) Calendar days of his/her notification of the sanction.
SECTION 9: An appeal may be requested only on the basis of one of the
following two claims: a. That there was procedural error in the conduct of the
impeachment proceedings. b. That there is significant new evidence which
was previously not available.

SECTION 10: The Officer or designee shall determine whether there are
grounds for appeal and may choose to affirm the sanction or remand the case
for a rehearing by a new ad-hoc committee of inquiry.

SECTION 11: If an appeal hearing is granted based upon one of the


conditions in Section 9, it will be conducted in accordance with the provisions
of Sections 5-7, and with new evidence submitted or procedural error
removed.

ARTICLE V – ELECTIONS

SECTION 1: Elections shall be held upon term expiration and vacancy.

SECTION 2: Candidates for offices shall be eligible provided they have met
the requirements for that office as stated in Article V of the Constitution.

SECTION 3: Special elections may be held to replace interim, temporary, or


vacant officer positions with a written request to the Committee.

ARTICLE VI – FINANCES

SECTION 1: All finances shall be handled in accordance with the established


Cash Collection & Deposit Guidelines for Activities fiscal procedures.

SECTION 2: Membership fees shall cover Honorarium, Document Processing


and Courier Services. Membership fees will be collected upon application.
Once payment has been processed, no refunds will be granted.

SECTION 3: The Department Head for Finance (in conjunction with the
President and Country Head and Representative) shall propose a budget for
the entire year.

SECTION 4: Organizational funds may be spent on items such as office


supplies, events and activities, publicity, travel expenses, and conference
fees, but will not be used for anything illegal under organization, local, state,
and laws. All funds must be deposited within 24 business hours after
collection.

SECTION 5: It is the outgoing Department Head for Finance responsibility to


compile and present all documents and information about the previous and
current budget to the executive committee.

SECTION 6: In the event that the organization ceases to exist, any funds
remaining in the organization’s account shall be deposited back.
ARTICLE VII - PUBLICATIONS AND ADVERTISEMENT
SECTION 1: All publications of the organization must comply with the
Relations and Marketing department’s branding guidelines and graphic
standards.

SECTION 2: The Advisor must approve all publications, shirts, flyers, and
other forms of advertising/marketing prior to duplication and distribution. All
flyers to be posted must be submitted and approved by Executive Committee.

ARTICLE VII –RATIFICATION AND AMENDMENTS

SECTION 1: This by laws must be ratified by its officers and/or members


annually according to the deadline set by the Organization.

SECTION 2: Amendments to this By Laws may be proposed by either the


officers or voting members of this organization.

SECTION 3: Consent by two-thirds (2/3) of the voting members shall be


necessary to approve amendments to this By Laws.
