The Deed of Transfer via Dacion En Pago and Assignment of Receivables duly signed by
the Mr. Lito Monico C. Lorenzana, Chairman of TACDRUP was referred to Legal Division for
final review and clearance.

After review, the undersigned finds the said instrument to be consistent with our
recommendation as per Memorandum dated 21 March 2020 duly approved by Assistant
Secretary Teodoro M. Gatchalian. In this regard, it is hereby recommended that the request
for clearance and signature for the subject instrument be given.
