BOARD RESOLUTION NO.

2 SERIES OF 2020

WHEREAS, the Lex Sidus Organization Board held a meeting last August
9, 2020 to discuss the viability of holding the annual Lex Sidus Anniversary
online due to uncontrollable factors, namely the ongoing pandemic and
stringent measures imposed by the Government particularly on face to face
and mass gatherings.
WHEREAS, a poll would be conducted on the Lex Sidus group page on
Facebook immediately upon posting of this Resolution, with the view of
ascertaining the date and time amicable to majority of the members but not
later than August 30, 2020.
WHEREAS, the anniversary and election of officers shall be via Zoom,
including nomination of candidates for the positions and voting conducted
online.
WHEREAS, two members shall preside over the nominations and voting
process, with the members signifying their vote via a thumbs-up sign.
WHEREAS, prior to the date of the anniversary, profiles of residents shall
be posted on the group page to allow members to make educated nominations.
WHEREAS, the required quorum and concomitant number of votes shall
be recognized as provided by the Organization’s by-laws.
RESOLVED, AS IT IS HEREBY RESOLVED, to allow for the online
conduct of the annual Lex Sidus Anniversary celebration, as well as the
election of officers on a date to be agreed upon but not later than August 30,
2020.
