CONSTITUTION AND BYLAWS

MEMBERSHIP ORGANIZATION ARTICLE 1 - NAME, PURPOSE


Section 1: The name of the organization shall be the PUROK HYDRO #2
NEIGHBORHOOD ASSOCIATION.
Section 2: The PUROK HYDRO #2 NEIGHBORHOOD ASSOCIATION was formed
to organize the residents of the area, tackle differences and work as one body for the
improvement and betterment of the community.
ARTICLE II - MEMBERSHIP
Section 3: All legal age residing within the area is eligible for membership of the
association. All members are required to pay a one-time payment of PhP 50.00 as
membership fee.
Section 4: Each member of the association is eligible to be voted upon and become
an officer of the association

ARTICLE IV: MEETINGS OF MEMBERS


Section 1: Annual Meeting. Regular meetings shall be held quarterly, and it shall be
on the 2ND Sunday of the third month at 3:30 in the afternoon. Annual meetings
shall be set as deemed necessary by the officers of the Association. All these
meetings will be held at the church ground located at Hydro # 2, Camp 6, Camp 4,
Kennon Road Tuba, Benguet.
Section 2: Special Meetings. Special meetings may be called by the president and/or
other officers of the association as may be deemed necessary.
Section 3: Notice. Notice of each meeting shall be given to each voting member, by
email or by mail, not less than five days before the meeting, however, in cases of
emergency meetings notice will be done on the group chat using the social media.
ARTICLE V – OFFICERS AND/OR BOARD OF DIRECTORS
Section 1: Board Role, Size, Composition.
Chairman – The chairman acts as the group leader and ensures that the
board functions as a team. She does not run the association but spend time
considering the board and committee assignments to make sure that all of the
work of the board is effectively delegated for completion. She ensures an
ongoing planning process for the board’s activities for the year ahead and the
association’s future.

Vice-Chairman – The vice chairman assist the chairman in executing the


associations mission and takes over the function of the chairman if the
chairman is absent, in addition to other functions and duties required by the
board.

Secretary-The secretary is responsible for all record keeping function. She


prepared and reads the minutes from each meeting. Provides meeting
agendas for the President and/or members, counts and records any votes and
election results, handles official correspondence, sends out notifications of
meetings and keeps records regarding membership.

Treasurer – The treasurer shall be responsible in the handling of all the


monetary issues and/or concerns of the association. She is likewise
responsible in keeping the financial records and accepting money on behalf of
the association and depositing it in the appropriate place. The treasurer
oversees fundraising initiatives as well.

PRO – The Press Relation Officer shall be responsible in issuing notices of


meetings and posting such on the community group chat.

Business Mngr. - The business managers will serve as supplier officers


and likewise be responsible in purchases of the association.

The board receives no compensation other than reimbursement of reasonable


expenses.
Section 2: Meetings. The Board shall meet at least quarterly, at an agreed upon time
and place.
Section 3: Elections of Officers. Officers shall be elected every after two(2) years
thru election by the member Association.
Section 4: Election Procedures. Election of officers will be thru nominating individuals
and voting by the members of the association.
Section 5: Terms. All officers shall serve two-year terms but are eligible for re-
election.
Section 6: Quorum. A quorum must be attended by at least forty percent of the
Board members before business can be transacted or motions made or passed.
Section 7: Notice. An official officers meeting requires that each officer/member have
written notice at least five days in advance. However, in cases of emergency
meetings it will be done or posted in the group chat.
Section 8: Vacancies. In the event of the resignation of an officer there shall be a
special election to fill the vacant position for the remainder of the term.

Section 9: Resignation, Termination and Absences.


Officers can file his/her resignation as deemed and assessed valid by the grievance
committee. Valid reason shall include transfer of residents, health condition, etc.

Section 10: Special Meetings. Special meetings of Officers shall be called upon the
request of the President. Notices of special meetings shall be sent out by the
Secretary to each officer in advance.
ARTICLE V - COMMITTEES
Section 1: A. Grievance Committee was formed to address conflicts that may arise
from and between residents and/or members of the association. This will be headed
by the Elders of the community as identified during the election of officers.

B. Beautification Committee was formed to address any beatification and/or


cleaning activities scheduled and agreed upon by the members of the
association.

ARTICLE VII – AMENDMENTS


Section 1: These Bylaws may be amended, when necessary, by the members of the
association thru meetings and election. Proposed amendments must be submitted to
the Secretary.

ARTICLE VIII – DISCIPLINARY ACTIONS


Section 1: Adaptation Of Barangay Ordinances: All ordinances of the barangay will
be adapted by the association, however penalties will be dealt with as the
association deemed necessary.
Section 2: Internal Rules and Regulation: Any conflict within the members of the
association will dealt with the members of the Grievance committee.

The officers and members hereby sign the ratified constitution and by-laws of Hydro
#2 Neighborhood Association (Kennon Road) :
