Dear Jagadeesha C,

APPOINTMENT AS MANAGER FINANCE

Further to our discussion and the subsequent offer, we are pleased to inform that you have
been selected to join the GLOBALWOODPACKERS FAMILY.

Management takes the pleasure in appointing you as Manager Finance in our organization
with effect from August 28th 2020 on the following terms & conditions:

1.00     Compensation: Annexure Attached.

1.01    In addition to the above, you will also be entitled to Gratuity as per the relevant Act
and Rules.

1.02    The Management shall be entitled to deduct all the statutory contributions/taxes etc.,
from the above payable emoluments inclusive of  professional tax, income tax, TDS,
Provident Fund, ESI contribution etc., as applicable to you as per the said statutes.

2:00     Probation:

You will be on probation for the period of six months from the date of joining the
Company. If your performance during the period of probation is found unsatisfactory,
your services may be discontinued without assigning any reason.

Unless your services are confirmed in writing, you will continue to be on probation
and it shall not entitle you to any legal right of employment with the company.

In case of non-performance, you can be put on Performance Improvement Plan (PIP)


and post evaluation of the same, final decision of your employment will be taken.

3:00     Date of Joining & Retirement:

Your date of joining is August 28th 2020. Your services with the company shall
automatically stand superannuated on attaining the age of 58 years and your date of
birth in the company’s application form will be taken as the final proof.

4:00     Dissociation from Service:

During the probation period your services can be terminated by giving 15 (Fifteen)
days notice or 15 days salary in lieu of notice, without assigning any reason.  In case
you wish to leave the services during the probation period you are required to give 45
(Forty Five) days notice or 45 days salary in lieu of notice.  

On confirmation, your services can be terminated at any time with 30 (Thirty) days
notice or 30 days salary in lieu of notice, without assigning any reason whatsoever.  In
case you wish to leave the services you are required to give a clear cut notice of 60
days or 60 days salary in lieu of notice.

In case of non-performance, you can be put on Performance Improvement Plan (PIP)


and post evaluation of the same, final decision of your employment will be taken.

In case of integrity issues during your services, the company has the right to terminate
you immediately without any notice or salary in lieu of the notice period.

After acceptance of your resignation, your relationship with the company shall be
ceased and you shall have no right of whatsoever nature over the employment with
the company.

5:00     Rules & Regulations:

You shall abide by all the Rules & Regulations of the company and follow the
policies and practices of the company as exist or may be framed or modified from
time to time.

6:00     Medical Fitness:

The present appointment letter is issued subject to your medical fitness. During the
period of your employment with the company you shall undergo the Medical
Examination as per the directions of the Management.  In case during the employment
with the company, at any time, you are found medically unfit, the Management shall
reserve the right to terminate your services.

7:00     Place of Work & Transfer:

The normal working hours of the company/plant to which you are attached, will
apply.  There may be occasions, however, when you will be required to work beyond
these hours.

During the employment with the company the Management may transfer you for
work or loan your service from one department to another, one shift to another and 
transfer or otherwise, to any other company/associated companies/parent
companies/establishment/ factory/unit/sales offices/marketing office/advertisement
office of the company which are in existence at present and/or which shall come into
existence during your employment with the company, situated throughout India either
on temporary and/or permanent basis depending on the exigencies of work at the sole
discretion of the Management.

You would be expected to resume duties at the new place within seven days after
receipt of transfer instructions from the Management.  In case of such transfer, the
company shall have every right to change your nature of duties   and may offer you
training wherever required. In case you fail to adhere directions issued by the
Management as per this clause, your services shall be discontinued without any notice
and /or pay in lieu thereof and the Management has the right to claim damages as per
law which shall be recovered from your full and final settlement and/or by legal
proceedings as deemed fit and proper.

8:00     Leave:

You will be entitled for leave as per the Leave Rules of the company.

If you remain absent beyond the period of leave originally sanctioned and/or granted
to you and /or subsequently extended, strict action will be taken against you.

9:00     Confidentiality    

You shall not divulge or disclose any secrets to any person, company, body corporate
any confidential data / information or trade secret acquired as a result of your
employment or in the course of your employment with us. 

You shall also ensure protection of information, which may be provided to you during
the course of your employment either by the Company or by the employees / clients /
customers / depots / business partners/ CNF Agents / Consignment Sales Agents
(CSA) and would not use it for any personal benefit or any other purpose, which may
be detrimental to the interest of the Company. Any disclosure of such information to
third parties (including other employees of the Company) constitutes a breach of your
employment. In case you are found guilty of any such mis-conduct, the Management
will have full rights to claim for reimbursement of losses suffered by the Company
and initiate criminal and legal proceedings against you. 

You shall also not divulge or disclose any secrets connected with the business, trade,
process, marketing, sales, interest of the company and/or knowledge acquired by you
and/or TV shows, appearance in film, scriptwriting, feature/articles to magazine
and /or newspaper, during the course of your employment with the company.  In case
you are found acting in defiance of the present clause, the Management reserve the
right to terminate your services without any notice and/or pay in lieu thereof and also
have right to claim damages as per the law, which shall be recovered by the
management from your full and final settlement and/or by legal proceedings, as
deemed fit and proper.

10:00  Non- Solicitation:

You shall work honestly and exclusively for and in the interest of the company and
you shall not take part-time employment and/or engage either permanently and/or
temporarily in any business, trade, profession, occupation, consultation etc., during
the period of employment with the company.

During the employment with the company, you shall work under the supervision and
administration of the officers/managers, as directed by the company from time to
time.
During the employment with the company, if it is found that the particulars given in
your employment application are erroneous, false, misrepresented and/or in the event
you suppressed true facts, the management shall have exclusive right to terminate
your services without any notice and /or pay in lieu thereof.

Your postal address given in the application for employment will be deemed as
correct for all legal purposes. You shall intimate to the company, the changes in your
address, in writing within three days of such change.  All correspondence done by the
company on the last known address shall be deemed to have been served upon you.

You are under obligation to keep faithful account of all the properties of the company
entrusted to you in the course of employment and shall return the same to the
company at the time of cessation of your employment. The company shall have right
to withhold your full and final settlement and any amount payable to you after
cessation of your employment, till the return of all the property of company possessed
by you.

If at any time, by your conduct render yourself incompetent to perform the duties
and/or if you be dishonest, disobedient, irregular in attendance and /or act in
contravention of the terms and conditions of the present appointment letter and /or
indulge in misconduct, the management shall have every right to dispense your
services and may deduct from the amount payable to you, such sum in the opinion of
the management will be equivalent to any loss, the company have sustained in
consequence of your acts.

All the disputes and differences that may arise during your employment and /or non-
employment with the company as per this letter of appointment irrespective of your
place of posting shall be subject to the exclusive jurisdiction of appropriate court in
Karnataka.

11:00 Force-majeure

Incase there is an Natural calamity, Act of war, Pandemic resulting in losses to the
company the company is entitled to revise /terminate the contract with no prior notice

Please sign on the duplicate copy of the present appointment letter as a token of acceptance of
the terms and conditions herein above stipulated.

 Daily reporting.
 Analysing targets.
 Meeting with department heads.
 Managing and coordinating monthly reporting, budgeting and reforecast
processes.
 Providing back office services such as accounts payable, accounts receivable
and payroll, Taxation, GST filing, Petty cash handling
 Monitoring cash flow.
 Liaising with accountant teams.

 Providing insights on the financial health of the organisation.


 Ensuring the business meets all its statutory and compliance obligations,
including statutory accounting and tax issues.
 Keeping track of market trends.
 Looking for cost-reduction opportunities.
 Developing relationships with external contacts such as auditors, solicitors
and HM Revenue & Customs.
 Supervising accounts staff
 Store and stock audit
 Other Finance related tasks allocated by management
