Subject: PROPOSAL
Supply, Installation, Testing & Commissioning of Fire Detection System for BEZA in
Administrative Building.

Dear Sir,

We thank you for providing us the opportunity to submit our Proposal for Supply, Installation, Testing &
Commissioning of Fire Detection System for BEZA Administrative Building and are pleased to enclose here
with our terms and conditions, which shall form an integral part of our offer.

1. Scope of Work:
1.1 Supply of materials as per specified Bill of Quantities.
1.2 Installation of materials as per specified Bill of Quantities.
1.3 Testing & commissioning of the total system supplied by us as per client requirement.
1.4 One day’s customer training for operation & maintenance of the system.

2. Scope of Exclusions:
Kindly note that following items are excluded from the scope of our works and the same have not
been considered in our offer:
2.1 Power supply for installation, testing, commissioning of the system.
2.2 Termination of cables of any other vendors system is not in our scope.
2.3 Any civil or carpentry works at protect site. All carpentry/ civil works/ masonry works
required to be done at site other that minor works such as cutting of wholes for drawing
cables, conduits, raceways, trunks, grunting of controllers/ panels on walls, etc. are excluded
from our scope of work.
2.4 Incoming power supply and distribution including sockets for termination to our equipment’s
in control room and field panels.
2.5 For interfacing with other sub systems all potential free contacts are to be provided. These
contacts shall have to be normally open type. Further for interface with Electrical distribution
panel & MCCs all interface points/ potential free contacts are to be provided in numbered
terminals inside the DB/ MCC free of cost.
2.6 Any other works/ services not specifically mentioned in our scope of work.

3. Responsibilities of Client:
3.1 Any civil or carpentry works at project site.
3.2 Client will provide proper Power & Lighting during our installation & commisioning work.
3.3 Client will provide Drinkable Water & Sanitation during our installation & commisioning work.
3.4 Client will provide proper locable storage and security for materials at project site.

4. Basis for Proposal:

4.1 Quoted prices in Local Currency inclusive of prevailing import duties, import related VAT,
Taxes and other related cost as per present duty structure of the Government. The rate is
subject to proportinate adjustment if there is any change of duty structure declared by the
Government. Prices are DDP at site including withholding taxes.

5. Validity of Proposal:
This offer is valid for order acceptance till 07.10.2020 days thereafter it is subject to our further
confirmation in writing.

6. Delivery:

6.1 DDP at Site as per Incoterms 2010.

6.2 Delivery within 08 - 10 weeks after receipt of Purchase Order and Advanced Payment.
6.3 Installation, Supervision, Testing & commissioning work will take 10 - 12 weeks after
receipt of imported Items, availability of ready site and advanced payment as per clause
8.0 mentioned bellow.

7. Total Price:

As Per Priced Bill of Quantities.

8. Payment Method:

8.1 50% of the total amount to be paid as advance along with work order.
8.2 40% of the total amount to be paid after Delievery of Materials at site.
8.3 10% will be paid after completion of installation supervision & commissioning.
8.4 Mode of payment will be Cheque / Pay order/Demand draft in favor of Felix Controls
Limited. If payment is made by cheque delivery will take place after encashment of
cheque.
8.5 If payment is not received by us within 15 days of the due date, we reserve the right of
suspend the works after giving a written notice to you.

9. Cancellation Clause:
20 % of the total work order value will be charged if you want to cancel the order after placement
of work order in favour of us.

10. Inspection:
Customer or third party inspection charges are not included in our offer. In case buyer wants to
carryout inspection on their own a four weeks notice in advance should be issued.

11. Risk:
The goods sold shall be at the purchasers risk immediately upon delivery to the purchaser or
purchaser’s agent or where delivery is delayed, risk shall pass to the purchaser after fourteen (14)
days from the date of notification that the goods are ready for delivery.

12. Title:
Title and property in the goods sold shall remain with FELIX until such time as full payment is made
to FELIX for all amounts owing by the purchaser so that the purchaser’s total indebtedness to FELIX
under the terms and conditions of sale is discharged.

13. Warranty:
13.1 We stand guarantee for trouble free operation of our supplied equipment and our
installations to be free from defect in any material and workmanship under normal use. We
undertake warranty for free replacement of any parts failing due to manufacturing defects,
which shall not include normal operational wear and tear, for a period of 18 months from the
date of Delivery or 12 months from the date of commissioning whichever ends earlier subject
to the following:
o The items should be operated in dust free condition. You should never allow any dust
particle to enter inside our supplied items.
o The temperature should not exceed 400C.

o The voltage level should be stable

o No water or moisture should enter inside our supplied items.

13.2 Warranty would be considered void under following circumstances:

o This warranty /defect-liability of obligation will not be extend to system failure due to the
negligent/careless operations by the users
o Supply of irregular power
o Damage due to accident/ Mishandling etc.
Misuse the system with unauthorised software and/or media, or download unauthorised
software from internet.
o Servicing by untrained personnel or not in accordance with Felix's prescribed procedure or
for any abuse and misuse.

14. Services Support:

Felix Controls Limited will provide you with 24 hours of Service support. This service provides faster
response to emergency service requests and will reduce the costs and disruptions and/or downtime.
Our Engineer will respond onsite/over phone within 24 hours of receiving notification for emergency
service assistance 24 hours per day, 7 days per week. Emergencies requiring on-site support will
be determined after initial investigation over the phone by your staff and a Felix representative.

15. Extension in the completion period:

If the completion of our work is likely to be delayed or has been delayed beyond the agreed period
of completion by reasons of:

15.1 Force Majeure as used herein shall by mean any circumstance beyond the control of the
parties including but not limited to:
- War and other hostilities (whether war be declared or not), invasion, act of foreign
enemies, mobilization, requisition or embargo;
- Rebellion, revolution, insurrection, military or usurped power and civil war
- Riot, civil commotion or discorder or any act of terrorism
- Strike and lockout
- Act of God, natural catastrophes, epidemics, earthquake, floods, lightning
- Delays or accidents occurring in connection with transportation, but not limited to
shortages of suitable transport facilities
15.2 Delay caused due to piecemeal instruction/ approval and clarifications.
15.3 Issuance of variation order/s
15.4 Delay in receiving approval, of submittals/drawings, delays in getting the clear work front
for uninterrupted progress of our works.

16. Arbitration:
Any differences or disputes arising from the contact or from agreements regarding its performance
between the parties out of or relating to the construction, meaning and operation or effect of the
contract or the breach thereof shall be settled by an amicable effort on the both parties to the
contract. An attempt to arrive at a settlement shall be deemed to have failed as soon as one of the
parties to the contract so notifies the other party in writing. If an attempt of settlement has failed,
the disputes shall be finally settled under the rules of Arbitration Act 2001; the venue of the
arbitration must be in Dhaka.

17. After Sales Service:

After warranty period “after sales service“can be provided against as per Felix standard valid rate
and agreed terms and conditions.

18. Clarifications:
18.1 We have prepared the quotation as per information and documents provided to us.
18.2 Deviations due to design, inaccurate documentation, or workarounds will be addressed as
extras work.
