CONDITIONAL DEED OF SALE

KNOW ALL MEN BY THESE PRESENTS:

This Conditional Deed of Sale, made and entered into by:

MARILOU A. MEJIA, of legal age, Filipino, widow, and with residence at Lantawan,
Pasonanca, Zamboanga City, hereinafter called the VENDOR; and

MILABELLE D. NONO, of legal age, Filipino, married, and with residence at Sta. Maria,
Zamboanga City, hereinafter called the VENDEE;

WITNESSETH:

WHEREAS, the SELLER is the registered owner of a parcel of land situated at Barangay
Pasonanca, covered by Transfer Certificate of Title No. 207-418, with an area of TWO
THOUSAND FOUR HUNDRED THIRTY FIVE (2,435) SQUARE METERS;

WHEREAS, the VENDEE has offered to buy a portion of the said parcel of land,
consisiting of THREE HUNDRED (300) SQUARE METERS at SIX HUNDRED SIXTY THOUSAND
PESOS (P660,000.00). The VENDEE has offered to make an initial down payment of FOUR
HUNDRED THOUSAND PESOS and the balance of TWO HUNDRED SIXTY THOUSAND PESOS
shall be paid upon approval of the Subdivision Plan of the said land;

WHEREAS, the VENDOR hereby agrees to the offer of the VENDEE.

NOW, THEREFORE, for and in consideration of the sum of FOUR HUNDRED THOUSAND
PESOS (P400,000.00), Philippine Currency, receipt of which is hereby acknowledged by the
VENDOR from the VENDEE, the VENDOR hereby conditionally SELL, TRANSFER, and CONVEY by
way of sale unto the said VENDEE, his heirs, assigns and successors in interest free from liens
and encumbrances of whatever nature as of the date of this sale provided that the latter shall
pay the balance of TWO HUNDRED SIXTY THOUSAND PESOS (P260,000.00) upon approval of
the subdivision plan of the said land. Upon payment of the balance, the VENDOR shall execute
an Absolute Deed of Sale in favor of the VENDEE.
