RETAINER CONTRACT

KNOW ALL MEN BY THESE PRESENTS:

This RETAINER CONTRACT is made and executed by and between:

FELICIDAD R. TELEBRICO, Filipino, of legal age and with

residence at 150, 29 De Agosto St., Brgy, Salapan, San Juan City,
hereinafter referred to as the CLIENT.

-and-

KATRINA C. MULI, Filipino, of legal age and with office address at

40 J.R. Jabson St., Bambang, Pasig City, herein after referred to as the
LAWYER.

WITNESSETH: That –

WHEREAS, the LAWYER has offered her professional legal services to

the CLIENT and the CLIENT has agreed to retain the professional legal
services of the LAWYER under a retainership basis, subject to the terms
and conditions hereinafter stipulate:

NOW THEREFORE, for and in consideration of the mutual covenants and

agreements herein agreed upon, the CLIENT and the LAWYER have
entered into a contract of services whereby the LAWYER shall render
legal services to the CLIENT under the following conditions:

A. TERM AND DURATION

This RETAINER CONTRACT shall be for a period of one (1) year

effective upon signing of both parties of this RETAINER
CONTRACT and shall be automatically renewed on a year to year
basis unless either party pre-terminates the same upon giving a
thirty (30) day prior written notice to the other party, without need of
cause.

B. LEGAL SERVICES

The LAWYER shall make itself available and ready for consultation
by the CLIENT or its duly authorizer representative on matter
requiring legal advice and opinion affecting the CLIENT as regards
the her businesses and other legal matter.

The LAWYER shall render legal documentation services in

CLIENT’s businesses and other legal matters. Provided, however,
all administrative expenses such as, but not limited to, notarization,
mailing of demand letters and publication shall be borne by the
CLIENT.

The LAWYER shall also be responsible for the preparation of all

pleadings, motions and other papers that will be filed in courts and
administrative bodies for and on behalf of the CLIENT in relation to
her businesses and other legal matters. Provided that all filing fees
and administrative expenses shall likewise be borne by the CLIENT.

The LAWYER shall appear for and on behalf of the CLIENT

requiring the latter’s presence in relation to the CLIENT’s
businesses and other legal matters. Provided, however, that the
LAWYER shall be entitled to an Appearance Fee of THREE
THOUSAND FIVE HUNDRED PESOS (3,500.00) per Appearance.

The LAWYER shall handle other cases referred to it by the CLIENT

for a fee that shall be determined by mutual agreement of the
parties, on a case-to-case basis.

The LAWYER shall not compromise of settle judicially of extra-

judicially any suit or proceeding, without the written consent and
conformity of the CLIENT.

The LAWYER shall keep in its office a docket of record in which it

shall cause to be recorded all legal documentation on behalf of the
CLIENT. Said docket and records shall be subject to inspection and
control of the CLIENT provided that notice shall be given to the
LAWYER.

The LAWYER, in addition to the herein enumerated services, shall

well and faithfully serve the CLIENT and shall at all times devote her
whole time and attention to the assignments and tasks given and/or
entrusted to her by the CLIENT and shall do and perform all such
services, acts and things connected therewith as the CLIENT shall
from time to time direct.
 The LAWYER shall not at any time get herself in a situation where a
conflict of interest may arise between those of the CLIENT and the
LAWYER and/or her CLIENTS.

The LAWYER shall not, either during the term of this contract or any
time thereafter, use or disclose to any person, office, corporation or
entity any confidential information concerning the affairs of the
CLIENT which he nay have acquired in the course of or as incident
to this contract for its own benefit, or to the detriment or probable
detriment of the CLIENT.

C. ACCEPTANCE FEE

The LAWYER upon signing of both parties of this RETAINER

CONTRACT shall be entitled to an acceptance fee of FORTY
THOUSAND PESOS (P40,000.00).

D. RETAINER FEE

The LAWYER, while in the performance of her duties, shall be

entitled to a fixed monthly retainer fee of SEVEN THOUSAND
PESOS (P7,000.00) payable every 16th day of each month or the
next business day.

The Retainer Fee shall be deposited to the LAWYER’s bank

account, detailed as follows:

E. TERMINATION

Any violation of the terms and conditions of this RETAINER

CONTRACT shall give the offended party the right to rescind or
cancel it immediately without necessity of judicial proceedings.

The CLIENT and the LAWYER reserves their right to terminate this
RETAINER CONTRACT without need of cause or reason upon
service of a written notice to the party concerned.
