DEED 

OF DONATION

KNOW ALL MEN BY THESE PRESENTS:

This DEED OF DONATION entered into by and between:

______________________________, of legal age, Filipino, and a

resident of ____________________________________, Philippines (hereinafter called the
"DONOR");

- and -

AAAAA, likewise of legal age, Filipino, and a resident of Pasig City, Philippines

(hereinafter called the "DONEE");

WITNESSETH:

WHEREAS, the DONOR is the registered owner of a certain condominium unit located
at Mandaluyong City, Philippines;

WHEREAS, the DONOR is likewise the registered owner of a certain property located
at Cebu City, Philippines;

WHEREAS, the DONOR desires to donate the above-described condominium unit and
property to the DONEE and the latter is ready, willing and able to accept the same;

That FOR AND IN CONSIDERATION of the DONEE'S trust, assistance and support
shown to the DONOR, and as an act of gratitude and liberality on his part, the DONOR hereby
voluntarily GIVES, TRANSFERS, and CONVEYS by way of donation, unto the said DONEE,
the above-described condominium unit and property, together with all the improvements found
thereon, free from all liens, encumbrances and charges of whatever kind;

That the DONOR affirms that this donation is not made with intent to defraud his
creditors, and that he has sufficient funds and property reserved for himself and his obligations;

That the DONEE hereby accepts and receives this donation made in her favor by the
DONOR, and hereby manifests her gratefulness for the latter's generosity and liberality.
